1.11 Licensee Background – shall mean all the Licensee information and knowledge<br />

whether or not they can be protected as intellectual property rights, which are<br />

needed for exploiting the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRS.<br />

1.12 Licensee Products – shall mean electronic devices (e.g. chipsets and receivers)<br />

and Value Added Services developed – directly or indirectly – by the Licensee by<br />

using the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs granted through this license.<br />

1.13 <strong>OS</strong> Signal – the Open Signal broadcasted by the infrastructure developed under<br />

the Programme <strong>Galileo</strong>.<br />

1.14 <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> – the Open Service Signal in Space Interface Control Document in<br />

its latest version.<br />

1.15 <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs – shall mean any and all Intellectual Property Rights contained<br />

in the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> and mentioned in Annex E1.<br />

1.16 Patent – shall mean any and all patents and/or patent applications mentioned in<br />

Annex E1, including the inventions described and claimed therein as well as any<br />

divisions, continuations, continuous-in-part and reissues thereof.<br />

1.17 The Territory – shall mean the territories subject to this Agreement and specifi ed<br />

for each Intellectual Property Right in Annex E1.<br />

1.18 Valid Claim – shall mean a claim of an issued and subsisting patent or of a<br />

published patent application in the Patents which claim has not been fi nally held<br />

to be invalid or unenforceable in the proceedings from which no further appeal<br />

may be taken within the time limit for taking that appeal.<br />

1.19 Value Added Services – any service developed on the basis or by using the <strong>OS</strong><br />

and delivering different or additional capabilities with respect to the <strong>OS</strong>.<br />

ARTICLE 2 - Subject of the Agreement<br />

The Community hereby grants the Licensee a non-exclusive royalty-free licence,<br />

limited to the Territory and Field of Use on the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs. The Licensee<br />

shall not be entitled to grant sublicenses of its rights under this Agreement.<br />

ARTICLE 3 – Licensee's Rights and Obligations<br />

3.1 The Licensee shall exploit the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs in the Field of Use in a manner<br />

so as not to harm:<br />

i) the intellectual property rights of the European Union;<br />

ii) the security interests of the European Union, as set forth under articles 13(4)<br />

and 17(1) of Regulation (EC) No 683/2008 of the European Parliament and<br />

of the Council of 9 th July 2008 on the further implementation of the European<br />

satellite navigation programmes (EGN<strong>OS</strong> and <strong>Galileo</strong>).<br />

3.2 The EU, as co-owner of the <strong>Galileo</strong> <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> copyright, grants the Licensee the<br />

following user rights with reference to the Copyright pursuant to this Agreement:<br />

i) the right to integrate and incorporate into any Licensee Products;<br />

ii) the right to make Improvements and/or create Developments and Derivative<br />

Works from the Copyright;<br />

iii) the right to store the Copyright on any suitable medium.<br />
