1.11 Licensee Background – shall mean all the Licensee information and knowledge
whether or not they can be protected as intellectual property rights, which are
needed for exploiting the OS SIS ICD IPRS.
1.12 Licensee Products – shall mean electronic devices (e.g. chipsets and receivers)
and Value Added Services developed – directly or indirectly – by the Licensee by
using the OS SIS ICD IPRs granted through this license.
1.13 OS Signal – the Open Signal broadcasted by the infrastructure developed under
the Programme Galileo.
1.14 OS SIS ICD – the Open Service Signal in Space Interface Control Document in
its latest version.
1.15 OS SIS ICD IPRs – shall mean any and all Intellectual Property Rights contained
in the OS SIS ICD and mentioned in Annex E1.
1.16 Patent – shall mean any and all patents and/or patent applications mentioned in
Annex E1, including the inventions described and claimed therein as well as any
divisions, continuations, continuous-in-part and reissues thereof.
1.17 The Territory – shall mean the territories subject to this Agreement and specifi ed
for each Intellectual Property Right in Annex E1.
1.18 Valid Claim – shall mean a claim of an issued and subsisting patent or of a
published patent application in the Patents which claim has not been fi nally held
to be invalid or unenforceable in the proceedings from which no further appeal
may be taken within the time limit for taking that appeal.
1.19 Value Added Services – any service developed on the basis or by using the OS
and delivering different or additional capabilities with respect to the OS.
ARTICLE 2 - Subject of the Agreement
The Community hereby grants the Licensee a non-exclusive royalty-free licence,
limited to the Territory and Field of Use on the OS SIS ICD IPRs. The Licensee
shall not be entitled to grant sublicenses of its rights under this Agreement.
ARTICLE 3 – Licensee's Rights and Obligations
3.1 The Licensee shall exploit the OS SIS ICD IPRs in the Field of Use in a manner
so as not to harm:
i) the intellectual property rights of the European Union;
ii) the security interests of the European Union, as set forth under articles 13(4)
and 17(1) of Regulation (EC) No 683/2008 of the European Parliament and
of the Council of 9 th July 2008 on the further implementation of the European
satellite navigation programmes (EGNOS and Galileo).
3.2 The EU, as co-owner of the Galileo OS SIS ICD copyright, grants the Licensee the
following user rights with reference to the Copyright pursuant to this Agreement:
i) the right to integrate and incorporate into any Licensee Products;
ii) the right to make Improvements and/or create Developments and Derivative
Works from the Copyright;
iii) the right to store the Copyright on any suitable medium.
