As part of its management tasks, the European Commission is entrusted with the<br />

defi nition of the terms and conditions upon which third parties shall have access to the<br />

<strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> (Open Service Signal In Space Interface Control Document) related IPRs.<br />

The aim of the European Union is to promote the take up and the wide spread diffusion<br />

of the GNSS technology related to the System developed under the <strong>Galileo</strong> Programme<br />

and to foster its use for research and development purposes.<br />

On such basis the European Commission is interested to grant a license for the use of<br />

<strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> related IPRs, which it owns or has the right to sublicense, for the purposes<br />

of research and development, according to the terms and conditions specifi ed here<br />

below.<br />

The Licensee is interested in getting the license for the use of <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> for the<br />

purposes and according to the terms and conditions of the present license agreement<br />

and the terms of use and disclaimer of the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> document, which he declares<br />

to have understood and accepted in full.<br />

Now therefore, the Parties agrees as follows<br />

ARTICLE 1 - Defi nitions<br />

1.1. Copyright – shall mean any and all copyrighted works mentioned in Annex D1.<br />

1.2. Developments and/or Derivative Works – shall mean research and development<br />

activities based on or related to the licensed <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs.<br />

1.3. Effective date – date of signature of the Licence Agreement by the last Party.<br />

1.4. Export Controls – shall mean any international or national Export Control law<br />

or regulation applicable to the Licesee's activities under the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs,<br />

that regulates, embargoes or sanctions the export of products, information and/<br />

or technology in any way.<br />

1.5. The Field of Use – shall mean research and development activities.<br />

1.6. GNSS Systems – shall mean Global Navigation Satellite Systems.<br />

1.7. Improvements – means all improvements, enhancements, alterations,<br />

modifi cations or adaptations to any part of the <strong>OS</strong> IPRs.<br />

1.8. Information – the information exchanged between the European Commission<br />

and the Licensee during the execution of this Agreement, including but not<br />

limited to the Research and Development Plan, Result and Derivative Works,<br />

intellectual property rights.<br />

1.9. Infrastructure Developed Under the <strong>Galileo</strong> Programme – shall mean the<br />

system of satellite and ground segments, comprised of hardware and software,<br />

designed and operated to provide the Open Service, the Public Regulated<br />

Service, the Safety of Life Service, the Commercial Service and the Search<br />

and Rescue service as defi ned in the <strong>Galileo</strong> Mission Requirement Document<br />

(MRD).<br />

1.10. Licensee Background – shall mean all the information and knowledge whether<br />

or not they can be protected as intellectual property rights, which are needed for<br />

exploiting the Result.<br />

1.11. <strong>OS</strong> Signal – the Open Signal broadcasted by the infrastructure developed under<br />

the Programme <strong>Galileo</strong>.<br />
