The aim of the Community is to promote the take up and the wide spread diffusion of the<br />

GNSS technology and related applications as well as to foster its use for commercial<br />

purposes.<br />

On such basis the European Commission is interested to grant a license for the use of<br />

<strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> related IPRs, which it owns or has the right to sublicense, for the purposes<br />

of:<br />

● manufacturing and commercialisation of GNSS related devices;<br />

● Provision of added value services<br />

according to the terms and conditions specifi ed here below.<br />

The Licensee is interested in get the license for the use of <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> for the purposes<br />

and according to the terms and conditions of the present license agreement and the<br />

terms of use and disclaimer of the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> document which he declares to have<br />

understood and accepted in full.<br />

Now therefore, the Parties agrees as follows<br />

ARTICLE 1 - Defi nitions<br />

1.1 Copyright – shall mean any and all copyrighted works mentioned in Annex E1.<br />

1.2 Development Plan – the efforts and the strategy of the Licensee to exploit the<br />

Licensee Products, to be described by the Licensee and attached in Annex E2<br />

to this Agreement for information purposes.<br />

1.3 Developments and Derivative Works – shall mean research and development<br />

activities based on or related to the licensed <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs.<br />

1.4 Effective date – date of signature of the Licence Agreement by the last Party.<br />

1.5 Export Controls – shall mean any international or national Export Control law<br />

or regulation applicable to the Licesee's activities under the <strong>OS</strong> <strong>SIS</strong> <strong>ICD</strong> IPRs,<br />

that regulates, embargoes or sanctions the export of products, information and/<br />

or technology in any way.<br />

1.6 The Field of Use – shall mean the manufacturing, distribution, commercialisation<br />

sale and supply of Licensee Products and any Licensee internal activity required<br />

or functional to these purposes.<br />

1.7 GNSS Systems – shall mean Global Navigation Satellite Systems.<br />

1.8 Improvements – means all improvements, enhancements, alterations,<br />

modifi cations or adaptations to any part of the <strong>OS</strong> IPRs.<br />

1.9 The Information – the information exchanged between the Commission and<br />

the Licensee during the execution of this Agreement, including but not limited<br />

to the Development Plan, Improvements, Developments and Derivative Works,<br />

Intellectual Property Rights.<br />

1.10 Infrastructure Developed Under the <strong>Galileo</strong> Programme – shall mean the<br />

system of satellite and ground segments, comprised of hardware and software,<br />

designed and operated to provide the Open Service, the Public Regulated<br />

Service, the Safety of Life Service, the Commercial Service and the Search<br />

and Rescue service as defi ned in the <strong>Galileo</strong> Mission Requirement Document<br />

(MRD).<br />
