About the <strong>Gorenjska</strong> <strong>banka</strong> group<br />
Composition of the group<br />
In addition to <strong>Gorenjska</strong> <strong>banka</strong>, d. d., Kranj, the <strong>Gorenjska</strong> Banka Group (hereinafter: the Group)<br />
comprises the following two subsidiaries: Imobilia-GBK, d. o. o., Kranj and Gorenjski glas, d. o. o., Kranj<br />
and the associated company, Skupna pokojninska družba, d. d., Ljubljana. In 2010 and 2011, there<br />
were no changes in the composition of the group.<br />
The table below illustrates <strong>Gorenjska</strong> <strong>banka</strong>, d. d., Kranj's equity holdings in subsidiaries and<br />
associated companies and the nominal amounts of these holdings as at 31 December 2011.<br />

About the Bank<br />
<strong>Gorenjska</strong> <strong>banka</strong>, d. d., Kranj is an independent public limited company with its registered office at<br />
Bleiweisova cesta 1, Kranj.<br />
The Bank's roots stretch back to the 19th century, when organised banking was first established<br />
in the <strong>Gorenjska</strong> region. On 25 March 1955, the first municipal bank in the <strong>Gorenjska</strong> region was<br />
established in Kranj, followed by banks in Škofja Loka, and the following year in Radovljica, Tržič and<br />
Bled. Over time, a single bank emerged, which was included in the Ljubljanska <strong>banka</strong> system in 1972,<br />
initially as a branch, and as a public limited company in the system of Ljubljanska <strong>banka</strong> subsidiary<br />
banks as of 27 December 1989.<br />
The process of separation from the Ljubljanska <strong>banka</strong> system began in 1994 with the purchase of<br />
shares of <strong>Gorenjska</strong> <strong>banka</strong>, d. d., Kranj held by Nova Ljubljanska <strong>banka</strong>, d. d., Ljubljana. The process<br />
was completed in June 1996, when the Bank withdrew these shares.<br />
The Bank has an authorisation to perform banking services pursuant to Article 7 of the Banking Act<br />
(Official Gazette of the Republic of Slovenia, No. 99/10 – official consolidated text; hereinafter: the<br />
ZBan-1). Banking services are the acceptance of deposits from the public and the granting of credits<br />
for its own account.<br />
The bank has authorisation to provide mutually recognised financial services.<br />
The bank may provide the following mutually recognised financial services, pursuant to Article 10 of<br />
the ZBan-1:<br />
1. acceptance of deposits;<br />
2. granting of credits, including: consumer and mortgage loans, the purchase of receivables with or<br />
without recourse (factoring) and the financing of commercial transactions, including export<br />
financing based on a discounted purchase without recourse of non-current, undue receivables<br />
collateralised with a financial instrument (forfeiting);<br />
3. payment services;<br />
4. issuance and management of other payment instruments (i.e. travellers' cheques and bankers'<br />
drafts) in the part in which this service is not included in service of former point 3.;<br />
5. issuance of guarantees and other commitments;<br />
6. trading for own account or for account of customers in: money market instruments, foreign<br />
exchange, including exchange transactions, financial futures and options, exchange and interestrate<br />
derivatives and transferable securities;<br />
