CHAPTER A. General terms <strong>and</strong> conditions1. Basic undertaking1.1 ScopeCollection <strong>and</strong> delivery in Sweden is only carried outto those consignors or consignees who state a streetaddress, street number <strong>and</strong> correct postcode accordingto the www.postnummerservice.se, <strong>and</strong> on condition thatthe whole <strong>of</strong> the transport route consists <strong>of</strong> a negotiableroad. Certain postcodes are served on payment <strong>of</strong> alocation surcharge. For other Swedish locations, see1.4.1. For locations outside Sweden, in the first instanceaccording to the timetable. The basic undertaking mustnot be limited by local traffic regulations.General terms <strong>and</strong>conditions<strong>DB</strong> <strong>Schenker</strong> <strong>Terms</strong> <strong>and</strong> <strong>Conditions</strong> <strong>of</strong> <strong>Transport</strong>apply as the norm for the calculation <strong>of</strong> freight<strong>and</strong> other transport charges in the <strong>DB</strong> <strong>Schenker</strong>l<strong>and</strong> transport system.All assignments are performed by <strong>DB</strong> <strong>Schenker</strong> according to:• The agreed conditions in each individual case.• Product-specific conditions corresponding toChapter B in this brochure.• General terms corresponding to Chapter A in thisbrochure.• Liability regulations based on the General <strong>Conditions</strong>.Should deviations arise between the aforementionedregulations, priority shall be given according to the orderspecified above. <strong>DB</strong> <strong>Schenker</strong> <strong>Terms</strong> <strong>and</strong> <strong>Conditions</strong> <strong>of</strong><strong>Transport</strong> include surcharges to, <strong>and</strong> deviations from, theregulations in the General <strong>Conditions</strong>.The <strong>DB</strong> <strong>Schenker</strong> website www.dbschenker.com/se alwayscontains the most recently updated version <strong>of</strong> the <strong>Terms</strong><strong>and</strong> <strong>Conditions</strong> <strong>of</strong> <strong>Transport</strong>, sales brochures, location list,location supplements <strong>and</strong> waybill instructions.If, during the term <strong>of</strong> an agreement, an adjustment in theGeneral <strong>Conditions</strong>, <strong>DB</strong> <strong>Schenker</strong>’s Location list, Distancetable <strong>and</strong>/or <strong>Terms</strong> <strong>and</strong> <strong>Conditions</strong> <strong>of</strong> <strong>Transport</strong> takesplace, or if a tax or other charge is added, removed orchanged, or if any other general adjustment applicableto the industry is made in the pricing, freight benefits orother increased level <strong>of</strong> costs that <strong>DB</strong> <strong>Schenker</strong> cannotinfluence, <strong>DB</strong> <strong>Schenker</strong> reserves the right to make thecorresponding price adjustment.Legal stipulations, including stipulations that entaillimitations on the maximum load that may be carried ona vehicle, can, in certain cases not stated in the <strong>Terms</strong> <strong>and</strong><strong>Conditions</strong> <strong>of</strong> <strong>Transport</strong>, necessitate deviations from the<strong>Terms</strong> <strong>and</strong> <strong>Conditions</strong> <strong>of</strong> <strong>Transport</strong>.The transport times according to the <strong>DB</strong> <strong>Schenker</strong> timetableare estimated <strong>and</strong> must not be seen as a time assurance.Deviating transport times can occur at locations withseasonal <strong>and</strong> volume variations <strong>and</strong> for transportation <strong>of</strong>goods with special features, such as, but not limited to:• Goods, the length <strong>and</strong> width <strong>of</strong> which exceed 2.4 m <strong>and</strong>the height <strong>of</strong> which exceeds 2.2 m (domestic) or 2.0 m(international)• <strong>Transport</strong>ation <strong>of</strong> dangerous goods• Heated transportation• Goods with defective or damaged packaging• Incorrectly or incompletely addressed goods ortransport instructionsExtra transport time will be required for transport thatis to be advised or delivered COD.<strong>DB</strong> <strong>Schenker</strong> reserves the right during h<strong>and</strong>ling <strong>and</strong>production to prioritise the consignments where allphysical items are marked with an approved st<strong>and</strong>ardtransport label (STL) <strong>and</strong> have correct transportinstructions transferred via EDI/Internet to <strong>DB</strong> <strong>Schenker</strong>.The <strong>DB</strong> <strong>Schenker</strong>/agreed timetable does not apply to otherconsignments.Unless otherwise agreed separately, <strong>DB</strong> <strong>Schenker</strong> isentitled to choose the mode <strong>of</strong> transport <strong>and</strong> route <strong>and</strong>,at its own discretion, send consignments directly or withtransshipment.1.2 Dispatching <strong>of</strong> goods1.2.1 Packaging <strong>of</strong> goodsIt is the consignor’s responsibility to package goods<strong>and</strong> parcels, taking into consideration the fragility <strong>of</strong>their contents so they can withst<strong>and</strong> normal transportmovements in the groupage service. The groupage service<strong>of</strong>ten includes terminal h<strong>and</strong>ling <strong>and</strong> mechanical sorting.The package should be designed in such a way so as notto cause damage to other goods during transportation.An individual item weighing over 25 kg should be markedwith a special label. This only applies to items that are tobe h<strong>and</strong>led manually.When defining items, the following characteristics areto be used to describe an item intended for transport,regardless <strong>of</strong> the transport product:• physically connected as one unit• physically manageable in one piece• minimum unit that <strong>DB</strong> <strong>Schenker</strong> takes responsibility for• has a unique identity• physically marked with the identity4


Where the dangerous goods are loaded in a container <strong>and</strong>transport is followed by sea transport, a signed packingcertificate/stowage certificate must be prepared by theperson responsible for the load for enclosure with theother documents. Each item must have the prescribedmarking <strong>and</strong> labelling.1.4.7 Wines <strong>and</strong> spirits – Contact your <strong>DB</strong> <strong>Schenker</strong> <strong>of</strong>fice.1.4.8 Weapons – Contact your <strong>DB</strong> <strong>Schenker</strong> <strong>of</strong>fice.1.4.9 Goods <strong>and</strong> storage insuranceGoods insurance is not included in the basic undertakingbut can be taken out through <strong>DB</strong> <strong>Schenker</strong>, see underOptions. With the amendment <strong>of</strong> §27 C.3 in the General<strong>Conditions</strong>, storage insurance is only taken out followinginstructions from the customer.2. Surcharges <strong>and</strong> option costsFor supplementary/optional services in addition to thebasic undertaking, there will be surcharges, which aredecided in agreement with the consignor or/freight payer(also applies to consignee freight).For example:Options• Special equipment (e.g. forklift truck <strong>and</strong> crane truck)for loading <strong>and</strong> unloading• Special securing devices• Return <strong>of</strong> a receipt• Special equipment on a vehicle, rear lift in certain countries• Obtaining a permit <strong>and</strong> special measures according tothe permit terms <strong>and</strong> conditions in conjunction withtransport where dispensation is assumed from applicabletraffic regulations• Special measures in conjunction with the transport <strong>of</strong>objects higher than 2.2 m (international 2.0 m), longerthan 6 m or wider than 2.4 m• Measures resulting from the requirement that transporttakes place without reloading or using a certain means<strong>of</strong> transport• The cost <strong>of</strong> returning the Ti part <strong>of</strong> the waybill or othertransport document together with the invoice.• Special monitoring/supervision <strong>of</strong> vehicles carryingcertain dangerous goods according to the stipulations inADR, ADR-S• <strong>Transport</strong> support – production <strong>of</strong> transport supportdocumentation• Specified unloading timeSurcharges• Amended charge as a result <strong>of</strong> an incorrectly statedpayment instruction• Cost <strong>of</strong> correcting incorrect <strong>and</strong>/or incomplete transportinstructions• Cost <strong>of</strong> incorrect transport instructions• Charge for parcel consignments <strong>and</strong> individual parcelsthat exceed the stated weight <strong>and</strong> volume stipulations• Special internal cleaning <strong>of</strong> vehicles• Dead weight as a result <strong>of</strong> a cancelled assignment notbeing cancelled within a reasonable period <strong>of</strong> time priorto the agreed loading time• Reloading as a result <strong>of</strong> local traffic regulations orlimited access3. Freight calculation <strong>and</strong> terms <strong>and</strong>conditions <strong>of</strong> payment3.1 Freight calculationFreight is calculated according to the price list agreedbetween the customer <strong>and</strong> <strong>DB</strong> <strong>Schenker</strong>, or according toa price list adopted by <strong>DB</strong> <strong>Schenker</strong>. In addition to thepart <strong>of</strong> the freight stated in the price list, certain freightsupplements <strong>and</strong> surcharges are payable as well as chargesfor supplementary services <strong>and</strong> options over <strong>and</strong> above thebasic undertaking.Certain transport movements require certain measures,equipment or aids over <strong>and</strong> above the basic undertaking.For such transport movements, <strong>and</strong> for other services over<strong>and</strong> above the basic undertaking, surcharges are debited orthe freight is calculated differently from what is as statedin the price lists.3.2 <strong>Terms</strong> <strong>and</strong> conditions <strong>of</strong> paymentIn the case <strong>of</strong> domestic goods, the freight should be paidin full, either by the consignor or by the consignee.In the case <strong>of</strong> international goods, the freight costs,charges etc. are divided between the seller <strong>and</strong> the purchaseraccording to Combiterms 2011 – L<strong>and</strong> transport,unless otherwise agreed.The client should always inform the carrier <strong>of</strong> theCombiterms applicable.The consignor is liable for the payment <strong>of</strong> freight forgoods that can spoil quickly or the value <strong>of</strong> which cannotbe guaranteed to cover the freight cost. The consignor isliable for payment <strong>of</strong> all costs related to a consignmentthat is not collected by the consignee.If <strong>DB</strong> <strong>Schenker</strong> invoices the consignee <strong>and</strong> the consigneerefuses to pay, stating that a different agreement wasreached between the consignee <strong>and</strong> the consignor, theconsignor is liable for payment <strong>of</strong> the freight. The sameshall apply if the consignee, after the end <strong>of</strong> the paymentperiod <strong>and</strong> after a reminder has been sent, has not paidthe freight.Freight <strong>and</strong> other charges are stated excluding VAT.<strong>DB</strong> <strong>Schenker</strong>’s general terms <strong>of</strong> payment are ten (10) daysnet from the date <strong>of</strong> the invoice unless payment in cash isdem<strong>and</strong>ed by <strong>DB</strong> <strong>Schenker</strong>.The minimum charge per consignment is SEK 160, excludingoptions <strong>and</strong> surcharges. For <strong>DB</strong> SCHENKERcoldsped,the minimum charge is SEK 180 per consignment. Theminimum charge does not apply to <strong>DB</strong> SCHENKERparcel.An extended period <strong>of</strong> credit can be granted in exceptionalcases <strong>and</strong> is regulated through an interim agreement, whereupon which a credit charge is payable on the invoiceamount for each extra day <strong>of</strong> credit over <strong>and</strong> above thegeneral ten (10) days.Freight credit can be obtained after a separate review<strong>and</strong> on presentation <strong>of</strong> customary security, such as adeposit, an on account payment or a bank guarantee.An invoicing charge is debited according to the<strong>DB</strong> <strong>Schenker</strong> rules applicable at the time the invoiceis issued.If there is a delay in payment, the <strong>DB</strong> <strong>Schenker</strong> penaltyinterest applicable at the time the invoice was issued isdebited <strong>and</strong> is charged from the due date stated on theinvoice. The interest on overdue payments is currently1.8% per month. A statutory reminder fee is debited ifa written reminder is issued.7


Claims for corrections <strong>of</strong> an invoice to a customer must bemade within two (2) months <strong>of</strong> the invoice date.Claims for transport damage must be presented separatelyfor individual processing (cannot be set <strong>of</strong>f againstunsettled freight invoices).When there is more than one consignor, the freight payershall be named in a separate agreement.<strong>DB</strong> <strong>Schenker</strong> can return a consignment reference onthe transport invoice <strong>and</strong> present in Tracking assumingthat a reference has been sent correctly in the transportinstructions via EDI by the <strong>Transport</strong> customer*.* Exception, Parcel International <strong>and</strong> text length limitationper <strong>DB</strong> <strong>Schenker</strong> product.3.3 Faults related to consignmentsConsignments received for transport <strong>and</strong> which areincomplete, i.e. where the remaining item(s) are to bepresented later, are regarded as new consignments <strong>and</strong> anew freight charge will be debited.If the transport instructions/waybill lack weight/volumedetails, or if they contain incorrect weight/volume details,<strong>DB</strong> <strong>Schenker</strong> reserves the right to check <strong>and</strong> measure theweight. The new weight/volume information is added tothe transport instructions/waybill to calculate the freight.4. Supplementary conditions for domestictransport in Sweden4.1 <strong>DB</strong> <strong>Schenker</strong>’s extended liabilityFor domestic transportation (original consignor <strong>and</strong> finalconsignee in Sweden) <strong>DB</strong> <strong>Schenker</strong> assumes extendedliability over <strong>and</strong> above the provisions in the General<strong>Conditions</strong> as follows:§ 21 General <strong>Conditions</strong> in NSAB 2000The client is entitled to compensation if the goods arelost if h<strong>and</strong>-over could have taken place within 30 days<strong>of</strong> the goods being received for transport. Exceptionsare temperature-controlled goods where the shelf life isshorter than 30 days.§ 22 General <strong>Conditions</strong> in NSAB 2000For <strong>DB</strong> SCHENKERparcel liability is limited to SEK 50,000per damaged or lost delivery (irrespective <strong>of</strong> weight).‘Delivery’ refers to transportation <strong>of</strong> one or more itemsfrom the same consignor to the same consignee on thesame occasion.Compensation for services involving delivery via anagent is limited to SEK 5,000 per package.For domestic goods, liability is limited to SEK 150per gross kilo in accordance with the terms laid outin legislation concerning Swedish domestic roadtransportation.§ 23 General <strong>Conditions</strong> in NSAB 2000In the event <strong>of</strong> forwarding by another mode <strong>of</strong> transportonce the goods have been loaded onto a truck or otherload carrier, limitations <strong>of</strong> liability according to theGeneral <strong>Conditions</strong> do not apply (according to NSAB 2000)to damage, shrinkage or loss that could only have arisenduring <strong>and</strong> as a result <strong>of</strong> such forwarding.Amending § 16 section g, NSAB, <strong>DB</strong> <strong>Schenker</strong>’s liabilityalso covers damage to goods resulting from a trafficaccident, fire or theft.The supplementary conditions above do not apply todomestic transport that is part <strong>of</strong> cross-border transport.For such transport, the CMR convention is primarilyapplicable.Insured goods. When damage, shrinkage or loss can becompensated through separate goods insurance taken outby the customer, <strong>DB</strong> <strong>Schenker</strong> is liable to the entitled partyin accordance with NSAB 2000.4.2 Other supplementary conditionsRight <strong>of</strong> disposal. The consignor has right <strong>of</strong> disposal overthe goods until the goods are delivered to the consignee orplaced at the consignee’s disposal at the stated location.From this time onwards the consignee has right <strong>of</strong>disposal.Obstacles preventing delivery <strong>of</strong> the goodsIf delivery <strong>of</strong> the goods is hindered <strong>and</strong> the consignor doesnot supply adequate instructions concerning what to dowith the goods, <strong>DB</strong> <strong>Schenker</strong> is entitled to sell the goods:a) immediately, in the case <strong>of</strong> goods at risk <strong>of</strong> spoiling orrapid ruin or that require excessively expensive care, orb) in the case <strong>of</strong> other goods, after 60 days <strong>of</strong> the goodsbeing received for forwarding.<strong>DB</strong> <strong>Schenker</strong> shall, as far as possible, inform the consignorin advance that the goods are to be sold. After deduction<strong>of</strong> <strong>DB</strong> <strong>Schenker</strong>’s claims based on the transport assignment<strong>and</strong> other claims that may be applicable to the goods aswell as costs for storage <strong>and</strong> sale <strong>of</strong> the goods, the salesum shall be remitted to the consignor without delay,provided this person’s address is known to <strong>DB</strong> <strong>Schenker</strong>.If the consignor’s address is not known, <strong>and</strong> the funds dueare not claimed within one year <strong>of</strong> the date <strong>of</strong> sale, thesaid funds become the property <strong>of</strong> <strong>Schenker</strong>.5. Claims5.1 Damaged goodsLiability<strong>DB</strong> <strong>Schenker</strong>’s responsibility as a carrier comes into effectwhen, through authorised personnel, <strong>DB</strong> <strong>Schenker</strong> takescontrol <strong>of</strong> the consignment, <strong>and</strong> responsibility stops whenthe consignment is h<strong>and</strong>ed over to the consignee at thedestination or when it is placed at the consignee’s disposalaccordingt to 1.3.If an agreement has been reached that the consignor,without <strong>DB</strong> <strong>Schenker</strong>’s involvement, puts together full loadunits for transport by <strong>DB</strong> <strong>Schenker</strong> <strong>and</strong>, in conjunctiontherewith, <strong>DB</strong> <strong>Schenker</strong> is prevented, when collecting theunit, from performing the customary collection check <strong>of</strong>the individual items in the load unit, <strong>DB</strong> <strong>Schenker</strong> is onlyresponsible for damage to or loss <strong>of</strong> individual items oncondition that it is shown that the damage or loss occurredduring <strong>DB</strong> <strong>Schenker</strong>’s period <strong>of</strong> liability <strong>and</strong> for reasons forwhich <strong>DB</strong> <strong>Schenker</strong> is responsible.In the event <strong>of</strong> subsequent transport with differentcarriers, <strong>DB</strong> <strong>Schenker</strong> is not responsible if it is likely thatdamage has not occurred during the period <strong>DB</strong> <strong>Schenker</strong>was responsible for the consignment.8


If there is an agreement on temperature-regulatedtransportation, <strong>DB</strong> <strong>Schenker</strong> is liable for any damage to thegoods arising as a direct consequence <strong>of</strong> the load area notmaintaining the agreed temperature range.However, if, when the goods are h<strong>and</strong>ed over to <strong>DB</strong> <strong>Schenker</strong>,they are in such a condition – e.g. <strong>of</strong> such ripeness, age or atsuch a temperature – that they are unable to endure transportation<strong>of</strong> the type in question, <strong>DB</strong> <strong>Schenker</strong> is not liable.ClaimsDamage, shrinkage or loss that is visible must be reportedimmediately on receipt <strong>of</strong> the goods <strong>and</strong> noted on thesigned copy <strong>of</strong> the transport document or other document.Recipients <strong>of</strong> a consignment are obliged to checkimmediately on receipt if the goods have suffered anydamage that is hidden by the packaging.Any hidden damage must be reported to <strong>DB</strong> <strong>Schenker</strong>as soon as possible, although no later than seven (7)days after receipt <strong>of</strong> the consignment. <strong>DB</strong> <strong>Schenker</strong> isnot responsible for any hidden damage reported aftertransport if the goods have previously been transported orh<strong>and</strong>led <strong>and</strong> have not been checked for any hidden damageprior to the last transport movement.Complaints relating to damage to goods arising as a result<strong>of</strong> the load space not maintaining the agreed temperatureshall be made at the time <strong>of</strong> delivery.5.2 Delayed goodsLiability <strong>and</strong> claimsWishes or conditions specified by the customer regardingdelivery time, e.g. on the waybill/transport instructions,are not binding on <strong>DB</strong> <strong>Schenker</strong>.Following amendment to §20 General <strong>Conditions</strong>,compensation is provided for a delay in transportaccording to the normal timetable or where there is aspecially-agreed time assurance when a claim is made <strong>and</strong>when damage as a result <strong>of</strong> the delay can be shown to haveoccurred.6. Input6.1 Agreement orderUnless otherwise agreed, documents <strong>and</strong> agreements shallapply in the following order:• <strong>Conditions</strong> agreed in an individual case• EDI agreement (takes precedence over agreementprerequisites <strong>and</strong> EDI order)• General EDI provisionsInformation regarding compulsory delivery details, as wellas instructions on how to fill in transport instructions/STE label, can be found in the ‘Instructions for transportdocuments’ fact sheet.Information on compulsory delivery details, as well asinstructions on how to fill in a waybill/STL label, can befound in the ‘Instructions for transport documents’ factsheet.6.2 <strong>DB</strong> <strong>Schenker</strong> general EDI provisions<strong>DB</strong> <strong>Schenker</strong> General EDI provisions are based on General<strong>Terms</strong> <strong>and</strong> <strong>Conditions</strong> according to EDI Agreement 2004drawn up by GEA (Alliance for Electronic Commerce).Agreement prerequisites <strong>and</strong> these General EDI provisionsregulate the terms <strong>and</strong> conditions for the parties’ exchange<strong>of</strong> EDI messages.Parties using <strong>DB</strong> <strong>Schenker</strong>’s Web-TA to send transportinstructions electronically accept application <strong>of</strong> theseGeneral EDI Provisions directly when requesting access to<strong>DB</strong> <strong>Schenker</strong>’s Web-TA.6.3 DefinitionsIn the Agreement prerequisites <strong>and</strong> the General EDIProvisions, the terms, concepts <strong>and</strong> definitions are asfollows:Party 1 refers to <strong>DB</strong> <strong>Schenker</strong> <strong>and</strong> Party 2 refers to thetransport agreement customer.An EDI customer is a customer who sends electronictransport instructions (IFTMIN) to <strong>DB</strong> <strong>Schenker</strong>.An EDI message is a coherent entity with data, that isstructured in accordance with the agreed message st<strong>and</strong>ards<strong>and</strong> is in a format that can be transferred between <strong>and</strong>processed by both parties’ information systems.EDI refers to the automated electronic exchange <strong>of</strong> EDImessages between the parties’ information systems.Exchange <strong>of</strong> EDI messages refers to both the sending <strong>and</strong>receiving <strong>of</strong> EDI messages.<strong>Transport</strong> instruction refers to an EDI message sentby Party 2, containing the details required according to<strong>DB</strong> <strong>Schenker</strong>’s AGI, Instructions for goods labelling <strong>and</strong>information transfer, to enable <strong>DB</strong> <strong>Schenker</strong> to carry outthe assignment.VAN supplier is a third party that manages a communicationssystem <strong>and</strong>/or EDI system for one party inconjunction with the exchange <strong>of</strong> EDI messages inaccordance with the Agreement prerequisites.6.4 Information system for EDI exchangeEach party is responsible for maintaining informationsystem availability to facilitate the agreed exchange <strong>of</strong>EDI messages.During implementation <strong>and</strong> throughout the duration <strong>of</strong> theAgreement, each party shall perform tests <strong>and</strong> employ othermeasures to ensure that the information system fulfilsall requirements according to the Agreement prerequisites<strong>and</strong> the General EDI Provisions. Each party is responsiblefor its own costs for exchange <strong>of</strong> EDI messages throughoutthe duration <strong>of</strong> the Agreement, unless agreed otherwise.Each party has the right, at its own expense <strong>and</strong> risk, touse a VAN supplier or other third party to provide servicessuch as exchange, processing, storage or other actionrelated to EDI messages. If the parties engage the sameVAN supplier or other third party, <strong>and</strong> the issue <strong>of</strong> liabilityarises for a particular action this third party has taken, theparty on whose behalf the action was taken will be liable inrelation to the other party.If either party intends to modify parts <strong>of</strong> its informationsystem in a way that can be expected to affect theexchange <strong>of</strong> EDI messages, the counter-party shall benotified <strong>of</strong> this well in advance so that the parties can9


jointly carry out appropriate testing to ensure thatexchange <strong>of</strong> EDI messages can be exchanged in the agreedmanner even after the modifications.6.5 Exchange <strong>of</strong> EDI messagesA party receiving an EDI message in accordance with theAgreement prerequisites shall attend to <strong>and</strong> process themessage without delay.<strong>DB</strong> <strong>Schenker</strong> recommends that Party 2 transfers EDI filesimmediately following print-out <strong>of</strong> the transport documentor on an ongoing basis several times a day to ensure thatthe EDI information is available at Party 1 before theconsignment arrives at the terminal.If no other time is specified in the Agreementprerequisites, Party 2 must send the transport instructionsto Party 1 without delay <strong>and</strong> no later than immediatelyafter the goods are loaded at Party 2. This also applies inconjunction with use <strong>of</strong> a Third Party.For international consignments, the information shouldnormally be transferred in conjunction with the order.For certain transport arrangements <strong>and</strong> customsconsiderations, the consignment information must betransferred to <strong>DB</strong> <strong>Schenker</strong> in conjunction with the orderbefore the unit can be loaded.Party 2 is responsible for ensuring that the content <strong>of</strong> thetransport instructions concurs with the goods that havebeen loaded.In the event <strong>of</strong> a deviation between the content <strong>of</strong> EDImessages exchanged by the parties <strong>and</strong> correspondinginformation submitted on paper or using another medium,the EDI message applies unless it is evident that thesending party intended the information submitted usinganother medium to take precedence.Party 2 shall keep security copies/back-ups <strong>of</strong> transfersmade for at least five (5) working days, so that these canbe resent on request.Both parties must be able to show pro<strong>of</strong> <strong>of</strong> sent <strong>and</strong>received messages for at least the past 30 calendar days,calculated from the planned transport date. Extracts mustbe readable <strong>and</strong> be provided free <strong>of</strong> charge.6.6 EDI message – exchange failure or errorIf either party finds that a message cannot be exchangedvia EDI, or if corruption is detected in an EDI message,the counter-party must be notified immediately. The partymust then send the information in accordance with theprocedure approved in advance by the counter-party.Once the fault has been rectified, the parties must jointlydecide on <strong>and</strong> perform the necessary tests before ordinaryexchange <strong>of</strong> EDI messages resumes.If transport instructions are missing prior to the arrival<strong>of</strong> the goods at the first terminal, this may result in thegoods not being unloaded or being transferred to a storagearea where they will be subject to storage costs at currentrates. Party 1 reserves the right to charge Party 2 for alladditional costs resulting from the absence <strong>of</strong> transportinstructions. However, such costs are not debited ifParty 2, after a message from Party 1, has made use <strong>of</strong>the procedure approved in advance by the other party. Itis only if Party 2, despite receiving information about themissing transport instructions, has not sent a new copy orutilised the procedure approved in advance by the counterparty,that costs can be charged.In the event <strong>of</strong> a missing EDI message, Party 1 must informParty 2’s contact person according to the Agreementprerequisites. In the absence <strong>of</strong> transport instructions atthe time <strong>of</strong> the arrival <strong>of</strong> the goods at the first terminal,no timetables or guarantees apply.In the event <strong>of</strong> a computer breakdown affecting one <strong>of</strong> theparties or to/at the VAN supplier, the contact person forthe counter-party must be informed <strong>of</strong> this according tothe Agreement prerequisites. In the event <strong>of</strong> a computerbreakdown, the parties shall assist one another to the best<strong>of</strong> their ability.6.7 Binding effect <strong>of</strong> EDI messagesWhen transport agreements, legal requirements or otherdirectives require that messages be delivered in writing,this requirement is considered to be fulfilled by EDI messagesexchanged according to Agreement prerequisites <strong>and</strong>these General EDI Provisions.An EDI message shall, unless proven otherwise, beregarded as having been received by the receiving partyonce the transfer that includes the message has beenlogged as received in the agreed format by the receivingparty, or, if the party’s VAN supplier, according to the logkept by the VAN supplier, has received EDI messages.An EDI message shall, unless proven otherwise, beregarded as having been sent by the sending party oncethe transfer that includes the EDI message has been loggedas sent by the sending party, or, if EDI messages have beensent via the party’s VAN supplier, according to the log keptby the VAN supplier.The sending party bears the risk <strong>of</strong> the EDI messages thatform part <strong>of</strong> a transfer being lost, delayed or corruptedduring transfer until the transfer has been logged as received.An EDI message sent by either party in accordance withthe Agreement prerequisites shall be regarded as havingbeen sent with authorisation <strong>and</strong> binding on the sendingparty unless the sending party can prove that the EDI messagewas sent without authorisation <strong>and</strong> that the counterpartywas or should have been aware <strong>of</strong> this.<strong>DB</strong> <strong>Schenker</strong> reserves the right to amend details in anelectronically sent <strong>Transport</strong> Instruction to ensure that theassignment can be completed.6.8 EDI message securityThe parties shall implement <strong>and</strong> maintain procedures<strong>and</strong> technology for protecting EDI messages <strong>and</strong> securitycopies/back-ups against unauthorised access, corruption,loss <strong>of</strong> information <strong>and</strong> other harmful actions.6.9 ConfidentialityAny information that a party obtains by means <strong>of</strong> theexchange <strong>of</strong> information in accordance with the Agreementprerequisites <strong>and</strong> these General EDI provisions shallbe h<strong>and</strong>led in accordance with the confidentiality rulesstipulated in the transport agreement. If either partyengages a VAN supplier, the party in question shall ensurethat the VAN supplier is also bound by such confidentiality.10


In the event information held by a party can be consideredto be in the public domain, then the party shall observethe statutory provisions regarding the accessibility <strong>and</strong>confidentiality <strong>of</strong> such documents as applicable. If eitherparty receives an EDI message from a sending party whichis obviously intended for someone else, it is the duty <strong>of</strong>the receiving party to inform the sending party <strong>of</strong> thisimmediately <strong>and</strong> to delete the EDI message, but not itscorresponding security copy/back-up.6.10 LiabilityIf either party, or a VAN supplier or other third partyengaged by either party, violates the provisions <strong>of</strong> theAgreement prerequisites or these General EDI Provisions,the party concerned is liable to compensate the counterpartyfor any resulting damage. Compensation shall onlybe payable for direct damage, unless the damage has beencaused deliberately or through gross negligence.6.11 Applicable law <strong>and</strong> dispute resolutionIn the event <strong>of</strong> a dispute arising out <strong>of</strong> or in connectionwith the Agreement prerequisites or these General EDIProvisions, the provisions <strong>of</strong> the transport agreement shallapply as regards applicable law <strong>and</strong> the method <strong>of</strong> disputeresolution. Unless stipulated otherwise in the transportagreement, the dispute shall be resolved in a Swedishcourt <strong>of</strong> law <strong>and</strong> with the application <strong>of</strong> Swedish law.7. Force Majeure<strong>DB</strong> <strong>Schenker</strong> shall be released from liability to perform anassignment if <strong>DB</strong> <strong>Schenker</strong> is prevented from so doing bycircumstances over which <strong>DB</strong> <strong>Schenker</strong> had no control <strong>and</strong>which it could not reasonably have foreseen. <strong>DB</strong> <strong>Schenker</strong>shall inform the customer immediately when such asituation occurs or ceases.A party is entitled, with immediate effect, to give notice <strong>of</strong>termination <strong>of</strong> an agreement or to terminate an agreementwhen such a situation persists for more than one (1) month,when a certain period <strong>of</strong> notice has been agreed or after aperiod corresponding to the period <strong>of</strong> notice.8. MiscellaneousPrices/charges that are not stated in this brochure whichare applicable to certain types <strong>of</strong> transport or goods etc.can be charged in addition to those stated herein. If, as aresult <strong>of</strong> the specific dem<strong>and</strong>s <strong>and</strong> wishes <strong>of</strong> the customer,transport is performed in a manner that deviates from<strong>DB</strong> <strong>Schenker</strong>’s normal routines, a special agreement concerningterms, conditions <strong>and</strong> prices should be reached.11

Collection takes place at theconsignor as agreed. A collection charge is added if thenumber <strong>of</strong> consignments when collected is less than five(5) on any one occasion. No collection charge is made forpackages collected at the same time as goods from <strong>DB</strong>SCHENKERsystem.Loading/unloading<strong>DB</strong> SCHENKERsystem, -direct <strong>and</strong> -coldsped (as well asconsignments with an actual weight over 650 kg)Loading <strong>and</strong> unloading are performed by the vehicle crew(one person). The consignor or the consignee shall provideany necessary assistance. If the consignor or consigneecannot provide the assistance that the basic undertakingpresupposes <strong>and</strong> as a result there<strong>of</strong> extra personnel <strong>and</strong>/or equipment are required, a surcharge is made. For detailsregarding securing <strong>of</strong> loads, see information 1.2.3.<strong>DB</strong> SCHENKERparcelDelivery <strong>of</strong> a parcel is to the delivery address stated, insidethe company’s door or gate or to a stated floor, receptionarea or functioning incoming goods reception point.International consignments are an exception to this ruleThe consignor/consignee is obliged to deal with the loading<strong>and</strong> unloading <strong>of</strong> the vehicle according to the driver’sinstructions <strong>and</strong> the driver shall provide the necessaryassistance. In conventional road transport, the driver shallprovide assistance to ensure that loading <strong>and</strong> unloading cantake place from the side <strong>of</strong> the vehicle from/to a loading bayor the ground at a location sheltered from the weather <strong>and</strong>external influences.Securing goods<strong>DB</strong> SCHENKERsystem <strong>and</strong> -directThe consignor is obliged, when the consignor h<strong>and</strong>lesthe loading, to secure the goods. Freight calculationThe term consignment refers to goods included in transport instructions from oneor several consignors to one consignee at a certain location <strong>and</strong> made available fortransport on one occasion. A consignment may not exceed the weight/volume <strong>of</strong>the load capacity <strong>of</strong> the vehicle.To assess the weight-based freight, the following information must always be statedfor the full consignment in addition to the weight in full kg:– Volume in cubic metres. The value is stated to two decimal places followed by m 3 .– Flat metres. Must be stated for consignments that are difficult to pack <strong>and</strong> ontop <strong>of</strong> which other goods cannot be loaded. The value should be stated to onedecimal place followed by FLM.– Pallet space = non-stackable pallet. Combiterms 2000Incoterms 2010Combiterms 2010 – L<strong>and</strong> transportIn the case <strong>of</strong> cross-border transport assignments <strong>DB</strong> <strong>Schenker</strong> makes use <strong>of</strong> <strong>of</strong> theCombiterms 2011 rules.Combiterms were first published in 1969 <strong>and</strong> with thisversion they have been updated four times. This takesplace each time in association with the correspondingrevision <strong>of</strong> Incoterms, which are the interpretation rulesfor the International Chamber <strong>of</strong> Commerce for the moreimportant delivery clauses in world trade.Combiterms, which do not compete with Incoterms, are anaid when translating the legal text Incoterms into a costdivision between seller <strong>and</strong> buyer.In a simple <strong>and</strong> easily underst<strong>and</strong>able way Combitermsshows the costs which arise in conjunction with crossbordertransport. Examples <strong>of</strong> such costs are collection,storage, loading, unloading <strong>and</strong> distribution. Other examplesare customs, taxes <strong>and</strong> charges as well as the CIPinsurance costs clause.Particularly in conjunction with the transport <strong>of</strong> groupage,costs arise which could be difficult to divide betweenvendor <strong>and</strong> purchaser. Combiterms solve this by combiningthe terms <strong>of</strong> trade with an easily underst<strong>and</strong>able systemfor dividing costs between the parties.
