Your Direc<strong>to</strong>rs welcome Mr. Nazim Mohamed Ashraf Furniturewala and Mr. Vipin Agarwal on the Board of the Company and also<br />
take th<strong>is</strong> opportunity <strong>to</strong> place on record their appreciation for the valuable services rendered by Mr. Nadeem Mohamed Ashraf<br />
Furniturewala and Mr. R.K. Jain during their tenure as Direc<strong>to</strong>rs of the Company.<br />
Mr. Nazim Mohamed Ashraf Furniturewala and Mr. Vipin Agarwal hold offi ce up<strong>to</strong> the forthcoming Annual General Meeting. Your<br />
Direc<strong>to</strong>rs recommend their appointment as Direc<strong>to</strong>rs on the Board of the Company.<br />
None of the Direc<strong>to</strong>rs of your Company <strong>is</strong> d<strong>is</strong>qualifi ed as per prov<strong>is</strong>ion of Section 274 (1)(g) of the Companies Act, 1956.<br />
Major Narender Pal was appointed as “Manager” under Companies Act,1956 with eff ect from 04.07.2009.<br />
AUDITORS<br />
The Audi<strong>to</strong>rs of the Company, M/s Jain Singhal & Associates, Chartered Accountants, New Delhi Audi<strong>to</strong>rs of the Company, retire at<br />
the conclusion of the forthcoming Annual General Meeting and being eligible off er themselves for re-appointment.<br />
The observation of the Audi<strong>to</strong>rs and the relevant notes on the accounts are self-explana<strong>to</strong>ry and therefore, do not call for any further<br />
comments.<br />
DIRECTORS’ RESPONSIBILITY STATEMENT<br />
Pursuant <strong>to</strong> Section 217(2AA) of the Companies Act, 1956 and subject <strong>to</strong> d<strong>is</strong>closures in the Annual Accounts, we state as under :-<br />
i) that in the preparation of the annual accounts for the fi nancial year ended 31st March, 2009, the applicable accounting<br />
standards have been followed and that there have been no material departures.<br />
ii) that the Direc<strong>to</strong>rs have selected such accounting policies and applied them cons<strong>is</strong>tently and made judgment and estimates<br />
that were reasonable and prudent so as <strong>to</strong> give a true and fair view of the state of aff airs of the Company at the end of the<br />
fi nancial year and of the profi ts of the Company for the year under review.<br />
iii) that the Direc<strong>to</strong>rs have taken proper and suffi cient care for the maintenance of adequate accounting records in accordance<br />
with the prov<strong>is</strong>ions of the Companies Act, 1956 for safeguarding the assets of the Company and for preventing and detecting<br />
fraud and other irregularities.<br />
iv) that the Direc<strong>to</strong>rs have prepared the annual accounts on a going concern bas<strong>is</strong>.<br />
PARTICULARS OF EMPLOYEES<br />
There are no employees whose particulars are required <strong>to</strong> be furn<strong>is</strong>hed pursuant <strong>to</strong> Section 217 (2A) of the Companies Act, 1956,<br />
read with the Companies (Particulars of Employees) Rules, 1975.<br />
CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION AND FOREIGN EXCHANGE EARNINGS AND OUTGO<br />
Information under Section 217(1)(e) of the Companies Act, 1956, read with the Companies (D<strong>is</strong>closure of Particulars in the Report of<br />
Board of Direc<strong>to</strong>rs) Rules, 1988 <strong>is</strong> given in Annexure ‘A’ forming part of th<strong>is</strong> Report.<br />
PERSONNEL<br />
Relations with the Employees remain cordial and harmonious throughout the year, thereby strengthening the commitment of the<br />
Employees at all level <strong>to</strong> the growth of the Company.<br />
ACKNOWLEDGEMENT<br />
The Direc<strong>to</strong>rs acknowledge with gratitude the cooperation extended by various Government Agencies, Banks and other stakeholders<br />
during the period under review. The Board also takes th<strong>is</strong> opportunity <strong>to</strong> express its deep gratitude for the continuous support and<br />
wholehearted cooperation given by the employees of the Company working at various levels.<br />
