This report should be read in conjunction with, and construed in accordance with, French law and professionalauditing standards applicable in France.-------------To the shareholders:As the statutory auditors of Guerbet and in accordance with article L.225-235- of the French commercialcode, we hereby report to you on the document prepared by the Chairman of your company in accordancewith article L. 225-37- of said code for the year ended 31 December 2012.The Chairman is required to prepare a report describing the internal control and risk managementprocedures implemented within the Company and providing the other information required by article L. 225-37 of the French Commercial Code notably relating to the system of corporate governance.It is our responsibility to:Report our observations on the information set out in the Chairman’s report on the internal controland risk management procedures relating to the preparation and processing of financial andaccounting information, and;Certify that the report contains the other information required by article L. 225-37- of the FrenchCommercial Code, knowing that we are not responsible for verifying the fairness of this otherinformation.We performed our procedures in accordance with professional standards applicable in France.Information concerning the internal control and risk management procedures relating to thepreparation and processing of financial and accounting informationProfessional accounting standards require that we perform procedures to assess the fairness of theinformation on the internal control and risk management procedures relating to the preparation andprocessing of financial and accounting information set out in the Chairman’s report. These proceduresnotably consisted in:Obtaining an understanding of the internal control and risk management procedures relating to thepreparation and processing of financial and accounting information, on which the informationpresented in the Chairman’s report is based, as well as reviewing supporting documentation;Obtaining an understanding of the work performed to prepare this information, as well as reviewingsupporting documentation;Determining if material weaknesses in internal control procedures relating to the preparation andprocessing of financial and accounting information detected in the course of our engagement havebeen properly disclosed in the Chairman’s report.On the basis of these procedures, we have no matters to report in connection with the information given onthe internal control and risk management procedures relating to the preparation and processing of financialand accounting information, contained in the Chairman’s report, prepared in accordance with article L. 225-37- of the French Commercial Code.Other information37
