7.2.3.1 where the Product is delivered from the Seller's Vessel directly into<br />
static shore tanks (that is shore tanks to or from which no Product is<br />
being pumped other than the Product being delivered hereunder) the<br />
gross quantity of the Product so delivered shall be determined by the<br />
independent inspector by reference to Discharge Port meter<br />
measurements taken or witnessed by the independent inspector in<br />
accordance with API MPMS Chapter 5. Meters shall be proved prior<br />
to discharge by or in the presence of the independent inspector in<br />
accordance with API MPMS Chapter 4. Where metering facilities are<br />
not available, or where in the opinion of the independent inspector the<br />
meters did not perform in accordance with API MPMS Chapter 5, or<br />
where the meters were not proven prior to discharge in accordance<br />
with API MPMS Chapter 4, the gross quantity of the Product delivered<br />
hereunder shall be determined by reference to shore tank gaugings<br />
taken or witnessed by the independent inspector in accordance with<br />
API MPMS Chapter 3;<br />
7.2.3.2 where the Product is delivered from the Seller's Vessel directly into<br />
active shore tanks (that is shore tanks where Product is being pumped<br />
out of the tank during the discharge of the Product hereunder) and<br />
where no correctly functioning or proven Discharge Port meters are<br />
available in accordance with Section 7.2.3.1, the gross quantity of the<br />
Product delivered hereunder shall be determined by the independent<br />
inspector by reference to the Vessel’s discharged figures as adjusted<br />
by its Vessel Experience Factor at discharge (“VEFD”) in accordance<br />
with VEF Addendum to API MPMS Chapter 17.1;<br />
7.2.3.3 the certificates of quantity and quality issued by the independent<br />
inspector shall record that the independent inspector did witness, or<br />
himself undertook, the taking of samples and that the independent<br />
inspector did witness, or himself undertook the measurement of<br />
quantity and the analysis of such samples. For the avoidance of doubt,<br />
the parties agree that a certificate of quantity or quality countersigned<br />
by an independent inspector confirming these matters shall be a<br />
certificate of quantity or quality for the purposes of Section 7.2.1;<br />
7.2.3.4 in the event that the independent inspector did not undertake or did<br />
not witness the measurement of quantity or the taking of samples or<br />
the analysis of such samples then the certificates of quantity and<br />
quality issued or countersigned by him must expressly reflect this and<br />
it will not, in these circumstances, be a certificate of quantity and<br />
quality for the purposes of Section 7.2.1 but merely evidence of those<br />
matters undertaken or witnessed by the inspector.<br />
7.3 CFR and CIF Indicative Discharge Date<br />
Where the Seller expressly or impliedly provides the Buyer with a date or range of dates<br />
within which a nominated Vessel shall arrive at the Discharge Port these shall be indicative<br />
only, made by the Seller as an honest assessment without guarantee. The Seller shall not<br />
assume any responsibility for the delivery of the Product at the Discharge Port and save<br />
as regards the calculation of laytime and demurrage as set out in Section 13 below the<br />
rights and obligations of the parties including the provisions of Section 7.1 shall be the<br />
same in all respects as for CFR and CIF deliveries.<br />
7.4 Place of Certification<br />
Should it not be customary practice at the Loading Terminal at the time of shipment for<br />
measurement and sampling pursuant to Section 7.1 to take place at the Vessel’s manifold<br />
immediately prior to loading, or should the parties agree otherwise, then it is a condition<br />
of the Agreement that the Seller shall be obliged to provide the same quantity and quality<br />
