Section 25 – Definitions, etc.<br />
25.1 Definitions<br />
In the Agreement (as hereinafter defined) unless the context otherwise requires:<br />
25.1.1 “the Agreement” means these General Terms and Conditions (including, where<br />
applicable, the Schedules attached hereto) together with the Special Provisions;<br />
25.1.2 “API” means the American Petroleum Institute and “MPMS” means the API<br />
Manual of Petroleum Measurement Standards as amended from time to time;<br />
25.1.3 “Approved Industry Practice” means the measurement, sampling and analysis<br />
activities and methods of a standard no less than those laid down in the <strong>BP</strong><br />
Measurement Standards Manual and <strong>BP</strong>’s Requirements for Independent<br />
Inspection Companies current at the time of the Agreement;<br />
25.1.4 “Associated Company” shall, in relation to a party hereto, mean any company<br />
which is a subsidiary of such party, or a company of which such party is a<br />
subsidiary, or a company which is another subsidiary of a company of which such<br />
party is a subsidiary (“subsidiary” having the meaning ascribed to it in Section<br />
736 of the Companies Act, 1985);<br />
25.1.5 “<strong>BP</strong>” means <strong>BP</strong> plc and all associated and subsidiary companies;<br />
25.1.6 “<strong>BP</strong> Ship Vetting” means the <strong>BP</strong> Group Ship Vetting Service, including the <strong>BP</strong><br />
Ship Vetting Team, which administers and maintains the database concerning the<br />
<strong>BP</strong> Group Ship Vetting policy, whereby no vessel shall be used unless it has first<br />
been vetted by the <strong>BP</strong> Ship Vetting Service and approved for use by it;<br />
25.1.7 “Banking Day” unless the Agreement expressly provides to the contrary means<br />
a day other than a Saturday when clearing banks are open for business in<br />
London;<br />
25.1.8 “Barge” means<br />
(a) a self propelled vessel or towed/pushed dumb craft employed in port areas<br />
and sheltered waterways which is not classified as a sea-going vessel<br />
(inland barge), and/or<br />
(b) a towed/pushed dumb craft classified for sea-going trade (sea-going barge);<br />
25.1.9 “barrel” means a barrel of 42 US gallons at 60°Fahrenheit;<br />
25.1.10 “Berth” means a berth, dock, anchorage, submarine line, single point or single<br />
berth mooring facility, offshore location, alongside vessels or lighters or any other<br />
loading or discharge place as may be indicated by the party in question;<br />
25.1.11 “CFR” and “CIF” shall each have the meaning ascribed thereto in Incoterms<br />
2000 (as amended from time to time), except as modified by the Agreement;<br />
further, if there is any inconsistency or conflict between Incoterms and the<br />
Agreement, the Agreement shall prevail;<br />
25.1.12 “CFR Indicative Date Range” and “CIF Indicative Date Range” shall have the<br />
meanings ascribed to each respectively in Section 7.3;<br />
