unless otherwise provided herein, be deemed to have been received as follows:<br />
In the case of a communication sent by first class post within the United Kingdom, on the<br />
second day after it was posted.<br />
In the case of a communication sent by airmail, on the fifth day after it was posted.<br />
In the case of a communication by telex or by facsimile transmissions: if it is transmitted<br />
on a business day before 4.00 pm, then on that day: in any other case, on the business<br />
day after the day on which it is transmitted.<br />
In the case of a communication by courier: if delivered before 4.00 pm, then on that day:<br />
in any other case it will be treated as being received on the next business day.<br />
36.2 Any alterations to the contacts or addresses specified in the Special Provisions shall be<br />
notified immediately by letter, telex or facsimile to the other party.<br />
36.3 Notices may not be given by e-mail or by instant messaging and shall be invalid save in<br />
those circumstances where the parties to the Agreement have concluded an electronic<br />
protocol within the meaning of Section 40.8.1 or the provisions of Section 40.8.2 pertain.<br />
Section 37 – Trade controls and boycotts<br />
Notwithstanding anything to the contrary herein, nothing in the Agreement is intended, and<br />
nothing herein should be interpreted or construed, to induce or require either party hereto to act<br />
in any manner (including failing to take any actions in connection with a transaction) which is<br />
inconsistent with, penalised or prohibited under any laws of the United States of America or the<br />
United Kingdom, regulations or other official United States of America or United Kingdom<br />
government rules or requirements applicable to such party which relate to foreign trade controls,<br />
export controls, embargoes or international boycotts of any type.<br />
Section 38 – Facilitation Payments and Anti-Corruption<br />
38.1 The Buyer and the Seller each agree and undertake to the other that in connection with<br />
this Agreement, they will each respectively comply with all applicable laws, rules,<br />
regulations, decrees and/or official government orders of the United Kingdom and the<br />
United States of America relating to anti-bribery and anti-money laundering.<br />
38.2 The Buyer and the Seller each represent, warrant and undertake to the other that they<br />
shall not, directly or indirectly,<br />
38.2.1 pay, offer, give or promise to pay or authorize the payment of, any monies or<br />
other things of value to:<br />
(a) a government official or an officer or employee of a government or any<br />
department, agency or instrumentality of any government;<br />
(b) an officer or employee of a public international organization;<br />
(c) any person acting in an official capacity for or on behalf of any government<br />
or department, agency, or instrumentality of such government or of any<br />
public international organization;<br />
(d) any political party or official thereof, or any candidate for political office;<br />
(e) or any other person, individual or entity at the suggestion, request or<br />
direction or for the benefit of any of the above-described persons and<br />
entities, or<br />
38.2.2 engage in other acts or transactions, in each case if this is in violation of or<br />
inconsistent with the anti-bribery or anti-money laundering legislation of any<br />
