U M U M 1. GENERALPT Indocement Tunggal Prakarsa Tbk.(“Perusahaan”) didirikan di Indonesia pada tanggal16 Januari 1985 berdasarkan akta notaris RidwanSuselo, S.H., No. 227. Akta pendiriantersebut disahkan oleh Menteri KehakimanRepublik Indonesia dalam Surat KeputusanNo. C2-2876HT.01.01.TH.85 tanggal 17 Mei 1985,dan diumumkan dalam Berita Negara RepublikIndonesia No. 57, Tambahan No. 946 tanggal16 Juli 1985. Anggaran dasar Perusahaan telahbeberapa kali mengalami perubahan, perubahanterakhir dengan akta notaris Amrul PartomuanPohan, S.H., LLM No. 23 tanggal 10 Juni 2008mengenai, antara lain, penambahan maksud dantujuan serta kegiatan usaha Perusahaan danpenyesuaian dengan Undang-undang No. 40 tahun2007 tentang Perseroan Terbatas. Perubahantersebut telah disetujui oleh Menteri Hukum danHak Asasi Manusia Republik Indonesia dalam suratkeputusan No. AHU-38881.AH.01.02.Tahun 2008tanggal 7 Juli 2008.Perusahaan memulai operasi komersialnya padatahun 1985.Sesuai dengan Pasal 3 anggaran dasarPerusahaan, ruang lingkup kegiatan Perusahaan,antara lain, industri semen dan bahan-bahanbangunan, pertambangan, konstruksi danperdagangan. Saat ini Perusahaan dan AnakPerusahaan bergerak dalam beberapa bidangusaha yang meliputi pabrikasi dan penjualansemen (sebagai usaha inti) dan beton siap pakai,serta tambang agregat.Kantor pusat Perusahaan berlokasi di WismaIndocement Lantai 8, Jl. Jend. Sudirman Kav. 70-71, Jakarta. Pabriknya berlokasi di Citeureup -Jawa Barat, Cirebon - Jawa Barat, dan Tarjun -Kalimantan Selatan.Usaha semen meliputi operasi dari dua belas (12)pabrik Perusahaan yang berlokasi di tiga lokasiberbeda, yaitu sembilan pabrik semen terpadu diCiteureup - Bogor, dua pabrik semen terpadu diPalimanan - Cirebon dan satu pabrik sementerpadu di Tarjun - Kalimantan Selatan, denganjumlah keseluruhan kapasitas produksi sekitar 17,1juta ton semen per tahun. Usaha pabrikasi betonsiap pakai dan tambang agregat meliputi operasidari empat anak perusahaan.PT Indocement Tunggal Prakarsa Tbk. (the“Company”) was incorporated in Indonesia onJanuary 16, 1985 based on notarial deed No. 227of Ridwan Suselo, S.H. Its deed of incorporationwas approved by the Ministry of Justice in itsdecision letter No. C2-2876HT.01.01.TH.85 datedMay 17, 1985 and was published in SupplementNo. 946 of State Gazette No. 57 dated July 16,1985. The Company’s articles of association hasbeen amended from time to time, the latestamendment of which was covered by notarial deedNo. 23 dated June 10, 2008 of Amrul PartomuanPohan, S.H., LLM concerning, among others, theaddition of the objectives, purposes and businesslines of the Company and to conform with LawNo. 40/2007 on Limited Liability Companies. Suchamendments were approved by Ministry of Lawsand Human Rights of the Republic of Indonesia inits decision letter No. AHU-38881.AH.01.02.Year2008 dated July 7, 2008.The Company started its commercial operations in1985.As stated in Article 3 of the Company’s articles ofassociation, the scope of its activities comprises,among others, cement and building materialsindustry, mining, construction and trading.Currently, the Company and Subsidiaries areinvolved in several businesses consisting of themanufacture and sale of cement (as core business)and ready mix concrete, and aggregates quarrying.The Company’s head office is located at WismaIndocement 8 th Floor, Jl. Jend. Sudirman Kav. 70-71, Jakarta. Its factories are located in Citeureup -West Java, Cirebon - West Java and Tarjun -South Kalimantan.The cement business includes the operations ofthe Company’s twelve (12) plants located in threedifferent sites: nine at the Citeureup - Bogor site,two at the Palimanan - Cirebon site and one at theTarjun - South Kalimantan site, with a totalcombined annual production capacity ofapproximately 17.1 million tons of cement. Themanufacture of ready mix concrete and aggregatesquarrying businesses comprise the operations ofthe Company’s four subsidiaries.8

GENERAL (continued)Berdasarkan rapat umum pemegang saham luarbiasa (RUPSLB) tanggal 2 Oktober 1989 yangdiaktakan dalam akta notaris Amrul PartomuanPohan, S.H., LLM., No. 4, para pemegang sahammenyetujui, antara lain, penawaran umum sahamPerusahaan kepada publik sebesar 59.888.100saham.Berdasarkan RUPSLB tanggal 18 Maret 1991,yang diaktakan dalam akta notaris No. 53 darinotaris yang sama, para pemegang sahammenyetujui penerbitan obligasi konversi olehPerusahaan dengan jumlah nilai nominal sebesarUS$75 juta. Pada tanggal 20 Juni 1991, denganpersetujuan pemegang saham sebagaimanadijelaskan di atas, Perusahaan menerbitkan danmencatatkan Obligasi Konversi Euro (ObligasiEuro) senilai US$75 juta dengan tingkat bunga6,75% per tahun di Bursa Efek Luxembourgdengan harga perdana 100%, yang jatuh tempopada tahun 2001. Obligasi Euro tersebut dapatdikonversikan ke saham biasa mulai 1 Agustus1991 sampai dengan 20 Mei 2001 sesuai denganopsi pemegang obligasi dengan harga konversiperdana sebesar Rp14.450 per sahamberdasarkan nilai tukar tetap untuk konversitersebut yaitu sebesar Rp1.946 untuk US$1.Pada tahun 1994, Perusahaan mengeluarkan8.555.640 saham atas pengkonversian sebagiandari Obligasi Euro dengan nilai pokok sebesarUS$35.140.000. Oleh karenanya, Perusahaanmemindahkan dan mereklasifikasikan sebagianhutang obligasi sejumlah Rp8.555.640.000 kedalam modal saham dan Rp67.320.100.000 keagio saham. Sisa Obligasi Euro sebesarUS$39.860.000 telah dilunasi seluruhnya padatahun 1994.Pada RUPSLB yang diadakan pada tanggal15 Juni 1994, para pemegang saham menyetujuipeningkatan modal dasar Perusahaan dari Rp750miliar menjadi Rp2 triliun, dan penerbitan satusaham bonus untuk setiap saham yang dimiliki olehpemegang saham pada tanggal 23 Agustus 1994,atau dengan jumlah keseluruhan sebanyak599.790.020 saham bonus.Based on the minutes of the extraordinary generalmeeting of the Company’s shareholders (EGMS)held on October 2, 1989, which were covered bynotarial deed No. 4 of Amrul PartomuanPohan, S.H., LLM., the shareholders approved,among others, the offering of 59,888,100 Companyshares to the public.Based on the minutes of the EGMS held onMarch 18, 1991, which were covered by notarialdeed No. 53 of the same notary, the shareholdersapproved the issuance of convertible bonds with atotal nominal value of US$75 million. On June 20,1991, in accordance with the above-mentionedshareholders’ approval, the Company issued andlisted US$75 million worth of 6.75% EuroConvertible Bonds (the “Euro Bonds”) on theLuxembourg Stock Exchange at 100% issue price,with an original maturity in 2001. The Euro Bondswere convertible into common shares startingAugust 1, 1991 up to May 20, 2001 at the option ofthe bondholders at the initial conversion price ofRp14,450 per share, with a fixed rate of exchangeupon conversion of US$1 to Rp1,946.In 1994, the Company issued 8,555,640 shares onthe partial conversion of the Euro Bonds worthUS$35,140,000. Accordingly, the Companytransferred and reclassified the correspondingportion of the related bonds payable amounting toRp8,555,640,000 to capital stock andRp67,320,100,000 to additional paid-in capital. Theremaining balance of the Euro Bonds with totalnominal value of US$39,860,000 was fullyredeemed and settled in 1994.In the EGMS held on June 15, 1994, theshareholders approved the increase inthe Company’s authorized capital stock fromRp750 billion to Rp2 trillion, and the issuance ofone bonus share for every share held by theshareholders as of August 23, 1994, or a total of599,790,020 bonus shares.9
