financial statements audited by CPAs be presented for a bank to grant a credit.<br />
E. SOCIAL DYNAMICS<br />
The Tegucigalpa Chamber of Commerce has expressed concern about the <strong>Commercial</strong> Code. It<br />
has asked the national government at the executive <strong>and</strong> legislative level for a new <strong>Commercial</strong><br />
Code that would not require companies to submit evidence of equity capital, would allow<br />
divestiture <strong>and</strong> wholly owned subsidiaries, <strong>and</strong> would provide stricter corporate governance<br />
principles. A group of lawyers has made the same dem<strong>and</strong> <strong>and</strong> has proposed that instead of an<br />
overall reform of the <strong>Commercial</strong> Code, a law on companies be passed to address these issues.<br />
The <strong>Commercial</strong> Registry requires reform <strong>and</strong> automation. The <strong>Law</strong> on Administrative<br />
Simplification has helped but does not address all salient issues. The World Bank–Inter-<br />
American Development Bank project on competitiveness will be of some help in reducing<br />
regulatory hurdles, but the project does not direct sufficient attention to the <strong>Commercial</strong> Registry<br />
to drive the comprehensive changes that are necessary.<br />
Honduran firms need access to capital, <strong>and</strong> the current stock market does not provide such<br />
means. To create a mechanism to fill this gap, the stock market should be modernized <strong>and</strong><br />
properly regulated. The pending law on the stock market would increase corporate governance<br />
principles for participating firms, <strong>and</strong> the CNBS would maintain regulatory responsibilities;<br />
however, there will still be a need to automate securities transactions. Illustrating the continuing<br />
problems, Transportes Aéreos Centroamericanos (TACA), the Salvadoran airline, tried to issue<br />
bonds in <strong>Honduras</strong> guaranteed with credit cards <strong>and</strong> accounts receivable. In the end, TACA was<br />
unable to issue the bonds because of excessive regulations <strong>and</strong> the unsophisticated market <strong>and</strong><br />
instead made the issuance in Panama.<br />
SMEs hold the potential to be an enormous engine of growth but are currently limited by various<br />
factors. Bureaucratic requirements, low access to credit, <strong>and</strong> heavy tax burdens now limit SME<br />
growth. There are roughly 64 entities devoted to financing SMEs, but high interest rates,<br />
guarantee requirements, <strong>and</strong> lack of coordination among these organizations have limited their<br />
ability to provide SMEs with needed assistance.<br />
The tax system also is in need of reform. The tax burden is scattered among many different<br />
taxes, <strong>and</strong> collection rates are low. The government has attempted to compensate for this low<br />
collection rate by creating new taxes, which only serve to increase the complexity of the tax<br />
system, thus making collection more difficult <strong>and</strong> encouraging further evasion. In an effort to<br />
increase revenue, the government has increased easily enforceable direct taxes, which tend to<br />
increase the burden on low income groups who traditionally consume a larger percentage of their<br />
income than higher income groups.<br />
Finally, the judicial system must be reformed to make it faster, automated, reliable, <strong>and</strong><br />
independent. All Hondurans, even members of the judiciary, dem<strong>and</strong> a better judicial system <strong>and</strong><br />
quicker judicial procedures. But nothing is happening. ADR mechanisms need to be accessible to<br />
all Hondurans <strong>and</strong> well known by the whole business community, regardless of the size of the<br />
business.<br />
