In the event of dissolution, the funds remaining shall be devoted to objects<br />

similar to those of the Association.<br />

7.2 <strong>The</strong>re shall be not more than four Trustees of the <strong>ASA</strong>. <strong>The</strong> freehold and<br />

leasehold premises of the <strong>ASA</strong> shall be vested in them to be dealt with by them<br />

as the Council shall from time to time direct by resolution (of which an entry in<br />

the Minutes shall be conclusive evidence). Any such premises shall be held on<br />

trust for the <strong>ASA</strong> beneficially. <strong>The</strong> Trustees shall be indemnified against risk and<br />

expense out of the property of the <strong>ASA</strong>. <strong>The</strong> Trustees shall hold office until death<br />

or resignation, or until removed from office by a resolution of the Council who<br />

may for any reason which may seem sufficient to a majority of them present and<br />

voting at any meeting remove any Trustee or Trustees from the office of Trustee.<br />

Where by reason of any such death or resignation or removal it shall appear<br />

necessary to the Council that a new Trustee or Trustees shall be appointed or if<br />

the Council shall deem it expedient to appoint an additional Trustee or<br />

additional Trustees, the Council shall by resolution nominate the person or<br />

persons to be appointed the new Trustee or Trustees. For the purpose of giving<br />

effect to such nomination the President is hereby nominated as the person to<br />

appoint new Trustees of the <strong>ASA</strong> within the meaning of Section 36 of the Trustee<br />

Act 1925 and he shall by deed duly appoint the person or persons so nominated<br />

by the Council as the new Trustee or Trustees of the <strong>ASA</strong> and the provisions of<br />

the Trustee Act 1925 shall apply to any such appointments. Any statement of<br />

fact in any such Deed of Appointment shall in favour of a person dealing bona<br />

fide and for value with the <strong>ASA</strong> or the Council be conclusive evidence of the facts<br />

so stated.<br />

7.3 <strong>The</strong> Council may on behalf of the <strong>ASA</strong> mortgage or charge the whole or any<br />

part of the funds or other property of the <strong>ASA</strong> to secure any monies for the time<br />

being owing by the <strong>ASA</strong> or as security for any liability both present and future<br />

contingent or otherwise howsoever undertaken by any Trustee or other Officer<br />

on behalf of the <strong>ASA</strong> and so that such funds or other property of the <strong>ASA</strong> may<br />

be transferred into the names of the Trustees for the purpose of creating such<br />

mortgage or charge.<br />

8 Expenses<br />

<strong>The</strong> expenses of the <strong>ASA</strong> shall be borne by the eight Regions in proportion to the<br />

number of members having paid an <strong>ASA</strong> membership fee through a club or<br />

organisation affiliated to that Region up to the 31st March last past. <strong>The</strong> <strong>ASA</strong> ‘call’<br />

shall be fixed by the Board annually by 31st January and shall be paid within<br />

twenty one days of demand.<br />

GOVERNMENT<br />

9 <strong>ASA</strong> Council<br />

9.1 Only persons who are members of the <strong>ASA</strong> shall be eligible to be a member of<br />

the Council, except that a delegate who represents an Associated <strong>Org</strong>anisation,<br />

an Associate <strong>Org</strong>anisation or an Affiliated Body may be a member of Council<br />

provided that he has been appointed by the organisation he represents under<br />

its own rules.<br />

No member of the Independent Disciplinary and Dispute Resolution Panel or<br />

the Independent Disciplinary and Dispute Resolution Appeals Panel shall be<br />

eligible to be a member of the Council:<br />

No person who receives any remuneration (other than legitimate expenses) for<br />

any service to British <strong>Swimming</strong>, the Scottish <strong>ASA</strong>, the Welsh <strong>ASA</strong> or the <strong>ASA</strong><br />

or any of its Regions including without limitation full time or part time staff,<br />
