The implementation of the proposals to be approved by Council in June 2013 (as above) would
then commence with handover to the new Boards to take effect immediately after the ASA ACM
in October 2013.
Voting: Unanimous.
13.8. Subsequent to the approval of motions 1-3 the following motion was put to Council
13.8.1. Motion 4
Council to be asked notwithstanding ASA Law 16.3.3 to appoint Chris Bostock and Andy
Reed as independent directors until ASA ACM in 2013 (as above) OR to make no
appointment.
Voting: Unanimous.
13.9. Following the vote the Chairman invited Jane Nickerson, Chief Operating Officer to say some
words on the way forward.
The Chief Operating Officer thanked Council for their confidence in the proposals and advised
that going forward it is suggested that a Rules Consultation group is set up comprising of two
current ASA Board members, one Regional Representative, one independent, CEO and one
member from each Region. Regions were requested to consider who they would want to sit on
the group. The framework provided by the Consultation Group will be passed to the Rules Group
to enable revised rules to be drafted.
13.10. In conclusion the Chairman thanked the Chairman of the Strategic Delivery Group for Corporate
Governance and its members for all their hard work and looked forward to receiving the
nominations from the Regions.
