We operate to <strong>the</strong> highest standards of corporate<br />

governance, <strong>in</strong> accordance <strong>with</strong> <strong>the</strong> UK Corporate<br />

Governance Code. Our approach to bus<strong>in</strong>ess is<br />

underp<strong>in</strong>ned by our core values, <strong>in</strong> particular<br />

those of accountability and <strong>in</strong>tegrity.<br />

One of our stated strategic objectives<br />

is to operate safely, susta<strong>in</strong>ably and<br />

responsibly as a key part of our aim<br />

of becom<strong>in</strong>g <strong>the</strong> lead<strong>in</strong>g global m<strong>in</strong><strong>in</strong>g<br />

company. Our governance structures<br />

relat<strong>in</strong>g to susta<strong>in</strong>able development<br />

support this aspiration, provid<strong>in</strong>g<br />

clear l<strong>in</strong>es of responsibility from <strong>the</strong><br />

operational level through to <strong>the</strong> Board,<br />

as shown <strong>in</strong> <strong>the</strong> diagram on page 19. Full<br />

details on our corporate governance are<br />

conta<strong>in</strong>ed <strong>with</strong><strong>in</strong> our Annual Report.<br />

MANAGING SUSTAINABLE<br />

DEVELOPMENT<br />

Our <strong>in</strong>vestment decisions, how we plan<br />

and implement projects, and <strong>the</strong> way<br />

<strong>in</strong> which we manage our operations<br />

and m<strong>in</strong>e closure are governed by a set<br />

of Group Technical Standards, as well<br />

as <strong>the</strong> <strong>Anglo</strong> <strong>American</strong> ‘Ways’. These<br />

set out mandatory performance<br />

requirements, as well as <strong>the</strong> vision,<br />

pr<strong>in</strong>ciples, policies, frameworks and<br />

management system requirements<br />

for manag<strong>in</strong>g our core susta<strong>in</strong>ability<br />

risks and opportunities. All service<br />

providers act<strong>in</strong>g on <strong>Anglo</strong> <strong>American</strong>’s<br />

behalf are expected to adopt and<br />

follow our Group standards and<br />

policies. We also promote comparable<br />

standards <strong>in</strong> jo<strong>in</strong>t ventures and<br />

associate companies.<br />

Audit and assurance<br />

The S&SD risk and assurance team is<br />

responsible for audit<strong>in</strong>g and provid<strong>in</strong>g<br />

assurance on <strong>the</strong> compliance of<br />

operations <strong>with</strong> our Group standards<br />

and, where relevant, legislative<br />

requirements, as well as for <strong>the</strong><br />

process of identify<strong>in</strong>g and assess<strong>in</strong>g<br />

S&SD risks throughout <strong>the</strong> Group.<br />

The team works <strong>with</strong> <strong>Anglo</strong> <strong>American</strong>’s<br />

bus<strong>in</strong>ess assurance services, which is<br />

responsible for Group-wide <strong>in</strong>tegrated<br />

risk management, bus<strong>in</strong>ess <strong>in</strong>tegrity,<br />

Liv<strong>in</strong>g up to<br />

<strong>the</strong>se values is<br />

essential for<br />

earn<strong>in</strong>g and<br />

trust <strong>with</strong> our<br />

stakeholders.<br />

It is also<br />

fundamental<br />

to <strong>the</strong> success<br />

of our bus<strong>in</strong>ess.<br />

<strong>in</strong>ternal audit and assurance services.<br />

Susta<strong>in</strong>ability audits are led by<br />

professional audit managers and<br />

supported by experienced personnel<br />

drawn from across <strong>the</strong> organisation.<br />

Audit reports that identify elements<br />

of best practice and areas for<br />

improvement are shared <strong>with</strong> site<br />

and bus<strong>in</strong>ess unit leadership teams<br />

and discussed at <strong>the</strong> S&SD Committee<br />

of <strong>the</strong> Board.<br />

In addition to <strong>the</strong>se <strong>in</strong>ternal audits,<br />

third-party audits are conducted<br />

at operations for <strong>the</strong> ISO 14001<br />

and OHSAS 18001 certification<br />

processes and also as part of provid<strong>in</strong>g<br />

assurance for our annual Susta<strong>in</strong>able<br />

Development Report.<br />

Ensur<strong>in</strong>g Bus<strong>in</strong>ess Integrity<br />

Integrity and accountability are core<br />

values for <strong>Anglo</strong> <strong>American</strong>. Along<br />

<strong>with</strong> a commitment to transparency<br />

and engagement, liv<strong>in</strong>g up to <strong>the</strong>se<br />

values is essential for earn<strong>in</strong>g<br />

and ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g trust <strong>with</strong> our<br />

stakeholders. It is also fundamental<br />

to <strong>the</strong> success of our bus<strong>in</strong>ess.<br />

Our commitment to <strong>in</strong>tegrity and<br />

accountability and zero tolerance<br />

of corruption is given effect through<br />

our bus<strong>in</strong>ess <strong>in</strong>tegrity policy and our<br />

Good Citizenship Bus<strong>in</strong>ess Pr<strong>in</strong>ciples.<br />

The policy and pr<strong>in</strong>ciples apply to<br />

every bus<strong>in</strong>ess we manage and to<br />

everyth<strong>in</strong>g we do, regardless of<br />

where we operate or procure from.<br />

Corruption significantly reduces our<br />

ability to contribute to development<br />

<strong>in</strong> <strong>the</strong> countries where we operate.<br />

It underm<strong>in</strong>es good governance,<br />

erodes trust, weakens <strong>the</strong> rule of law,<br />

drives away <strong>in</strong>vestment and <strong>in</strong>creases<br />

<strong>the</strong> costs and unpredictability of<br />

do<strong>in</strong>g bus<strong>in</strong>ess.<br />

For this reason we actively engage<br />

<strong>in</strong> <strong>the</strong> fight aga<strong>in</strong>st corruption by<br />

support<strong>in</strong>g <strong>in</strong>ternational frameworks<br />

such as <strong>the</strong> UN Global Compact and<br />

<strong>the</strong> Extractive Industries Transparency<br />

Initiative (EITI) and report annually on<br />

<strong>the</strong> tax and royalty payments we make<br />

<strong>in</strong> our significant countries of operation<br />

(see pages 26–29). We are committed<br />

to work<strong>in</strong>g <strong>with</strong> stakeholders <strong>in</strong><br />

government, bus<strong>in</strong>ess and civil society<br />

to promote good governance and <strong>the</strong><br />

responsible use of m<strong>in</strong>eral wealth, and<br />

to prevent corruption.<br />

Bus<strong>in</strong>ess <strong>in</strong>tegrity policy<br />

Our bus<strong>in</strong>ess <strong>in</strong>tegrity policy makes<br />

it clear that we will nei<strong>the</strong>r give nor<br />

accept bribes, nor permit o<strong>the</strong>rs to do<br />

so <strong>in</strong> our name, ei<strong>the</strong>r <strong>in</strong> our deal<strong>in</strong>gs<br />

<strong>with</strong> public officials or <strong>with</strong> our<br />

suppliers and customers.<br />

The policy sets out <strong>the</strong> standards<br />

of conduct required at every level<br />

of <strong>Anglo</strong> <strong>American</strong>, <strong>in</strong>clud<strong>in</strong>g our<br />

subsidiaries, jo<strong>in</strong>t ventures and<br />

associates, <strong>in</strong> combat<strong>in</strong>g corrupt<br />

behaviour of all types. It also sets<br />

out <strong>the</strong> requirements of those <strong>with</strong><br />

whom we do bus<strong>in</strong>ess and those who<br />

work on our behalf.<br />

The policy is supported by<br />

11 performance standards that cover:<br />

<strong>the</strong> giv<strong>in</strong>g or receiv<strong>in</strong>g of gifts and/or<br />

enterta<strong>in</strong>ment; conflicts of <strong>in</strong>terest;<br />

political donations; <strong>the</strong> use of company<br />

assets; facilitation payments; work<strong>in</strong>g<br />

<strong>with</strong> <strong>in</strong>termediaries; <strong>in</strong>teractions <strong>with</strong><br />

government officials; charitable<br />

donations; social <strong>in</strong>vestment;<br />

sponsorships; and mergers,<br />

acquisitions, jo<strong>in</strong>t ventures and<br />

associates. The standards require that<br />

our employees perform <strong>the</strong>ir duties<br />

honestly and avoid conflicts of <strong>in</strong>terest.<br />

They must abide by our policies and<br />

procedures <strong>with</strong> regard to giv<strong>in</strong>g or<br />

receiv<strong>in</strong>g gifts and hospitality, act <strong>in</strong><br />

a transparent manner, and ensure<br />

that <strong>the</strong>y do not seek any improper<br />

advantage when conduct<strong>in</strong>g bus<strong>in</strong>ess<br />

or <strong>in</strong> <strong>the</strong>ir deal<strong>in</strong>gs <strong>with</strong> public officials.<br />

The standards prohibit <strong>the</strong> company<br />

from mak<strong>in</strong>g donations to any political<br />

party or politician.<br />

The bus<strong>in</strong>ess <strong>in</strong>tegrity policy and<br />

performance standards have been<br />

translated <strong>in</strong>to all <strong>the</strong> ma<strong>in</strong> languages<br />

that we use at our operations.<br />
