distributor, the number of participants and attendees at the meetings, the costs expected to be incurred, and the level of PI’s,
AST’s, subadviser’s or distributor’s participation. These payments or reimbursements may not be offered by all advisers,
subadvisers, or distributor and the amounts of such payments may vary between and among each adviser, subadviser and
distributor depending on their respective participation.
With respect to variable annuity contracts, the amounts paid under these arrangements to Prudential-affiliated insurers are set forth
in the prospectuses for the variable annuitycontracts which offer the Portfolios as investment options.
