CHEP and Recall were not involved in any occupational<br />
health and safety prosecutions during the year. However,<br />
it is with a profound sense of regret that <strong>Brambles</strong> notes<br />
the involvement of these businesses in a number of road<br />
traffic fatalities during the course of the year:<br />
• a member of the public was knocked over and killed<br />
when he unexpectedly stepped out in front of a<br />
CHEP South Africa vehicle;<br />
• a Recall Malaysia vehicle, travelling in heavy traffic,<br />
knocked over and killed a member of the public who<br />
crossed in front of the vehicle at a busy roundabout; and<br />
• three members of the public were killed when their<br />
pickup truck was struck by a third party vehicle, causing<br />
the pickup truck to lose control and veer into oncoming<br />
traffic and collide head-on with a Recall North America<br />
mobile shred truck. <strong>Brambles</strong> understands that the<br />
driver of the third party vehicle, who allegedly caused<br />
the accident, has been charged with vehicular homicide<br />
and driving under the influence of a banned substance.<br />
We extend our sincere condolences to the families and<br />
friends of the deceased.<br />
Business Integrity<br />
All <strong>Brambles</strong> employees are expected to conduct business<br />
in a way that enhances <strong>Brambles</strong>’ reputation.<br />
Corporate Governance<br />
<strong>Brambles</strong> is governed by a range of different legal and<br />
regulatory requirements around the world. The overall<br />
corporate governance standards for <strong>Brambles</strong> are set by<br />
the Board of Directors. The Corporate Governance <strong>Report</strong><br />
(pages 44 to 53) provides details of the risk management<br />
and internal compliance and control framework.<br />
Transparency<br />
<strong>Brambles</strong> has a policy of openness and continuous<br />
disclosure throughout the organisation so that all significant<br />
events are dealt with appropriately.<br />
Competition<br />
<strong>Brambles</strong> competes fairly in the markets in which it<br />
operates. Managers are responsible for ensuring that they<br />
comply with competition laws in their areas of operation,<br />
that all relevant employees receive thorough training in<br />
this area and that they have access to relevant manuals.<br />
Competition compliance programmes and manuals are<br />
updated regularly.<br />
Active compliance means managers must take an interest<br />
in competition issues, ask penetrating questions and<br />
demonstrate leadership in compliance. This requires<br />
managers to identify the competition areas in which<br />
their businesses are most at risk from non-compliance<br />
and to deal with these in regular training sessions.<br />
Bribery and Corruption<br />
Corrupt practices are completely unacceptable to <strong>Brambles</strong><br />
and strictly prohibited. All commercial transactions must<br />
be properly and accurately recorded. Sales agents,<br />
consultants and similar advisers must be appointed<br />
in accordance with these principles and paid at a rate<br />
consistent with their services. Employees are prohibited<br />
from engaging in activities that involve, or could appear<br />
to involve, a conflict between their personal interests<br />
and the interests of <strong>Brambles</strong>.<br />
Political Donations<br />
<strong>Brambles</strong> does not make political donations to political<br />
parties and will not do so without the specific endorsement<br />
of shareholders.<br />
At the 2002 <strong>Annual</strong> General Meeting, shareholders<br />
authorised annual expenditure of up to £200,000<br />
(approximately A$500,000) on organisations that<br />
may be caught by the broad definition of “EU political<br />
organisations” under the relevant UK legislation. These<br />
organisations include policy review and law reform bodies.<br />
No contributions have been made under this authority,<br />
which expires in <strong>2006</strong>.<br />
Human Rights<br />
<strong>Brambles</strong> endorses the United Nations Declaration<br />
of Human Rights. We respect the human rights of our<br />
employees and other stakeholders. We will not tolerate<br />
child labour or forced labour in our own operations or<br />
those of our suppliers.
