This mandatory compliance is linked to the No such text exists on First sheet.<br />

invitation to tender conditions only. However, this text is mentioned in<br />

Deviations to the General conditions and Para13 of Second sheet at page 11 of<br />

Special conditions are authorized if proposed tender document. This Para is self<br />

as per the format given in the tender explanatory.<br />

stations at least twice in a month for regular upkeep<br />

and attend to any fault on the systems promptly.<br />

FAT is a warranty period or a maintenance<br />

contract period whose price is deemed to<br />

included in the tender, given that Para 4.45<br />

says that no AMC is applicable.<br />

GThe Contractor/s shall not be entitled to make any<br />

claim whatsoever against the <strong>Railway</strong> under or by<br />

made by the contractor/s after he/they would have<br />

signed a `No Claim Certificate' in favour of the<br />

<strong>Railway</strong>, in such form as shall be required by the<br />

The Contractor/s shall be debarred from disputing<br />

the correctness of the items covered by “No Claim<br />

Certificate" or demanding a reference to arbitration,<br />

in respect thereof. After clear no claim as given by<br />

contractor the dispute, if any will not be arbitrable.<br />

The contractor shall not be entitled to ask for<br />

reference to arbitration, before the completion of the<br />

work assigned to him / them under this contract. The<br />

contractor/s shall seek reference to arbitration to<br />

settle disputes only once within the ambit of above<br />

condition.<br />

any equipment sub-system being manufactured /<br />

assembled in India in technical collaboration with<br />

foreign firm by the tenderer or any of its subcontractor,<br />

the time for completion of work gets extended, the<br />

(d) The value of PG to be submitted by the<br />

contractor will not change for variation up to 25%<br />

(either increase or decrease). In case during the<br />

course of execution, value of the contract increases<br />

by more than 25% of the original contract value, an<br />

additional Performance Guarantee amounting to<br />

5% (five percent) for the excess value over the<br />

original contract value shall be deposited by the<br />

contractor.<br />

(e) The Performance Guarantee (PG) shall be<br />

released after physical completion of the work<br />

based on „Completion Certificate‟ issued by the<br />

competent authority sitting that the contractor has<br />

completed the work in all respects satisfactorily. The<br />

Security Deposit shall, however, be released only<br />

after expiry of the maintenance period and after<br />

passing the final bill based on „No Claim Certificate‟<br />

from the contractor.<br />

(f) Whenever the contract is rescinded, the<br />

i. Failure by the contractor to extend the validity<br />

of the Performance Guarantee as described herein<br />

above, in which event the Engineer may claim the<br />

full amount of the Performance Guarantee.<br />

ii. Failure by the contractor to pay President of<br />

India any amount due,either as agreed by the<br />

contractor or determined under any of theClauses /<br />

Conditions of the Agreement, within 30 days of<br />

theservice of notice to this effect by Engineer.<br />

provision ofthe GCC, the Performance Guarantee<br />

(i) Time is the essence of this contract and time<br />

schedule shall be strictly adhered to. The entire<br />

work as per the Contract will have to be completed<br />

within Eighteen months from the Date of issue of<br />

acceptance letter, on a progressive basis. The<br />

<strong>Tender</strong>er will be responsible for progress of work on<br />

progressive basis from the date of issue of<br />

acceptance letter. Since the progress of the work is<br />

critically related to the supply of material by the<br />

contractor, he will be responsible for supply of duly<br />

inspected Material on a progressive basis, so<br />

that the work can be completed within Eighteen<br />

months progressively.<br />

(ii) Contractor on his part will have to employ<br />

supervisors, technicians and supporting staff in full<br />

strength commensurate with working area available.<br />

He will also arrange required materials and<br />

equipment to complete the job most expeditiously<br />

so as to ensure that the work is completed in phases<br />

within the stipulated period and to the entire<br />

satisfaction of Engineer in- charge.<br />

(iii) The Contractor is expected to have worked out<br />

a detailed programme for execution of the work well<br />

before issue of “Letter of Acceptance”, by <strong>Railway</strong><br />

and submit a Detailed Time and Activity Schedule<br />

within 30 days from issue of LoA , for the execution<br />

of work aiming at completing the entire work within<br />

the stipulated completion time. This schedule shall<br />

thereafter be approved by the Engineer-In-Charge<br />

normally within 5 working days.<br />

(iv) <strong>Railway</strong> reserves the right to modify the<br />

schedule while approving the same as well as at<br />

any stage during execution if situation so warrants.<br />

Once approved, in the event of any slippage from<br />

the time schedule especially when resulting into<br />

time over-run of the work the contractor shall submit<br />

revised schedule duly justifying the circumstances<br />

without any delay. The revised schedule shall be<br />

approved by the Engineer-In-Charge only when<br />

considered justified in his opinion otherwise it may<br />

attract penal action on the contractor as per<br />

provision of this contract.<br />

(v) The Contractor shall be held responsible for the<br />

execution of the work according to the Programme<br />

given for the execution of the work in full<br />

compliance of the approved cable route plans and<br />

also various clauses of technical specification and<br />

requirement. Failure to comply with any of these will<br />

be dealt as per provisions of GCC.<br />

writing that the installation is (i) complete, (ii) ready<br />

for satisfactory service and (iii) ready to be handed<br />

over. He will also place at the disposal of the<br />

purchaser the required staff for inspection, testing<br />

and putting it into operation.<br />

(b) The test or tests specified in Technical<br />

specification will be conducted jointly by the<br />

<strong>Railway</strong>s and contractor as soon as possible after<br />

receipt of advice regarding completion of one sub -<br />

section by the contractor. The test schedule shall be<br />

furnished by the contractor which will be modified by<br />

mutual discussion between the contractor and<br />

<strong>Railway</strong> before finalization. Any component,<br />

modules, sub-assemblies or equipment failing<br />

during the commissioning test shall be<br />

after the contractor has attended to the defects and<br />

deficiencies. If these tests are also not<br />

satisfactory, the <strong>Railway</strong>s may proceed at the<br />

contractor‟s expense by the means deemed<br />

satisfactory until they comply with the<br />

iv. During period of Warranty, the Contractor shall<br />

character as may affect the efficiency of the<br />

system, the <strong>Railway</strong> shall have the right to give the<br />

contractor within one month from such replacement<br />

or renewal notice in writing that test on completion<br />

will be carried out at his cost. Should such tests<br />

show that the plant sustains the guarantee in the<br />

contract; the cost of the tests shall be borne by the<br />

purchaser. Should the guarantees not be<br />

sustained, the cost of the tests shall be borne by<br />

The contractor shall not be entitled to ask for<br />

64.(1)(i) Demand for Arbitration: In the event of any<br />

dispute or difference between the parties here to as<br />

to the construction or operation of this contract, or<br />

the respective rights and liabilities of the parties on<br />

any matter in question, dispute or difference on any<br />

account or as to the withholding by the <strong>Railway</strong> of<br />

any certificate to which the contractor may claim to<br />

Arbitral Tribunal consist of a sole arbitrator who shall<br />

be either the General Manager or a gazetted officer<br />

of <strong>Railway</strong> not below the grade of JA grade<br />

nominated by the General Manager in that behalf.<br />

The sole arbitrator shall be appointed within 60<br />

days from the day when a written and valid demand<br />

64.(3)(a)(iv) The Arbitral Tribunal shall have power<br />

to call for such evidence by way of affidavits or<br />

otherwise as the Arbitral Tribunal shall think proper,<br />

and it shall be the duty of the parties hereto to do or<br />

64.(3)(b)(i) The arbitral award shall state itemwise,<br />

the sum and reasons upon which it is based.<br />

64.(3)(b)(ii)A party may apply for corrections of any<br />

computational errors, any typographical or clerical<br />

errors or any other error of similar nature occurring<br />

in the award and interpretation of a specific point of<br />

award to tribunal within 30 days of receipt of the<br />

award. 64.(3)(b)(iii) A party may apply to tribunal<br />

within 30 days of receipt of award to make an<br />

additional award as to claims presented in the<br />

arbitral proceeding but omitted from the arbitral<br />

award.<br />

64.(4)In case of the Tribunal, comprising of three<br />

members, any ruling or award shall be made by a<br />

1. CSTE/Works welcomed all participants present in the pre-bid conference. He also<br />

explained the scope of the work covered in this tender with the technical plan of other<br />

work and the scheme of the section as under:-<br />

The work involves Survey, Design, Supply, Installation, Testing and Commissioning of<br />

On Board Equipment (for Locomotives / MEMUs) and Track Side Equipments including<br />

associated signalling works for Train Protection Warning System (TPWS) in Virar (VR)<br />

(at Km 60) -Vadodara (BRC)( at Km 397) Section on Mumbai & Vadodara Divisions of<br />

<strong>Western</strong> <strong>Railway</strong>. Electrical Multiple Units & Main line Electrical Multiple Units (EMUs<br />

& MEMUs), and Locomotives are plying in the sections. The section is provided with<br />

25KV, 50 Hz, AC electrified traction with Double line, Four Aspect Colour light<br />

Automatic Signalling system and relay based interlocking exist at the stations.<br />

At present, the section contains approximately 835 Signals including Automatic &<br />

Station signals in UP and Down direction for passenger running lines. There are 49 Nos<br />

of Station (including Virar & Vadodara), 117 interlocked gates in the section and<br />

there can be minor changes with time. In this tender 40 Numbers of WAP-4<br />

locomotives and 10 MEMUs (20 cabs) are covered.<br />

2. Rates of all the items covered in Schedule of Requirement of the tender are to be<br />

mandatorily quoted as per Schedule in Indian Rupees by the bidders. It was also made<br />

clear that the conditions of JV mentioned in the tender document are specifically for Joint<br />

Venture and Consortium in place of JV will not be acceptable.<br />

3. All the participating firms except M/s Hitachi, M/s. Itochu India, M/s. Eldyne have<br />

submitted their written questions for Pre-bid meeting on 30.06.2011.<br />

4. CSTE/Works has requested M/s Hitachi, M/s. Itochu India, M/s. Eldyne to submit their<br />

queries within a week’s time.<br />

5. It was decided that <strong>Western</strong> <strong>Railway</strong> will compile all the queries of firms received till<br />

15.07.2011 and reply will be sent to all the participants. The reply will be also up-loaded<br />

at site www.wr.indianrailways.gov.in as per tender conditions.<br />

6. As decided vide item 5 above the queries of participants of Pre-Bid conference and<br />

clarification of <strong>Western</strong> <strong>Railway</strong> on each query have been documented and is enclosed<br />

herewith.<br />
