terminate upon notice by <strong>the</strong> <strong>City</strong> that <strong>the</strong> Contract has been closed-out after final<br />

completion or o<strong>the</strong>rwise terminated by <strong>the</strong> <strong>City</strong> pursuant to <strong>the</strong> terms and conditions<br />

herein set <strong>for</strong>th.<br />

4. Notices<br />

Whenever ei<strong>the</strong>r party desires to give Written Notice unto <strong>the</strong> o<strong>the</strong>r relating to <strong>the</strong><br />

Contract, such must be addressed to <strong>the</strong> party <strong>for</strong> whom it is intended at <strong>the</strong> place last<br />

specified; and <strong>the</strong> place <strong>for</strong> giving <strong>of</strong> notice shall remain such until it shall have been<br />

changed by written notice in compliance with <strong>the</strong> provisions <strong>of</strong> this Article. Notice shall<br />

be deemed given on <strong>the</strong> date received or within 3 days <strong>of</strong> mailing, if mailed through <strong>the</strong><br />

United States Postal Service. Notice shall be deemed given on <strong>the</strong> date sent via e-mail<br />

or facsimile. Notice shall be deemed given via courier/delivery service upon <strong>the</strong> initial<br />

delivery date by <strong>the</strong> courier/delivery service. For <strong>the</strong> present, <strong>the</strong> parties <strong>design</strong>ate <strong>the</strong><br />

following as <strong>the</strong> respective places <strong>for</strong> giving <strong>of</strong> notice:<br />

During <strong>the</strong> Work <strong>the</strong> Design-Build Firm shall maintain continuing communications with<br />

Design-Build Pr<strong>of</strong>essional and <strong>the</strong> Project Manager. The Design-Build Firm shall keep<br />

<strong>the</strong> <strong>City</strong> fully in<strong>for</strong>med as to <strong>the</strong> progress <strong>of</strong> <strong>the</strong> Project(s) at all times through ongoing<br />

communications with <strong>the</strong> Project Manager.<br />

5. Priority <strong>of</strong> Provisions<br />

If <strong>the</strong>re is a conflict or inconsistency between any term, statement requirement, or<br />

provision <strong>of</strong> any exhibit attached hereto, any document or events referred to herein, or<br />

any document incorporated into <strong>the</strong> Contract Documents by reference and a term,<br />

statement, requirement, <strong>the</strong> specifications and plans prepared by <strong>the</strong> Design Criteria<br />

Pr<strong>of</strong>essional, or provision <strong>of</strong> <strong>the</strong> Contract Documents <strong>the</strong> following order <strong>of</strong> precedence<br />

shall apply:<br />

In <strong>the</strong> event <strong>of</strong> conflicts in <strong>the</strong> Contract <strong>the</strong> order <strong>of</strong> precedence stated below shall<br />

govern;<br />

� Revisions and Change Orders to <strong>the</strong> Contract<br />

� Contract , as it may be amended from time to time<br />

� Plans & Specifications<br />

� RFP, and any addendums issued <strong>the</strong>reto<br />

� RFP Responses<br />

Where provisions <strong>of</strong> laws, codes, manufacturer‟s specifications or warranties or industry<br />

standards are in conflict, <strong>the</strong> more restrictive or higher quality shall govern<br />
