clerks and o<strong>the</strong>r personnel employed by Design-Build Firm whe<strong>the</strong>r at <strong>the</strong><br />

site or in its principal or a branch <strong>of</strong>fice <strong>for</strong> general administration <strong>of</strong> <strong>the</strong> Work<br />

and not specifically included in <strong>the</strong> agreed-upon schedule <strong>of</strong> job<br />

classifications., all <strong>of</strong> which are to be considered administrative costs covered<br />

by Design-Build Firm‟s fee.<br />

� Expenses <strong>of</strong> Design-Build Firm's principal and branch <strong>of</strong>fices o<strong>the</strong>r than<br />

Design-Build Firm's <strong>of</strong>fice at <strong>the</strong> site.<br />

� Any part <strong>of</strong> Design-Build Firm's capital expenses, including interest on<br />

Design-Build Firm's capital employed <strong>for</strong> <strong>the</strong> Work and charges against<br />

Design-Build Firm <strong>for</strong> delinquent payments.<br />

� Cost <strong>of</strong> premiums <strong>for</strong> all Bonds and <strong>for</strong> all insurance whe<strong>the</strong>r or not Design-<br />

Build Firm is required by <strong>the</strong> Contract Documents to purchase and maintain<br />

<strong>the</strong> same, except <strong>for</strong> additional bonds and insurance required because <strong>of</strong><br />

changes in <strong>the</strong> Work.<br />

� Costs due to <strong>the</strong> negligence or neglect <strong>of</strong> Design-Build Firm, any Sub Design-<br />

Build Firm , Subconsultant, or anyone directly or indirectly employed by any<br />

<strong>of</strong> <strong>the</strong>m or <strong>for</strong> whose acts any <strong>of</strong> <strong>the</strong>m may be liable, including but not limited<br />

to, <strong>the</strong> correction <strong>of</strong> defective Work, disposal <strong>of</strong> materials or equipment<br />

wrongly supplied and making good any damage to property.<br />

� O<strong>the</strong>r overhead or general expense costs <strong>of</strong> any kind and <strong>the</strong> cost <strong>of</strong> any<br />

item not specifically and expressly included in this Article<br />

Design-Build Firm's fee allowed to Design-Build Firm <strong>for</strong> overhead and pr<strong>of</strong>it shall be<br />

determined as follows:<br />

� A mutually acceptable fixed fee or if none can be agreed upon,<br />

� A fee based on <strong>the</strong> following percentages <strong>of</strong> <strong>the</strong> various portions <strong>of</strong> <strong>the</strong> cost<br />

<strong>of</strong> <strong>the</strong> Work:<br />

� Where <strong>the</strong> Design-Build Firm self-per<strong>for</strong>ms <strong>the</strong> Work, Design-Build Firm's fee<br />

shall not exceed ten percent (10%).<br />

� Where a Sub Design-Build Firm per<strong>for</strong>ms <strong>the</strong> Work, Design-Build Firm's fee<br />

shall not exceed seven and one half percent (7.5%); and if a sub<strong>contract</strong> is<br />

on <strong>the</strong> basis <strong>of</strong> cost <strong>of</strong> <strong>the</strong> Work plus a fee, <strong>the</strong> maximum allowable to <strong>the</strong><br />

Sub Design-Build Firm as a fee <strong>for</strong> overhead and pr<strong>of</strong>it shall not exceed ten<br />

percent (10%); and<br />

� No fee shall be payable <strong>for</strong> special consultants or supplemental costs.<br />

The amount <strong>of</strong> credit to be allowed by Design-Build Firm to <strong>City</strong> <strong>for</strong> any such change<br />

which results in a net decrease in cost will be <strong>the</strong> amount <strong>of</strong> <strong>the</strong> actual net decrease.<br />

When both additions and credits are involved in any one change, <strong>the</strong> combined<br />

overhead and pr<strong>of</strong>it shall be figured on <strong>the</strong> basis <strong>of</strong> <strong>the</strong> net increase, if any, however,<br />

Design-Build Firm shall not be entitled to claim lost pr<strong>of</strong>its <strong>for</strong> any Work not per<strong>for</strong>med.<br />

Whenever <strong>the</strong> cost <strong>of</strong> any Work is to be determined pursuant to this Article, Design-Build<br />

Firm will submit in a <strong>for</strong>m acceptable to Project Manager an itemized cost breakdown<br />

toge<strong>the</strong>r with <strong>the</strong> supporting data.<br />

Where <strong>the</strong> quantity <strong>of</strong> any item <strong>of</strong> <strong>the</strong> Work that is covered by a unit price is increased or<br />

decreased by more than twenty percent (20%) from <strong>the</strong> quantity <strong>of</strong> such Work indicated<br />

in <strong>the</strong> Contract Documents, an appropriate Change Order shall be issued to adjust <strong>the</strong><br />

unit price, if warranted.<br />

Whenever a change in <strong>the</strong> Work is to be based on mutual acceptance <strong>of</strong> a lump sum,<br />

whe<strong>the</strong>r <strong>the</strong> amount is an addition, credit or no change-in-cost, Design-Build Firm shall<br />

submit an initial cost estimate acceptable to <strong>the</strong> Project Manager.<br />
