Tenaga Nasional Berhad 168 Annual Report 2009Profile ofDirectors (Cont’d.)DATO’ PUTEH RUKIAH BINTI ABD MAJIDDato’ Puteh Rukiah binti Abd Majid, 56 years of age and a Malaysian, was appointed as Non-Independent Non-Executive Director of Tenaga Nasional Berhad on 13 September 2006.She is a holder of a Bachelor of Economics (Hons) from Universiti Malaya, Malaysia and Masters(Economy) from Western Michigan University, USA. She is the Chairman of Board Tender Committeeand a member of the Board Disciplinary Committee.She has held various positions in the Government such as Deputy Under Secretary, Minister ofFinance (Incorporated), Privatisation and Public Enterprise Division (2000-2004) and as UnderSecretary, Investment, Minister of Finance (Incorporated) and Privatisation Division (2004-August2006). Currently, she is the Deputy Secretary General (Systems & Controls), Ministry of Finance.She sits on the Boards of Perbadanan Usahawan Nasional Berhad, Perbadanan Aset Air Berhad,Pelaburan Hartanah Berhad and Penerbangan Malaysia Berhad.Dato’ Puteh Rukiah attended all the 14 Board Meetings held in the Financial Year. She has neverbeen charged for any offense and has no family relationship with any Director or Major Shareholderof the Company nor any conflict of interest with the Company.Non-Independent Non-Executive DirectorDATO’ MOHAMMAD ZAINAL BIN SHAARIDato’ Mohammad Zainal bin Shaari, 46 years of age and a Malaysian, was appointed as Non-Independent Non-Executive Director on 31 March 2007. Dato’ Mohammad Zainal is a Fellow of theInstitute of Chartered Accountants in England and Wales, and the Association of Chartered CertifiedAccountants (ACCA) of the United Kingdom. He is also a Member of the Malaysian Institute ofAccountants (MIA) and Malaysian Institute of Certified Public Accountants (MICPA).He serves as member of the Board Audit Committee, Board Tender Committee, Board Finance andInvestment Committee and Board Nomination and Remuneration Committee.He is presently the Executive Director/Chief Operating Officer of Khazanah Nasional Berhad.He has served in various positions in the private sector including with a public accounting firm in theUnited Kingdom (1984-1990) and with PricewaterhouseCoopers in year 1990 until 2002. He served ashort stint with BinaFikir Sdn. Tenaga Nasional Berhad 169 Annual Report 2009TAN SRI DATO’ LAU YIN PIN @ LAU YEN BENGTan Sri Dato’ Lau Yin Pin, 60 years of age and a Malaysian, is the Senior Independent Non-Executive Director of Tenaga Nasional Berhad. He was appointed to the Board of Tenaga NasionalBerhad on 25 September 1990. He is a Chartered Accountant of the Malaysian Institute ofAccountants (MIA) since 1979, a Fellow Member of the Chartered Association of CertifiedAccountants (ACCA), United Kingdom since 1981 and also a graduate of the Institute of CharteredSecretaries and Administration (ICSA), United Kingdom. He obtained the Diploma in Commerce (withDistinction), from Kolej Tunku Abdul Rahman.He chairs the Board Audit Committee and sits on the Board Tender Committee.Tan Sri Dato’ Lau Yin Pin has served in various capacities in the private sector including as a PublicAccountant in Lau & Co. and also a Business and Financial Consultant in Perunding Niaga Sdn. Bhd.He sits on the Board of YTL Power International Berhad and Media Chinese International Limited.Tan Sri Dato’ Lau Yin Pin attended all the 14 Board Meetings held in the Financial Year. He was appointed to the Board of Tenaga Nasional Berhad on 1 March 1995. He holds aBachelor degree in Electrical and Electronics Engineering from the University of Northumbria,England.He is a member of the Board Audit Committee and Board Nomination and Remuneration Committee.He has vast experience in the field of electrical and electronics engineering and has held keypositions at InchCape Berhad and Tamco Cutler-Hammer Sdn. Bhd. He is currently the Chairman ofNoblemax Resources Sdn. Bhd. and Deputy Chairman in Emrail Sdn. Bhd.Tan Sri Dato’ Hari Narayanan’s directorships in other public companies are S P Setia Berhad andPuncak Niaga Holdings Berhad.Tan Sri Dato’ Hari Narayanan attended 13 out of 14 Board Meetings held in the Financial Year.
