third Tuesday in April of the third year after appointment. With regard to<br />

the Alderperson-Board of Public Works member <strong>and</strong> the Alderperson<br />

member, these shall be annual appointments which shall end each year<br />

on the day immediately preceding the third Tuesday in April.<br />

3. The Mayor, subject to the approval of the Common Council, shall<br />

<strong>for</strong>thwith appoint a qualified successor to the Board <strong>for</strong> the unexpired<br />

term of any vacancy.<br />

D. Officers <strong>and</strong> Organization<br />

The Commission shall meet <strong>and</strong> organize within thirty (30) days after the<br />

appointment of the original members <strong>and</strong> shall elect from among their<br />

members a Chairperson <strong>and</strong> Secretary <strong>and</strong> shall meet thereafter at least<br />

monthly. Thereafter annually, at its first meeting following the third<br />

Tuesday in April, the Commission shall elect a Chairperson <strong>and</strong> Secretary.<br />

The Commission shall make additional rules <strong>for</strong> its own proceedings.<br />

E. Conflict of Interest<br />

No person shall be eligible to be a member of the Commission, or to hold<br />

any office or position in the Utility, who has a pecuniary interest in any<br />

contract <strong>for</strong> the furnishing of goods or services to or <strong>for</strong> the Utility or the<br />

City of Marinette. Any such office or position shall become vacant upon the<br />

acquiring of any such interest.<br />

F. Management<br />

Except as otherwise stated herein, the Commission shall take entire charge<br />

<strong>and</strong> management of the Utility <strong>and</strong> shall supervise its operation.<br />

G. Administrator <strong>and</strong> Employees<br />

The Commission shall set the salary <strong>and</strong> fringe benefits of Utility<br />

Operations Manager who shall be an employee of the Marinette Water<br />

Utility. This shall be a management position, exempt from the overtime<br />

provisions of the Fair Labor St<strong>and</strong>ards Act (FLSA). However, the Utility<br />

Operations Manager, shall be appointed by the Personnel & License<br />

Committee, the Mayor <strong>and</strong> the Common Council utilizing the methodology<br />

described in Marinette Municipal Code Section 2.0302B, unless said hiring<br />

procedure is waived by the Common Council <strong>and</strong> the task of hiring the<br />

Operations Manager is delegated to the Water <strong>and</strong> Wastewater Utility<br />

Commission. The Utility Operations Manager shall serve at the pleasure of<br />

the Mayor, but shall also take direction from, <strong>and</strong> shall report to the Mayor<br />

<strong>and</strong> Chairperson of the Marinette Water Utility Commission. As the Utility<br />

Operations Manager’s time will be equally divided between the Water<br />

Utility <strong>and</strong> the Wastewater Utility, the cost of the salary <strong>and</strong> benefits of the<br />

Operations Manager shall be divided equally between the Water Utility <strong>and</strong><br />

the Wastewater Utility. The Commission may engage other necessary<br />

employees <strong>and</strong> fix their compensation <strong>and</strong> fringe benefits. As to these other<br />

necessary employees, the Utility shall be exempt from Section 2.0318<br />

entitled “Uni<strong>for</strong>m Hiring Policy”. (Ordinance 2008-2130 adopted 7-1-08)<br />
