34 ROADMAP TATA KELOLA PERUSAHAAN INDONESIA INDONESIA CORPORATE GOVERNANCE ROADMAP whistleblowing antara lain mencakup: pelanggaran peraturan perundang-undangan, kode etik perusahaan, prinsip akuntasi yang berlaku umum, kebĳakan dan prosedur operasional perusahaan, ataupun tindakan kecurangan lainnya (KNKG, 2008). Pengungkapan pelanggaran ini umumnya dilakukan secara rahasia (confidential). Dalam konteks pasar modal, ketentuan yang ada telah mewajibkan Emiten atau Perusahaan Publik untuk mengungkapkan mekanisme whistleblowing, jika memilikinya 15 . Hal-hal yang perlu diungkapkan antara lain cara penyampaian laporan pelanggaran, perlindungan bagi pelapor, penanganan pengaduan, pihak yang mengelola pengaduan, dan hasil dari penanganan pengaduan. Berdasarkan data laporan tahunan 2012, sebanyak 142 dari 494 (29%) Emiten dan Perusahaan Publik telah memiliki dan mengungkapkan kebijakan whistleblowing (lihat Grafik 6). code of conduct, generally accepted accounting principles, and company operational policies and procedures, or other fraudulent actions (KNKG, 2008). Disclosure of offenses is generally done in secret (i.e., confidential). In the context of the capital market, there are provisions requiring the Issuer or Public Company to disclose its whistleblowing mechanism, if it has one 15 . The things that need to be disclosed include submission of violation reports, protection of whistleblowers, handling complaints, those who manage complaints, and the result of the handling of complaints. Based on data from the 2012 annual report, as many as 142 of 494 (29%) Issuers and Public Companies have had and disclosed their whistleblowing systems (see Graph 6). Berkaitan dengan hal tersebut, ketentuan yang ada perlu diperkuat untuk mendorong Emiten atau Perusahaan Publik agar memiliki kebijakan dimaksud dan menjelaskannya apabila tidak dapat mematuhinya (comply or explain). RECOMMENDATION International exemplary practices in the field of governance encourage companies to have a whistleblowing system and its implementation disclosure. In this regard, existing provisions need to be strengthened to encourage the Issuer of Public Company to have such a system and explain if it could not comply (comply or explain). C.2.E. KEBIJAKAN PENINGKATAN KEMAMPUAN VENDOR C.2.E. VENDOR CAPACITY IMPROVEMENT POLICY Dalam rangka meningkatkan keberlanjutan usaha, perusahaan perlu memastikan bahwa rantai pasokan (supply chain) berjalan dengan efisien dan efektif. Untuk itu, diperlukan vendor yang memiliki kemampuan sesuai dengan kebutuhan perusahaan. Kemampuan vendor dalam menghasilkan jasa atau produk yang dibutuhkan perusahaan akan mempengaruhi kualitas output perusahaan. Oleh karena itu, perusahaan berkepentingan untuk meningkatkan kemampuan vendor dalam menjamin kontinuitas pasokan, baik dari segi kuantitas maupun kualitas pasokan. Saat ini, belum ada ketentuan yang mendorong Emiten dan Perusahaan Publik untuk meningkatkan kemampuan vendor, baik dari sisi kapabilitas maupun kapasitas, dalam menghasilkan jasa atau produk yang dibutuhkan perusahaan. In order to improve business sustainability, companies need to ensure that the supply chain runs efficiently and effectively. For that, capable vendors are needed to meet the needs of the companies. The ability of a vendor to produce products or services that the company needs will affect the quality of the company’s output. Therefore, the company has an interest to improve vendor’s capacity to ensure continuity of supply, both in terms of quantity and quality. Currently there are no provisions that encourage Issuers and Public Companies to improve the ability of vendors, both in terms of capability and capacity, to produce products or services required by the companies. REKOMENDASI Praktik keteladanan international di bidang tata kelola mendorong perusahaan memiliki kebijakan untuk meningkatkan kemampuan vendor dan mengungkapkan hal tersebut. Oleh karena itu, Emiten dan Perusahaan Publik perlu didorong untuk memiliki kebijakan dimaksud, dan menjelaskannya apabila tidak dapat menerapkannya, sesuai dengan praktik keteladanan internasional di bidang tata kelola. Therefore, Issuers and Public Companies should be encouraged to have such policy, and explain if they could not apply, in accordance with international exemplary practices in the field of governance. C.2.F. PERAN DAN KUALIFIKASI SEKRETARIS PERUSAHAAN C.2.F.
