REKOMENDASI<br />
Praktik keteladanan internasional di bidang tata<br />
kelola mewajibkan adanya evaluasi kinerja Dewan<br />
Komisaris, baik sebagai dewan maupun sebagai<br />
individu (anggota dewan). Namun demikian,<br />
dalam penentuan remunerasi Dewan Komisaris<br />
patut diperhatikan praktik yang berlaku. Untuk itu,<br />
regulator pasar modal perlu mewajibkan Emiten<br />
atau Perusahaan Publik untuk melakukan evaluasi,<br />
dan menghubungkan hasil evaluasi dengan<br />
remunerasi dari masing-masing anggota Dewan<br />
Komisaris, serta mengungkapkannya dalam laporan<br />
tahunan.<br />
RECOMMENDATION<br />
International exemplary practices in the field<br />
of governance require performance evaluation<br />
of Board of Commissioners, both as a board<br />
and as individuals (board member). However,<br />
in terms of determining remuneration of Board<br />
of Commissioners, the prevailing practices are<br />
noteworthy. For that, the capital market regulator<br />
should require the Issuer or Public Company to<br />
conduct evaluation and link evaluation results<br />
with remuneration of each member of the Board<br />
of Commissioners and disclose them in the annual<br />
report.<br />

Untuk membangun etika perusahaan, anggota<br />
Dewan Komisaris dan Direksi yang terlibat dalam<br />
kejahatan keuangan harus didorong untuk<br />
mengundurkan diri. UUPT mengatur anggota Direksi<br />
tidak berwenang mewakili perusahaan apabila<br />
terjadi perkara di pengadilan antara anggota Direksi<br />
yang bersangkutan dengan perusahaan 31 . Hingga<br />
saat ini belum ada ketentuan khusus di pasar modal<br />
yang mengatur hal ini.<br />
To establish corporate ethics, members of Board<br />
of Commissioners and Board of Directors who are<br />
involved in financial crimes should be encouraged<br />
to resign. The Limited Liability Company Law<br />
stipulates that any member of the Board of<br />
Directors is not permitted to represent the<br />
company in the event of litigation between the<br />
member concerned and the company 31 . Until now<br />
there is no specific provision in the capital market<br />
that governed this issue.<br />

kelola mendorong anggota Dewan Komisaris dan<br />
Direksi perusahaan untuk mengundurkan diri dari<br />
posisinya apabila terlibat dalam kejahatan keuangan.<br />
Hal ini diperlukan untuk menghindari terjadinya<br />
benturan kepentingan dan membangun budaya<br />
beretika. Untuk itu, regulator pasar modal perlu<br />
mendorong kepatuhan Emiten dan Perusahaan<br />
Publik untuk memenuhi ketentuan ini dan<br />
menjelaskannya apabila tidak dapat mematuhinya.<br />
RECOMMENDATION<br />
International exemplary practices in the field<br />
of governance encourage members of Board of<br />
Commissioners and Board of Directors of the<br />
company to resign from their position if involved in<br />
financial crimes. This is necessary in order to avoid<br />
conflicts of interest and build an ethical culture.<br />
For that, the capital market regulator should<br />
encourage Issuers and Public Companies to comply<br />
with this provision and explain if they could not<br />
comply.<br />
