Penetapan kualifikasi tentang kandidat anggota<br />

Dewan Komisaris dan Direksi sangat penting agar<br />

pada saat pemegang saham harus memilih dalam<br />

RUPS, mereka memiliki keyakinan bahwa hanya<br />

kandidat yang memiliki kualifikasi tertentu dan<br />

pengalaman yang cukup yang akan dipilih. Praktik<br />

keteladanan internasional di bidang tata kelola<br />

mempersyaratkan bahwa kualifikasi kandidat anggota<br />

Dewan Komisaris dan Direksi harus ditetapkan dan<br />

diungkapkan kepada pemegang saham paling tidak<br />

pada saat panggilan RUPS dipublikasikan. Terkait<br />

dengan hal tersebut, ketentuan yang ada tentang<br />

kualifikasi kandidat anggota Dewan Komisaris dan<br />

Direksi perlu disempurnakan agar dapat menampung<br />

dinamika perkembangan di bidang tata kelola dan<br />

meningkatkan kinerja Emiten dan Perusahaan Publik.<br />

Determination of qualifications of candidate<br />

exemplary practices in the field of governance<br />

require that qualified candidate Directors<br />

GMS invitation is published. In this regard, the<br />

existing provisions on qualifications of candidate<br />

Directors and Commissioners need to be refined to<br />

accommodate the dynamics of development in the<br />

field of governance and improve the performance<br />

Pemahaman terhadap aktivitas dan proses bisnis<br />

perusahaan perlu didapat segera oleh anggota<br />

Dewan Komisaris dan Direksi yang baru bergabung di<br />

perusahaan. Hal ini penting agar dalam pelaksanaan<br />

tugasnya, mereka tidak ragu dan salah dalam<br />

mengambil keputusan dikarenakan ketidakpahaman<br />

atas proses bisnis perusahaan. Dalam peraturan yang<br />

berlaku, belum ada ketentuan yang mewajibkan<br />

Emiten dan Perusahaan Publik untuk memberikan<br />

program orientasi (induction programme) kepada<br />

anggota Dewan Komisaris dan Direksi yang baru<br />

bergabung.<br />

REKOMENDASI<br />

Emiten dan Perusahaan Publik perlu menyediakan<br />

program orientasi bagi anggota baru Dewan<br />

Komisaris dan Direksi di lingkungan perusahaannya<br />

agar proses adaptasi ke dalam lingkungan<br />

perusahaan berlangsung lancar. Untuk mendorong<br />

implementasi program ini berjalan secara efektif,<br />

Issuers and Public Companies should provide an<br />

orientation program for new members of Board<br />

of Commissioners and Board of Directors so that<br />

the adaptation process into their environment<br />
