Il trattamento fiscale della<br />
plusvalenza derivante da una<br />
operazione di sale and lease back<br />

La sentenza n. 5 emessa il 12 gennaio 20<strong>11</strong> dalla Commissione<br />
Tributaria Provinciale di Modena conferma<br />
l’attualità della tematica relativa al trattamento fiscale,<br />
ai fini delle imposte dirette IRES e IRAP, delle operazioni<br />
di sale and lease back (o vendita con retro-locazione<br />
finanziaria).<br />
Tale interesse (confermato da due recenti pronunce<br />
dell’Amministrazione finanziaria) può essere, in parte,<br />
imputato all’attuale crisi economica, che spinge le imprese<br />
a ricercare fonti di finanziamento diverse da quelle<br />
“tradizionali”.<br />
Il sale and lease back si presenta, infatti, come alternativa<br />
rispetto al contratto di mutuo con ipoteca su<br />
immobile, traducendosi, in sostanza, nella vendita<br />
dell’immobile di proprietà dell’impresa ad una società di<br />
leasing (“sale”) e nella successiva immediata stipula di<br />
un contratto di leasing (“lease back”) tra l’acquirente e la<br />
cedente.<br />
Le caratteristiche del sale and lease back hanno in<br />
passato indotto la Corte di Cassazione (cfr. sentenza<br />
n. 4612/1998) a qualificarlo come un contratto atipico<br />
avente causa di finanziamento.<br />
Il lay-out dell’operazione di sale and lease back comporta<br />
che, nel caso in cui il prezzo di vendita dell’immobile alla<br />
società di leasing risulti maggiore del valore di iscrizione<br />
nella contabilità dell’impresa cedente, si origina una<br />
plusvalenza in capo a quest’ultima.<br />
Nel seguito, dopo aver offerto una sintetica esposizione<br />
degli effetti contabili del sale and lease back, si affronterà<br />
la tematica tributaria relativa al trattamento della<br />
plusvalenza derivante da tale operazione, descrivendo,<br />
inoltre, gli orientamenti espressi nella citata pronuncia<br />
di merito.<br />
Trattamento contabile<br />
Dal punto di vista contabile, il trattamento dell’operazione<br />
in esame dipende dai principi contabili utilizzati dalla<br />
società.<br />
Nel caso di imprese che adottano i principi contabili<br />
nazionali, la disciplina della plusvalenza conseguente<br />
alla stipula del contratto di sale and lease back è rinvenibile<br />
nell’articolo 2425-bis, comma 4, Codice Civile,<br />
secondo il quale: “Le plusvalenze derivanti da operazioni<br />
di compravendita con locazione finanziaria al venditore<br />
sono ripartite in funzione della durata del contratto di<br />
locazione”.<br />

Case law n. 5 issued on January 12th, 20<strong>11</strong> by Modena<br />
Provincial Tax Court confirms that the tax regime to be applied<br />
(for direct taxes – IRES and IRAP – purposes) to sale<br />
and lease back is a very up-to-date theme.<br />
Such interest (confirmed by two recent circular letters issued<br />
by Italian Tax Authorities) can be partially due to the<br />
present economic crisis, that drives companies to look for<br />
sourced of financing different from the “traditional” ones.<br />
Indeed, sale and lease back can be considered as an alternative<br />
to the mortgage loan, because it consists in the sale of<br />
the real estate owned by the company to a leasing company<br />
and in the subsequent signing of a leasing agreement<br />
between the purchaser and the seller.<br />
Taking into consideration its features, the Italian Court<br />
of Cassation (Case law n. 4612/1998), qualified sale and<br />
lease back as a contract having a financial scope.<br />
The lay-out of sale and lease back involves that, if the sale<br />
price of the real estate is higher than its book value, a capital<br />
gain arises for the selling company.<br />
Hereinafter, after summarizing the accounting effects of<br />
sale and lease back, it will be analyzed the tax treatment of<br />
the capital gain arising from this transaction, explaining<br />
also the trend expressed by the case law mentioned above.<br />
Accounting treatment<br />
From an accounting standpoint, the treatment of sale and<br />
lease back depends on the accounting principles (GAAP)<br />
used by the company.<br />
If the company applies the Italian GAAP, the capital gain<br />
arising from sale and lease back is ruled by article 2425bis,<br />
paragraph 4, of the Italian Civil code, which states<br />
that: “Gains deriving from purchase and sale transactions<br />
with financial lease to the seller are allocated depending on<br />
the duration of the lease contract”.<br />

Con riferimento ai soggetti c.d. IAS adopter, la disciplina<br />
di riferimento deve essere ricercata nel paragrafo 59<br />
dello IAS 17, che così recita: “Se un operazione di vendita<br />
e retro locazione corrisponde a un leasing finanziario,<br />
eventuali eccedenze del corrispettivo di vendita rispetto<br />
al valore contabile non devono essere rilevate immediatamente<br />
come proventi del venditore-locatario. La<br />
loro rilevazione, invece, deve essere differita e imputata<br />
lungo la durata del leasing”.<br />
Dal punto di vista pratico, i soggetti IAS adopter hanno<br />
dato corso a tale disposizione ricorrendo a due tecniche<br />
contabili:<br />
• la prima, più diffusa, consiste nella rilevazione della<br />
plusvalenza all’atto della cessione del bene, con successiva<br />
iscrizione in bilancio (a seguito della stipula del contratto<br />
di leasing) al maggior valore di cessione, e quindi<br />
riscontando la plusvalenza lungo la durata del contratto<br />
di locazione finanziaria;<br />
• la seconda consiste nell’imputazione della plusvalenza<br />
a graduale riduzione del debito per canoni lungo la durata<br />
del contratto di leasing.<br />
E’, quindi, possibile osservare che, dal punto di vista<br />
contabile, tanto i principi contabili nazionali quanto gli<br />
IAS contemplano una rilevazione della plusvalenza derivante<br />
dal sale and lease back ricorrendo al criterio del<br />
pro-rata temporis, in funzione della durata del contratto<br />
di locazione finanziaria.<br />
Trattamento fiscale<br />
Dal punto di vista fiscale, il trattamento della plusvalenza<br />
emergente nel contesto di un’operazione di sale and<br />
lease-back non presenta particolari problematiche per<br />
quanto riguarda i soggetti IAS adopter.<br />
Infatti, l’osservanza del principio di “derivazione rafforzata”<br />
(risultante dalla lettura incrociata dell’articolo 83<br />
del TUIR e del D.M. 1° aprile 2009, n. 48) implica che il<br />
trattamento contabile dell’operazione assume rilevanza<br />
anche ai fini fiscali. Ne consegue che, per i soggetti IAS<br />
adopter, la plusvalenza deve essere ripartita, anche dal<br />
punto di vista fiscale, nei vari periodi d’imposta di durata<br />
del contratto di leasing.<br />
Più problematica appare l’individuazione del corretto<br />
trattamento fiscale da riservare alla plusvalenza in esame<br />
con riferimento ai soggetti che adottano gli standard<br />
nazionali.<br />
Sul tema, precedentemente all’indirizzo adottato nella<br />
citata sentenza di merito, era possibile rinvenire due<br />
orientamenti contrastanti nel seguito brevemente illustrati.<br />
With reference to IAS adopters, the matter is ruled by<br />
paragraph 59 of IAS 17, which provides that: “If a sale<br />
and lease back transaction results in a finance lease, any<br />
excess of sales proceeds over the carrying amount shall<br />
not be immediately recognised as income by a sellerlessee.<br />
Instead, it shall be deferred and amortised over<br />
the lease term”.<br />
IAS adopters applied such principle by using two accounting<br />
methods:<br />
• the first one, largely used, consists in booking the capital<br />
gain when the sale takes place, with the subsequent<br />
booking of the real estate (in consequence of the signing<br />
of the leasing agreement) at the higher sale value, and<br />
then discounting the capital gain over the duration of the<br />
leasing agreement;<br />
• the second one consists in charging the capital gain in<br />
gradual reduction of the debt through the leasing company<br />
over the duration of the leasing agreement.<br />
Therefore, it is possible to remark that, from and accounting<br />
standpoint, both Italian GAAP and IAS provide<br />
that the capital gain of sale and lease back shall be discounted<br />
(pro-rata temporis method) over the duration<br />
of the leasing agreement.<br />
Tax treatment<br />
From a tax perspective, the treatment of the capital gain<br />
arising from lease back does not involve specific issues for<br />
IAS adopters.<br />
Indeed, having in mind the principle according to which<br />
the taxable basis of IAS adopters is substantially determined<br />
according to the income statement result (so called<br />
“derivazione rafforzata”, as provided by article 83 of<br />
Consolidated Income Tax Act – CITA - and Ministerial<br />
Decree n. 48 issued on April 1st, 2009), the accounting<br />
treatment of the capital gain is recognized also for tax<br />
purposes. In consequence, for IAS adopters, the taxation<br />
of the capital gain shall be discounted over the duration<br />
of the leasing agreement.<br />
More problematic is the tax treatment of the capital gain<br />
for taxpayers which apply Italian GAAP.<br />
On the matter, before the abovementioned judgment by<br />
the Modena Provincial Tax Court, two conflicting trends<br />
existed: they are analyzed in the following.<br />

1. La posizione dell’Agenzia delle Entrate<br />
Recentemente, l’Agenzia delle Entrate ha avuto modo<br />
di pronunciarsi sul trattamento fiscale da riservare alle<br />
plusvalenze realizzate nel contesto di un’operazione di<br />
sale and lease back in due occasioni con la Risoluzione<br />
n. 237/E, del 25 agosto 2009, e la successiva Circolare n.<br />
38/E, del 23 giugno 2010.<br />
In entrambi i casi, l’Amministrazione Finanziaria ha<br />
ritenuto tassabile ai sensi dell’articolo 86 TUIR la plusvalenza<br />
realizzata nel contesto di un’operazione di sale and<br />
lease back.<br />
Ne consegue che la plusvalenza sarà tassata immediatamente<br />
nell’esercizio di cessione dell’immobile o, sussistendone<br />
i requisiti (possesso del bene da almeno tre<br />
anni), in quote costanti su un massimo di cinque esercizi;<br />
e ciò a prescindere dal fatto che, dal punto di vista contabile,<br />
la plusvalenza sia imputata a conto economico con<br />
il criterio pro-rata temporis in funzione della durata del<br />
contratto di locazione finanziaria.<br />
Per completezza, si rileva che, nella Circolare n. 38/E,<br />
l’Agenzia delle Entrate ha precisato che, in maniera<br />
speculare rispetto alla plusvalenza, anche l’eventuale minusvalenza<br />
derivante da un’operazione di sale and lease<br />
back risulterà deducibile, ai sensi dell’articolo 101 TUIR,<br />
nell’esercizio in cui si verifica la cessione dell’immobile,<br />
limitatamente a quanto imputato a conto economico.<br />
2. La posizione della dottrina<br />
In senso contrario rispetto a quanto osservato dall’Agenzia<br />
delle Entrate risulta orientata la maggioranza della<br />
dottrina, che propende, infatti, per una tassazione della<br />
plusvalenza coerente con la sua imputazione a conto<br />
economico e, di conseguenza, in funzione della durata<br />
del contratto di leasing.<br />
In questo senso si è espressa, tra l’altro, l’Unione Nazionale<br />
dei Giovani Dottori Commercialisti, nella Circolare<br />
n. 2, del 23 gennaio 2007.<br />
Tra le argomentazioni utilizzate dalla dottrina a supporto<br />
della propria tesi si segnalano le seguenti:<br />
(a) il trattamento fiscale della plusvalenza sostenuto<br />
dall’Agenzia delle Entrate comporta uno sfasamento<br />
temporale tra la rilevanza fiscale del costo (la quota capitale<br />
del canone di leasing) e la componente reddituale<br />
rettificativa (la plusvalenza), non consentendo il rispetto<br />
del principio di contrapposizione (per correlazione) tra<br />
componenti positivi e negativi di reddito;<br />
(b) la tassazione immediata, in capo ai soggetti che<br />
adottano i principi contabili nazionali, della plusvalenza<br />
derivante da un’operazione di sale and lease back comporta<br />
una disparità di trattamento rispetto ai soggetti<br />
IAS adopter che beneficiano di una “rateazione” lungo il<br />
periodo di durata del leasing;<br />
1. The point of view of the Italian Tax Authorities<br />
Recently, the Italian Tax Authorities issued two circular<br />
letters (n. 237/E issued on August 25th, 2009 and n. 38/E<br />
issued on June 23rd, 2010) about the tax treatment of the<br />
capital gain arising from sale and lease back.<br />
In both cases, the Italian Tax Authorities stated that such<br />
capital gain shall be taxed according to article 86 of CITA.<br />
Which means that the capital gain shall be taxed immediately<br />
in the fiscal year in which the real estate is sold or, if the<br />
relevant requirements are met (i.e. the real estate is owned<br />
for at least three years), in no more than five yearly steady<br />
installments; and this despite of the accounting treatment<br />
which consists in the discounting of the capital gain over<br />
the duration of the leasing agreement.<br />
For sake of completeness, it is opportune to point out that,<br />
in circular letter n. 38/E, the Italian Tax Authorities stated<br />
that, as it happens with reference to the capital gain, also<br />
the eventual loss relevant to sale and lease back, can be<br />
deduced according to article 101 of CITA, i.e. in the fiscal<br />
year in which the real estate is sold and within the limit of<br />
the loss booked in the income statement.<br />
2. The point of view of Italian Scholars<br />
The majority of Italian scholars supported a trend different<br />
from the one by Italian Tax Authorities. According to uch<br />
trend, the capital gain arising from sale and lease back<br />
shall be taxed as it is booked in the in the income statement,<br />
i.e., by discounting it over the duration of the leasing<br />
agreement.<br />
Also the Association of Young Chartered Accountants<br />
supported such interpretation in its circular n. 2 issued on<br />
January 23rd, 2007.<br />
The main reasoning used in order to support such theory<br />
can be summarized as follows:<br />
(a) the trend supported by the Italian Tax Authorities involves<br />
a distortion between the tax relevance of the cost (leasing<br />
rents) and of the relevant income (the capital gain):<br />
therefore costs are not matched with the relevant income;<br />
(b) if the taxpayers which adopt Italia GAAP are immediately<br />
taxed with reference to a capital gain arising from sale<br />
and lease back, it involves a discrimination if compared<br />
with the tax treatment applied to IAS adopters, which benefit<br />
from a taxation by installments of the same capital gain;<br />

(c) il sale and lease back rappresenta un contratto continuativo<br />
con corrispettivi a carattere periodico che, in<br />
base all’articolo 109, comma 2, lettera b), TUIR, devono<br />
essere rilevati alla data di maturazione. La natura<br />
finanziaria di tale operazione fa sì che la maturazione<br />
dei relativi corrispettivi debba avvenire parallelamente a<br />
quella degli interessi passivi, quindi, lungo la durata del<br />
contratto di leasing.<br />
L’orientamento espresso dalla CTP di Modena<br />
L’orientamento espresso dalla Commissione Tributaria<br />
Provinciale di Modena sposa, nella sostanza, le posizioni<br />
assunte dalla dottrina, respingendo la tesi dell’Agenzia<br />
delle Entrate contenuta nei documenti di prassi sopra<br />
citati.<br />
I giudici di merito, infatti, nell’accogliere le argomentazioni<br />
del ricorrente (soggetto non IAS), hanno sostenuto<br />
la tesi secondo cui la plusvalenza frutto dell’operazione<br />
di sale and lease back posta in essere dal contribuente<br />
va assoggettata ad imposizione in maniera graduale,<br />
secondo la ripartizione temporale di cui all’articolo<br />
2425-bis, Codice Civile, quindi in funzione della durata<br />
del contratto di leasing.<br />
Viene conseguentemente respinta la tesi dell’Ufficio<br />
impositore che chiedeva la tassazione della plusvalenza<br />
in ossequio alle disposizioni contenute nell’articolo 86,<br />
TUIR.<br />
Sul piano giuridico, la Commissione motiva la propria<br />
decisione osservando che: “Il lease back è un negozio<br />
diverso, più complesso, di una mera cessione a titolo<br />
oneroso”, in quanto la sua principale causa è finanziaria.<br />
L’operazione rappresenta, quindi, un unicum, non scindibile<br />
in due parti (vendita e locazione finanziaria) dotate<br />
di autonomia.<br />
Sulla scorta di tale principio, i giudici osservano che<br />
“non pare lecito restringere il più complesso ed articolato<br />
negozio di lease back nella categoria delle cessioni a<br />
titolo oneroso”, con la duplice conseguenza che:<br />
(a) alla fattispecie in esame non potrà applicarsi l’articolo<br />
86, TUIR, in quanto disposizione avente ad oggetto le<br />
cessioni “semplici” di beni;<br />
(b) la tassazione della plusvalenza avverrà in coerenza<br />
con il criterio contabile fissato dall’articolo 2425-bis,<br />
Codice Civile, che ne prevede la ripartizione in funzione<br />
della durata del contratto di leasing.<br />
La sentenza in rassegna assume, poi, maggiore significato<br />
se si considera che il caso sottoposto al vaglio dei<br />
giudici riguardava un soggetto non IAS che, nel contabilizzare<br />
gli effetti dell’operazione di sale and lease back,<br />
aveva scelto il metodo finanziario (contemplato nello IAS<br />
17) e non quello patrimoniale (previsto dall’OIC 16 per i<br />
soggetti che adottano standard contabili nazionali).<br />
(c) sale and lease back is an on-going contract which involves<br />
recurring considerations that, according to article 109,<br />
paragraph 2, letter b) of CITA, shall be booked and taxed<br />
when they accrue. The financial nature of the transaction<br />
involves that the relevant income (the capital gain) shall be<br />
taxed consistently with interest charges, therefore over the<br />
duration of the leasing agreement.<br />
The trend supported by Modena Tax Court<br />
The trend expressed by Modena Provincial Tax Court<br />
supports, substantially, the theory by scholars, rejecting the<br />
one affirmed by Italian Tax Authorities, as described above.<br />
The judges, indeed, accepted the reasons of the taxpayer<br />
(not IAS adopter), and affirmed that the capital gain<br />
arising from sale and lease back shall be taxed over the duration<br />
of the leasing agreement, according to the provisions<br />
of article 2425-bis of the Italian Civil Code.<br />
The theory by the Italian Tax Authorities, which required<br />
the taxation of the capital gain according to article 86 of<br />
CITA, was consequently rejected.<br />
The Tax Court supports its statement by arguing that sale<br />
and lease back is a transaction which is different and more<br />
complex than a mere sale, because its main scope is a financial<br />
one. Therefore, the transaction cannot be split (sale<br />
and, separately, leasing).<br />
Basing upon such principle, the judges state that it is not<br />
possible to qualify sale and lease back (which is a complex<br />
transaction) as a mere sale. As a consequence:<br />
(a) it is not possible to apply to sale and lease back article<br />
86 of CITA, because this latter can be applied only in the<br />
case of a mere sale;<br />
(b) the taxation of the capital gain takes place according to<br />
the accounting principle provided by article 2425-bis of the<br />
Italian Civil Code, which sets forth its discounting over the<br />
duration of the leasing agreement.<br />
The case law under analyses is interesting also because it<br />
refers to a taxpayer which adopted the Italian GAAP, that,<br />
in booking the effects of sale and lease back, had used<br />
the “financial method” (provided by IAS 17) and not the<br />
“patrimonial” one (provided by OIC 16 for Italian GAAP<br />
adopters).<br />

La Commissione, infatti, ha convalidato anche sotto questo<br />
punto di vista la condotta del contribuente, osservando<br />
che né le indicazioni fornite dall’OIC, né il disposto<br />
dell’articolo 2427, n. 22), Codice Civile, possono rappresentare<br />
una preclusione per il contribuente non IAS<br />
all’adozione del metodo finanziario per rappresentare gli<br />
effetti di un’operazione di sale and lease back.<br />
La conseguenza di questa impostazione è che viene<br />
riconosciuta la deducibilità, in capo al contribuente,<br />
delle quote di ammortamento dell’immobile oggetto di<br />
cessione e successiva retro-locazione finanziaria.<br />
Conclusioni<br />
In merito all’ultima affermazione della Commissione,<br />
in merito alla possibilità, per un soggetto non IAS, di<br />
ricorrere alla contabilizzazione del leasing ricorrendo<br />
al metodo “finanziario”, va osservato che, essendo i fatti<br />
oggetto della controversia risalenti al 2005, le conclusioni<br />
raggiunte dai giudici su tale ultimo aspetto si fondano<br />
su una disposizione, l’articolo 102, comma 7, TUIR,<br />
oggetto di successiva modifica ad opera della Finanziaria<br />
2008 (Legge n. 244/2007).<br />
Pertanto, non è da escludere una possibile diversa lettura<br />
della vicenda da parte di successiva giurisprudenza, alla<br />
luce delle disposizioni attualmente vigenti.<br />
In conclusione, l’incertezza sulla materia, nella quale si<br />
incontrano e scontrano le posizioni dell’Amministrazione<br />
finanziaria, della dottrina e, da ultimo, della giurisprudenza,<br />
nonché l’interesse che il contratto di sale and lease<br />
back (quale forma alternativa di finanziamento) sta<br />
assumendo tra gli operatori, rendono opportuno al più<br />
presto un intervento normativo dedicato, che disciplini<br />
in maniera univoca il trattamento fiscale da riservare a<br />
questa fattispecie negoziale.<br />
Indeed, the Tax Court approved totally the behaviour of the<br />
taxpayer by stating that neither the explanations provided<br />
by Italian GAAP, nor the provisions by article 2427, n. 22<br />
of Italian Civil Code, can be considered as a prohibition for<br />
the taxpayer to adopt the “financial method” in booking the<br />
effects of sale and lease back in its accounts.<br />
The consequence of such statement is that the taxpayer can<br />
deduct from its taxable basis the amortization calculated<br />
over the value of the real estate which has been sold and<br />
then leased back.<br />
Conclusions<br />
With reference to the last statement by the Tax Court,<br />
relevant to the application, by a taxpayer not IAS adopter,<br />
of the financial method to book the effects of sale and lease<br />
back, it may be opportune to point out that the facts object<br />
of the judgment occurred on fiscal year 2005 and that the<br />
conclusions of the judges were based upon article 102, paragraph<br />
7 of CITA, which has been modified starting from<br />
January 2008 (due to law n. 244/2007).<br />
As a consequence, it is not possible to exclude a different<br />
position in the future by other Tax Courts, with reference<br />
to facts occurred after the entering into force of the new tax<br />
rules.<br />
In conclusion, the uncertainty about the matter and the<br />
raising interest by companies with reference to sale and<br />
lease back as a source for financing the business, are valid<br />
arguments to deem opportune the issuing, by the legislator,<br />
of specific rules which can clearly discipline the matter.<br />

Come già analizzato in occasione dell’articolo pubblicato<br />
sulla <strong>TLS</strong> <strong>Newsletter</strong> n.12/2010 (“Abuso del diritto<br />
e deposito simulato di beni provenienti da paesi extra<br />
- CE”), l’Agenzia delle Dogane è intervenuta sul concetto<br />
di Deposito IVA soffermandosi sui c.d. Depositi simulati.<br />
In questa sede vengono effettuate ulteriori considerazioni<br />
alla luce della recente “Sentenza Weald Leasing”,<br />
C-103/09, della Corte di Giustizia Europea, del 22<br />
dicembre 2010, avente ad oggetto alcune operazioni di<br />
leasing, effettuate da un gruppo societario, che denotavano,<br />
fra gli altri, lo scopo di differire l’onere fiscale<br />
dell’IVA indetraibile. Pronunciandosi sul contrasto di tali<br />
operazioni con la Direttiva IVA, la Corte si è soffermata<br />
a rimarcare i presupposti e le caratteristiche di una condotta<br />
abusiva.<br />
Sul punto, ad avviso dell’Agenzia delle Dogane, configurerebbe<br />
abuso del diritto l’introduzione della merce<br />
in deposito senza una sottostante ragione economica,<br />
tranne l’intento di evitare il pagamento dell’imposta in<br />
dogana.<br />
Secondo l’Agenzia, il deposito simulato configura<br />
l’ipotesi di abuso del diritto in quanto “si pone in essere<br />
un’operazione, senza una valida ragione economica, il<br />
cui scopo è essenzialmente l’ottenimento di un vantaggio<br />
fiscale”.<br />
Nel caso dei depositi IVA, tuttavia, il contribuente, che<br />
effettua l’immissione in libera pratica della merce importata<br />
introducendola nel deposito, non ottiene un vantaggio<br />
fiscale bensì finanziario consistente nella possibilità<br />
di differire il momento di assolvimento dell’imposta<br />
all’estrazione dei beni dal deposito. Tale vantaggio si tradurrebbe,<br />
pertanto, in un miglioramento della gestione<br />
della tesoreria e non in un beneficio fiscale inteso come<br />
indebito risparmio di imposta. Lo scopo del contribuente,<br />
in questa fattispecie, è quello di razionalizzare la<br />
propria gestione finanziaria, non essendovi una pratica<br />
abusiva nel differimento dell’assolvimento dell’imposta<br />
ad un momento successivo, bensì una scelta di “conduzione<br />
degli affari fra più possibili opzioni ammissibili<br />
sotto il profilo giuridico” (si veda, su questo aspetto,<br />
Commissione Tributaria Provinciale di Pisa, n. 243 del 14<br />
Dicembre 2009).<br />
Nella pronunzia relativa al caso Weald Leasing (sentenza<br />
22 Dicembre 2010, Causa C-103/09) la Corte di Giustizia<br />
esclude che un mero beneficio finanziario, purché<br />
l’imposta venga integralmente corrisposta, costituisca un<br />
indebito “vantaggio fiscale”, contrario alla direttiva IVA.<br />

As already analyzed in the article published on <strong>TLS</strong> <strong>Newsletter</strong><br />
no. 12/2010 (“Abuse of Law and VAT warehouse:<br />
“simulated” storage of imported goods”), the Custom<br />
Agency intervened on the concept of VAT warehouse, with<br />
particular reference to the so-called “simulated” VAT warehouses.<br />
Further comments follow on the basis of the recent<br />
decision of the “Weald leasing” case, C-103/09, by the<br />
European Court of Justice, released on December 22, 2010.<br />
The case referred to some leasing transactions carried out<br />
by a group of companies, with the aim, among others, of<br />
deferring and distributing the non-deductible VAT cost. In<br />
the case at hand, saying over the contrast of such transactions<br />
with the VAT directive, the Court pointed out the<br />
elements and characteristics of abusive behaviours.<br />
According to the Custom Authorities the introduction of<br />
the goods into the warehouse without any real economic,<br />
except for avoiding the VAT payment at the custom, would<br />
set up an abuse of law.<br />
According to the Custom Agency, the “simulated” VAT warehouse<br />
set up a hypothesis of “abuse of law”, since a transaction<br />
is carried out without any valid economic reason,<br />
with the essential aim of obtain a tax advantage.<br />
In the case of Vat warehouses, however, the taxpayer that<br />
release the goods into free circulation, does not obtain a<br />
tax advantage, but rather a financial one which consist in<br />
the possibility of deferring the tax point at the moment of<br />
the extraction of the goods from the warehouse. Such an<br />
advantage would result in a financial improvement, which<br />
does not constitute an undue tax benefit. The taxpayer’s<br />
aim, in such a case, is to rationalize its cash management,<br />
and the mere deferral of the tax point does not represent<br />
an abusive behavior, but a “legitimate management choice<br />
among different acceptable options from a legal point<br />
of view” (see Tax Court of Pisa, no. 243 of December 14,<br />
2009).<br />
In its decision concerning Weald Leasing case (dated December<br />
22, 2010, Case C-103/09) the Court of Justice itself<br />
excluded that a mere financial benefit, given that VAT is<br />
paid in full, constitute an undue “tax advantage”, contrary<br />
to the VAT directive.<br />

Infine, la Corte di Giustizia ha ribadito ancora una volta<br />
che la contestazione dell’esistenza di un comportamento<br />
abusivo non deve condurre ad una sanzione, per la quale<br />
sarebbe necessario un fondamento normativo chiaro e<br />
univoco.<br />
Con la Weald Leasing la Corte ha, anzi, ulteriormente<br />
previsto la non comminabilità di sanzioni nel caso di<br />
contestazione di operazioni abusive, evidenziando la<br />
necessità che “dette operazioni siano ridefinite in maniera<br />
da ristabilire la situazione quale sarebbe esistita in<br />
assenza degli elementi che hanno natura abusiva”.<br />
Pertanto, l’Amministrazione nazionale, ancorché ravvisasse<br />
un utilizzo improprio dei depositi IVA sotto il profilo<br />
dell’abuso del diritto, dovrebbe ristabilire la situazione<br />
non abusiva che, nel caso specifico, non porterebbe<br />
comunque ad un recupero di imposta per l’Erario.<br />
Finally, the European Court of Justice stated once again<br />
that a finding of abusive practice must not lead to a penalty,<br />
for which a clear and unambiguous legal basis would be<br />
necessary.<br />
In Weald Leasing decision, rather, the Court further remarked<br />
that no penalties may be imposed, but “transactions<br />
involved in an abusive practice must be redefined so as<br />
to re-establish the situation that would have prevailed in<br />
the absence of the transactions constituting that abusive<br />
practice”.<br />
Therefore, the national Tax Authorities - although an<br />
improper use of VAT warehouse is found - shall re-establish<br />
the non-abusive situation which, in such a case, would not<br />
lead to tax recovery for the treasury.<br />

La Consob aggiorna la disciplina<br />
degli shareholders’ rights<br />

Come noto, il D. Lgs. 27 gennaio 2010, n. 27, entrato in<br />
vigore in diversi periodi dell’anno scorso, ha introdotto<br />
rilevanti novità nella disciplina delle società per azioni<br />
quotate, in attuazione della Direttiva 2007/36/CE (cd.<br />
shareholders’ rights), modificando diverse norme del D.<br />
Lgs. 24 febbraio 1998 n. 58 (cd. Tuf) ed alcuni articoli<br />
del Codice Civile (libro V, titolo V, capo V).<br />
Tali novità hanno reso necessario un conseguente<br />
adeguamento della normativa di secondo livello, ed in<br />
particolare l’intervento della Consob sul Regolamento<br />
Emittenti, avvenuto con la Delibera n. 17592, del 14<br />
dicembre 2010, che ha introdotto nuove disposizioni in<br />
materia di informazione societaria, identificazione dei<br />
soci, deleghe di voto, nonché voto per corrispondenza e<br />
in via elettronica.<br />
In particolare, per quanto riguarda il tema dell’informazione<br />
societaria, è stato sostanzialmente generalizzato<br />
l’obbligo delle società quotate di mettere a disposizione<br />
del pubblico, presso la sede sociale, sul sito internet e<br />
con le altre modalità previste dal Capo I del Regolamento<br />
Emittenti, una serie di comunicazioni, informazioni<br />
e delibere connesse agli avvenimenti più rilevanti<br />
nella “vita” della società. Tra le altre, si evidenziano le<br />
comunicazioni in tema di fusione, scissione, acquisto<br />
o alienazione di azioni proprie, aumento di capitale sociale<br />
tramite conferimenti in natura, aumento di capitale<br />
sociale con esclusione o limitazione del diritto di opzione<br />
nonché tutte le delibere delle assemblee ordinarie e<br />
straordinarie.<br />
Con riferimento alle novità in materia di identificazione<br />
degli azionisti tramite la società di gestione accentrata,<br />
previste dal nuovo articolo 83-duodecies, Tuf, la Delibera<br />
Consob n. 17592/2010 ha introdotto l’articolo 133bis,<br />
al fine di regolare la ripartizione dei costi connessi a<br />
tale eventualità.<br />
Più precisamente:<br />
• il comma 1 stabilisce che, nel caso in cui la richiesta<br />
di identificazione ex articolo 83-duodecies, sia prevista<br />
dallo statuto della società, è necessario che lo stesso<br />
disciplini anche i criteri di ripartizione dei costi, qualora<br />
la richiesta sia effettuata dai soci ai sensi del comma 3<br />
del medesimo articolo.<br />
• Il comma 2 sancisce che, qualora la richiesta venga<br />
avanzata dai soci nei sei mesi successivi alla chiusura<br />
dell’esercizio sociale, e comunque prima dell’assemblea<br />
ordinaria annuale (volta all’approvazione del bilancio<br />
d’esercizio), e non sia stata effettuata alcuna richiesta<br />
analoga nello stesso periodo, la società è obbligata a<br />
sostenere per intero i relativi costi.<br />
Consob amends rules on shareholders’<br />
rights<br />

As known, Legislative Decree n. 27 dated January 27,<br />
2010, become effective in different periods of the last<br />
year, has introduced significant news in the listed companies<br />
law, implementing the Directive 2007/36/EC (i.e.<br />
shareholders’ rights) and amending several provisions<br />
of Legislative Decree n. 58 dated February 24, 1998 (i.e.<br />
Consolidated Law on Finance - “Tuf”) and some Sections of<br />
the Italian Civil Code (Book V, Title V, Chapter V).<br />
Such amendments have rendered necessary a consequent<br />
updating of the second degree regulations, and in particular<br />
the Consob intervention on the Regulation on Issuers<br />
by means of Resolution n. 17592 dated December 14,<br />
2010, which has introduced new provisions on company<br />
information, shareholders’ identification, voting delegation,<br />
as well as postal and electronic voting.<br />
In particular, as far as concerns the company information<br />
matter, it has been substantially generalized the listed<br />
companies’ obligation to make available to the public, at<br />
the registered office, on the website and in accordance with<br />
the other modalities provided for by Chapter I of Regulation<br />
on Issuers, a set of disclosures, information and<br />
resolutions connected to the most important events of the<br />
company’s “life”. Among others, we highlight the disclosures<br />
in case of merger, spin-off, purchase and sale of own<br />
shares, corporate capital increase by means of contribution<br />
in kind, corporate capital increase with exclusion or<br />
restriction of the option right, as well as all the resolutions<br />
of the ordinary and extraordinary shareholders’ meetings.<br />
With reference to the amendments on shareholders’ identification<br />
by means of the central securities depository,<br />
provided for by the amended Section 83-duodecies, Tuf,<br />
the Consob Resolution n. 17592/2010 has introduced<br />
Section 133-bis, in order to regulate the costs distribution<br />
connected to such possibility.<br />
More precisely:<br />
• paragraph 1sets forth that should the request of identification,<br />
pursuant to Section 83-duodecies, be provided for<br />
by the company’s by-laws, the same shall also discipline<br />
costs distribution criteria, in case such a request is put<br />
forward by the shareholders pursuant to paragraph 3 of<br />
the same Section.<br />
• Paragraph 2 provides for that, should the request be put<br />
forward by the shareholders within six months following<br />
the end of the financial year, and however, prior to the<br />
yearly shareholders meeting (aimed at the approval of the<br />
yearly financial statements), in lack of any similar request<br />
in the same period, the company has to fully support the<br />
relevant costs.<br />

• Il comma 3 precisa che, qualora lo statuto della società<br />
non preveda alcun criterio di ripartizione dei costi,<br />
tali oneri saranno interamente a carico dell’emittente;<br />
tuttavia, fino alla prima assemblea ordinaria annuale<br />
successiva alla sua entrata in vigore, i costi relativi alle<br />
richieste di cui all’articolo 133-bis, comma 2, sono posti<br />
interamente a carico dei soci richiedenti, ove lo statuto<br />
non disponga diversamente.<br />
Per quanto riguarda la nuova figura del rappresentante<br />
degli azionisti, che salvo diversa previsione statutaria<br />
deve essere nominato e identificato dalla società nell’avviso<br />
di convocazione di ciascuna assemblea affinché i<br />
soci possano conferirgli deleghe con istruzioni di voto,<br />
la Consob ha disciplinato le modalità di espressione del<br />
voto delegato a tale soggetto. In particolare, il rappresentante,<br />
che non si trovi in alcuna delle condizioni di<br />
conflitto di interessi previste dall’articolo 135-decies,<br />
Tuf, potrebbe, ove espressamente autorizzato dal socio,<br />
esprimere un voto difforme da quello indicato nelle<br />
istruzioni fornitegli, qualora si verifichino circostanze di<br />
rilievo, ignote al momento del rilascio della delega e non<br />
tempestivamente comunicabili al delegante, tali da far<br />
ritenere che, ove da questi conosciute, sarebbero state<br />
approvate, ovvero nel caso in cui siano state modificate<br />
le proposte di deliberazione sottoposte all’assemblea.<br />
In tali casi, il rappresentante avrà comunque l’obbligo di<br />
comunicare all’assemblea i voti espressi in modo difforme<br />
o in assenza di istruzioni oltre alle motivazioni di tali<br />
condotte.<br />
In ultimo, il provvedimento della Consob ha disciplinato<br />
in maniera più dettagliata la partecipazione degli azionisti<br />
all’assemblea con mezzi elettronici, a seguito delle<br />
modifiche operate all’articolo 2370, Codice Civile. A<br />
questo proposito, il nuovo articolo 143-bis, Regolamento<br />
Emittenti, ha stabilito che lo statuto delle società possa<br />
consentire l’utilizzo dei mezzi elettronici in una delle<br />
seguenti forme:<br />
- trasmissione in tempo reale dell’assemblea;<br />
- intervento in assemblea da una diversa località mediante<br />
sistemi di comunicazione in tempo reale a due vie;<br />
- esercizio del diritto di voto prima dell’assemblea o<br />
durante il suo svolgimento, senza che si renda necessaria<br />
la nomina di un rappresentante fisicamente presente. In<br />
questo caso saranno, altresì, applicabili le norme relative<br />
all’esercizio del voto per corrispondenza.<br />
Il nuovo sistema di partecipazione alle assemblee delle<br />
società quotate è, tuttavia, condizionato alla sussistenza<br />
dei requisiti per l’identificazione dei soggetti cui spetta il<br />
diritto di voto e per la sicurezza delle comunicazioni.<br />
• Paragraph 3 specifies that, should the company’s bylaws<br />
not provide for any costs distribution criteria, such<br />
expenses shall be entirely paid by the issuer; however, up to<br />
the first yearly shareholders’ meeting following the effectiveness<br />
of the mentioned paragraph, costs concerning the<br />
requests pursuant to Section 133-bis, paragraph 2, shall be<br />
fully paid by the requesting shareholders, unless otherwise<br />
provided for by the corporate by-laws.<br />
As far as concerns the new office of the shareholders’<br />
representative, who, unless otherwise provided for by the<br />
corporate by-laws, shall be appointed and identified by the<br />
company in the notice of call of each shareholders’ meeting<br />
in order to enable shareholders to grant him proxies with<br />
voting instructions, Consob has set forth the modalities to<br />
express votes delegated to such individual. In particular, the<br />
representative, being not in any of the conflict of interests<br />
cases provided for by Section 135-decies, Tuf, could, if<br />
expressly authorized by the shareholder, express a vote<br />
different from the one indicated in the instructions provided<br />
to him, should there occur significant circumstances,<br />
which were not known at the granting of the proxy and<br />
could not be promptly disclosed to the principal, and which<br />
lead to believe that, if known by the latter, would have been<br />
approved. As well, he may express a different vote in case of<br />
amendment of the resolutions proposed to the shareholders’<br />
meeting.<br />
In such cases, the representative shall, however, disclose<br />
to the shareholders’ meeting the votes expressed in a different<br />
manner or in lack of instructions as well as the reasons<br />
of such conducts.<br />
Finally, the Consob resolution has regulated more in details<br />
the shareholders’ participation at the meeting by electronic<br />
means, further to amendments on Section 2370 of the Italian<br />
Civil Code. On this regard, the amended Section 143bis,<br />
Regulation on Issuers, has set forth that the companies’<br />
by-laws may permit the use of electronic means in one of<br />
the following forms:<br />
- transmission in real time of the shareholders’ meeting;<br />
- participation at the shareholders’ meeting from a different<br />
place by means of double ways real time communication<br />
systems;<br />
- exercise of the vote rights prior to the shareholders’ meeting<br />
or during its implementation, without the necessity to<br />
appoint a physically present representative. In such case the<br />
rules concerning postal voting will be applicable, as well.<br />
The implementation of the new provisions on the participation<br />
at the listed companies shareholders’ meetings,<br />
however, depends on the existence of the requirements on<br />
identification of the individuals having voting rights and<br />
on the communications security.<br />

Comunicazione telematica delle<br />
operazioni rilevanti ai fini<br />
dell’imposta sul valore aggiunto,<br />
di importo non inferiore a<br />

L’articolo 21, Decreto Legge 31 maggio 2010, n. 78 (“manovra<br />
correttiva 2010”), convertito con modificazioni<br />
dalla Legge 30 luglio 2010, n. 122, ha introdotto, all’articolo<br />
21, l’obbligo di comunicare, per via esclusivamente<br />
telematica, le operazioni rilevanti ai fini IVA di importo<br />
non inferiore a 3.000 euro.<br />
Tale norma ha demandato a un provvedimento del Direttore<br />
dell’Agenzia delle Entrate, le modalità attuative ed i<br />
termini del nuovo obbligo comunicativo.<br />
La relazione accompagnatoria del Decreto Legge, illustra<br />
come i nuovi dati raccolti debbano essere utilizzati per<br />
“l'individuazione di spese e consumi di particolare rilevanza<br />
utili alla individuazione di capacità contributiva”,<br />
nonché per la ricostruzione della congruità dei volumi<br />
d'affari e dei costi indicati nelle dichiarazioni.<br />
L'insieme dei dati acquisiti (ad esempio, vendita di<br />
gioielli o consulenze di particolare rilievo) serviranno sia<br />
(i) ad aumentare l'attendibilità degli accertamenti basati<br />
sul nuovo “redditometro ” sia (ii) a contrastare le frodi<br />
IVA e i fenomeni di elusione, assicurando una più precisa<br />
mappatura dei trasferimenti di denaro.<br />
Il Direttore dell’Agenzia delle Entrate, con provvedimento<br />
del 22 dicembre 2010, ha dato attuazione alla<br />
disciplina introdotta dall’articolo 21, D.L. n. 78/2010,<br />
approvando contestualmente le specifiche tecniche per<br />
la trasmissione telematica (unica modalità prevista per<br />
adempiere l’obbligo comunicativo in commento).<br />
Il provvedimento, oltre ad indicare gli obbligati agli<br />
adempimenti comunicativi (tutti i soggetti passivi IVA<br />
che effettuano operazioni rilevanti ai fini di tale imposta),<br />
al paragrafo 2, pone una prima distinzione tra:<br />
- le operazioni soggette a fatturazione, per le quali il limite<br />
di 3.000 euro va calcolato al netto dell’IVA, e<br />
- le operazioni (sempre rilevanti ai fini IVA) per cui non<br />
sia obbligatoria l’emissione della fattura, per le quali il<br />
limite è stabilito in 3.600 euro al lordo dell’IVA applicata.<br />
Il provvedimento pone regole particolari per i contratti di<br />
appalto, fornitura, somministrazione e, più in generale,<br />
per i contratti dai quali derivino corrispettivi periodici,<br />
per i quali gli obblighi di comunicazione all’Agenzia delle<br />
Entrate sussistono solo se il limite di 3.000 euro viene<br />
superato con riferimento all’intero anno solare.<br />
Telematic transmission regarding<br />

Article 21 of the Law Decree no. 78, issued on 31st May<br />
2010 (“corrective manoeuvre 2010”), converted with<br />
amendment of the Law dated 30th July 2010, no. 122, has<br />
introduced, in article 21, the obligation to communicate,<br />
exclusively in a telematic way, relevant operations for VAT<br />
purposes for an amount non inferior to 3.000 Euros.<br />
Such rule referred the instructions and terms of the new<br />
obligation to communicate, to a decision to be issued by<br />
the Tax Authorities’ Director.<br />
The accompanying statement of the Law Decree explains<br />
how the new data collected must be used for “the identification<br />
of expenses and consumptions, particularly useful<br />
to the identification of contributive capacity”, as well as<br />
for the reconstruction of the congruity of turnovers and<br />
costs indicated in the declarations.<br />
All collected data (for example, the sale of jewels or particularly<br />
relevant advice) will be useful to (i) increase the<br />
reliability of the assessments based on the new “income<br />
assessment system”, or (ii) to contrast VAT fraud and<br />
phenomena of tax avoidance, by assuring a more precise<br />
mapping of money transfers.<br />
The Italian Revenue Agency’s Director, with the decision<br />
dated 22nd December 2010, put into effect the legislation<br />
introduced by article 21, L.D. no. 78/2010, approving contextually<br />
the specific techniques for the telematic transmissions<br />
(the only modality provided to fulfill the obligation<br />
at issue).<br />
As well as identifying the entities subject to the obligation<br />
(all VAT taxable entities that carry out operations for such<br />
tax purposes), at paragraph 2 the decision lays down a<br />
first distinction between:<br />
- operations subject to invoicing, for which the limit of<br />
3.000 Euros is to be calculated net of VAT, and<br />
- operations (relevant for VAT purposes) in which the<br />
invoice issuing is not mandatory, and for which the limit is<br />
established at 3.600 Euros before-tax.<br />
The decision points out particular rules for contract works,<br />
supplying contracts and generally, for those contracts<br />
with periodical compensations, in which the obligation to<br />
communicate to the Tax Authorities subsists only where<br />
the limit of 3.000 Euros is exceeded with reference to the<br />
whole calendar year.<br />

Il paragrafo 3 del provvedimento del Direttore dell’Agenzia<br />
delle Entrate individua gli elementi da indicare nella<br />
comunicazione.<br />
In particolare, sono richiesti:<br />
(a) l’anno di riferimento;<br />
(b) la partita IVA o, in mancanza, il codice fiscale del<br />
cedente/prestatore e del cessionario/committente;<br />
(c) per i soggetti non residenti nel territorio dello Stato,<br />
privi di codice fiscale, i dati di cui all’articolo 4, comma<br />
1, lettere a) e b), DPR n. 605/1973 - pertanto per (i) le<br />
persone fisiche sono richiesti cognome, nome, luogo di<br />
nascita, sesso e domicilio fiscale; per (ii) i soggetti diversi<br />
dalle persone fisiche, sono richiesti denominazione,<br />
ragione sociale/ditta e domicilio fiscale;<br />
(d) i corrispettivi dovuti e l’importo dell’IVA applicata ovvero,<br />
se ricorrono i presupposti, l’indicazione della non<br />
imponibilità o dell’esenzione dell’operazione;<br />
i corrispettivi, comprensivi dell’IVA, se si tratta di operazioni<br />
rilevanti ai fini dell’IVA, per le quali non è obbligatoria<br />
l’emissione della fattura.<br />
Per quanto riguarda le operazioni non soggette all’obbligo<br />
di fatturazione, il cessionario/committente è tenuto a<br />
fornire al cedente/prestatore i propri dati identificativi,<br />
il codice fiscale o, se trattasi di soggetto non residente<br />
privo di codice fiscale, i dati di cui al soprarichiamato<br />
articolo 4, comma 1, lett. a) e b), DPR n. 605/1973.<br />
Il provvedimento ha individuato quattro tipologie di<br />
operazioni escluse dagli obblighi di comunicazione, a<br />
prescindere dal loro importo:<br />
1. importazioni;<br />
2. esportazioni di cui all’articolo 8, comma 1, lettere a) e<br />
b), DPR n. 633/1972;<br />
3. operazioni, attive e passive, effettuate nei confronti di<br />
operatori economici aventi sede, residenza o domicilio<br />
in Stati a fiscalità privilegiata, in quanto già oggetto di<br />
comunicazione specifica;<br />
4. operazioni già oggetto di comunicazione obbligatoria<br />
all’Anagrafe tributaria, ai sensi dell’articolo 7, DPR n.<br />
605/1973, quali, ad esempio, contratti di assicurazione,<br />
fornitura di energia elettrica e servizi di telefonia.<br />
A questo proposito, si osserva che non sono state escluse<br />
dalla comunicazione, le operazioni intracomunitarie<br />
nonostante siano già oggetto di parallela comunicazione<br />
ai fini Intrastat.<br />
Questa decisione pare fondarsi (come chiarito nel<br />
convegno “Telefisco 20<strong>11</strong>” ) sulla considerazione che le<br />
informazioni ottenibili dall’Amministrazione Finanziaria,<br />
mediante gli elenchi riepilogativi presentati dagli<br />
operatori intracomunitari, non contengono gli elementi<br />
di dettaglio richiesti dall’articolo 21, D.L. n. 78/2010 (ad<br />
esempio, la suddivisione dell’importo totale dichiarato<br />
nelle singole cessione di beni o prestazione di servizi che<br />
lo compongono).<br />
Paragraph 3 of the decision of the Italian Revenue Agency’s<br />
Director identifies the elements to be indicated in the communication.<br />
Particularly, are requested:<br />
(a) year of reference;<br />
(b) VAT number or, in its absence, the fiscal code of the<br />
seller/provider and of the buyer/customer;<br />
(c) for entities non-resident in the Italian territory,<br />
without a fiscal code, those data provided for by article<br />
4, paragraph 1, letters a) and b), Presidential Decree no.<br />
605/1973 – therefore for (i) individuals, surname, name,<br />
date of birth, sex and legal domicile are requested; for (ii)<br />
legal persons other than individuals, company name and<br />
fiscal domicile are requested;<br />
(d) the compensations due and the VAT amount applied,<br />
or, if proper requirements occur, the indication of the VAT<br />
non taxability or VAT exemption reasons of the operation;<br />
the compensations, VAT inclusive, if the operations are<br />
relevant for VAT purposes, for which it is not mandatory<br />
the invoice issuing.<br />
As for what concerns operations non subject to invoicing,<br />
the buyer/customer must supply to the seller/provider its<br />
identity data, the fiscal code or, for subjects non-resident<br />
in Italy without an Italian fiscal code, data indicated in the<br />
abovementioned article 4, paragraph 1. Letters a) and b) of<br />
the Presidential Decree no. 605/1973.<br />
The decision has determined four types of operations that<br />
can be excluded from the obligation to communicate, regardless<br />
their amount:<br />
1. importations;<br />
2. exportations as per article 8, paragraph 1, Letters a) and<br />
b), Presidential Decree no. 633/1972;<br />
3. active and passive operations, carried out towards<br />
operators with legal seat, residence or domicile in tax haven<br />
countries with privileged taxation, since they are already<br />
subject to specific communication;<br />
4. operations already subject to the obligation of communi-<br />
Ication<br />
to the Tax Authorities, as per article 7, Presidential<br />
( Decree no. 605/1973, such as, insurance, electricity supply<br />
and telephone services contracts.<br />
In this regard, intra-EU operations have not been excluded<br />
from the communication even if they are subject to parallel<br />
communication for Intrastat purposes.<br />
This decision seems to be based (as clarified during the congress<br />
“Telefisco 20<strong>11</strong>” ) on the consideration that the information<br />
obtainable from the Tax Authorities, by means of Intrastat lists<br />
filed by the intra-community operators, do not contain the detailed<br />
elements requested by article 21, Law Decree no. 78/2010<br />
(for example, the splitting of the total amount declared in each<br />
single sale of assets or services).<br />

Il provvedimento ha, inoltre, definito che gli obblighi<br />
comunicativi entreranno a regime dall’1 maggio 20<strong>11</strong>.<br />
Per il 2010 e per i primi quattro mesi del 20<strong>11</strong> è stato<br />
previsto, invece, un approccio graduale all’obbligo di<br />
comunicazione; infatti, limitatamente all’anno 2010<br />
il paragrafo 2.3 del Provvedimento prevede che (i) la<br />
soglia di 3.000 euro sia elevata a 25.000 euro e (ii)<br />
la comunicazione sia limitata alle operazioni soggette<br />
all’obbligo di fatturazione.<br />
Nel periodo intercorrente tra l’1 gennaio 20<strong>11</strong> ed il 30<br />
aprile 20<strong>11</strong>, è in vigore la soglia dei 3.000 euro, prevista<br />
dal D.L. n. 78/2010, fermo restando che continuano ad<br />
essere escluse dalla comunicazione le operazioni per le<br />
quali l’emissione della fattura non sia obbligatoria; pertanto,<br />
non dovranno essere oggetto di comunicazione, le<br />
operazioni per le quali è prevista l’emissione di ricevuta<br />
fiscale o scontrino, ovvero quelle effettuate nei confronti<br />
dei consumatori finali.<br />
Dall’1 maggio 20<strong>11</strong> la disposizione troverà piena attuazione,<br />
con obblighi estesi anche alle operazioni a<br />
fatturazione non obbligatoria, ferma restando la soglia<br />
dei 3.000 euro per le operazioni soggette all’obbligo di<br />
fatturazione e dei 3.600 euro (al lordo dell’IVA) per le<br />
operazioni non soggette a tale adempimento.<br />
Pertanto, gli operatori economici dall’1 maggio 20<strong>11</strong><br />
dovranno tenere nota anche del codice fiscale dei clienti<br />
privati che effettueranno operazioni di valore superiore<br />
a 3.600 euro (al lordo dell’IVA, indipendentemente<br />
dall’aliquota applicata).<br />
Anche per quanto riguarda le scadenze, la nuova normativa<br />
vedrà un’introduzione graduale.<br />
Posto, infatti, un termine a regime fissato nel 30 aprile<br />
dell’anno successivo a quello di riferimento, limitatamente<br />
alla comunicazione per il 2010 tale scadenza è<br />
stata indicata nel 31 ottobre 20<strong>11</strong>.<br />
Come già stabilito per adempimenti di carattere similare,<br />
è prevista la possibilità di inviare una comunicazione<br />
sostitutiva di quella già trasmessa, al fine di correggere<br />
eventuali errori ed omissioni, alla condizione che l’invio<br />
avvenga entro i 30 giorni successivi al termine previsto<br />
per la spedizione della comunicazione originaria.<br />
L’Amministrazione finanziaria, nel corso di Telefisco<br />
20<strong>11</strong>, ha fornito i primi chiarimenti interpretativi informali<br />
in merito al nuovo adempimento. In particolare, è<br />
stato precisato che la mancata formalizzazione dell’intesa<br />
contrattuale tra il cedente/prestatore e il cessionario/<br />
committente, in merito ad operazioni ad esecuzione<br />
continuata (appalti, forniture, somministrazioni, etc.)<br />
non rileva ai fini dell’obbligo comunicativo dovendosi<br />
pertanto, considerare i prezzi o compensi pattuiti durante<br />
tutto il periodo d’imposta.<br />
Moreover, the decision has defined that the obligation to<br />
communicate will come into effect as from 1st May 20<strong>11</strong>.<br />
On the contrary, for year 2010 and for the first four<br />
months of 20<strong>11</strong>, a gradual approach to the obligation to<br />
communicate has been adopted; as a matter of fact, as far<br />
as year 2010 is concerned, paragraph 2.3 of the decision<br />
provides that (i) the threshold of 3.000 Euros will be<br />
increased to 25.000 Euros and (ii) the communication<br />
should be limited to operations subject to the obligation of<br />
invoicing.<br />
During the period in course between 1st January and 30th<br />
April 20<strong>11</strong>, the threshold in force is 3.000 Euros, provided<br />
for by Law Decree no. 78/2010, it being understood that<br />
operations non subject to mandatory invoicing will continue<br />
to be excluded from the obligation to communicate;<br />
therefore, operations for which it is mandatory the issuing<br />
of a receipt for fiscal purposes or a ticket, or operations<br />
made towards final consumers, should not be subject to the<br />
communication.<br />
As from 1st May 20<strong>11</strong> the instruction will be fully put into<br />
effect, with obligations extended also to operations non<br />
subject to invoicing, it being understood that the threshold<br />
will be 3.000 Euros for operations subject to invoicing, and<br />
3.600 Euros (inclusive of tax) for operations non subject<br />
to such fulfillment.<br />
Therefore, as from 1st May 20<strong>11</strong>, operators will have to<br />
take note of the fiscal code of their private clients that will<br />
make operations of value superior to 3.600 Euros (inclusive<br />
of VAT, independently from the applied tax rate).<br />
Also, regarding the deadlines, the decision will be introduced<br />
gradually.<br />
Notwithstanding the fact that the ordinary deadline is<br />
fixed at 30th April of the year following the one it refers to,<br />
for year 2010 only the communication deadline is fixed at<br />
31st October 20<strong>11</strong>.<br />
As it has already been provided for similar obligations, a<br />
possibility is allowed to send a substitutive communication<br />
of the one already transmitted, in order to correct possible<br />
errors or omissions, with the condition that the sending<br />
occurs within 30 days following the term provided for the<br />
transmission of the original communication.<br />
The Tax Authorities, during the “Telefisco” 20<strong>11</strong>, provided<br />
the first informal interpretative clarifications regarding<br />
the new regulation. In particular, the non-formalization<br />
of the agreed contract between the seller and the buyer, regarding<br />
operations with continuous execution (contracts,<br />
supplies, etc.) has not to be taken into consideration for<br />
the communication purposes and therefore prices or<br />
payments agreed during the tax year are to be considered.<br />

In altri termini, il raggiungimento o superamento delle<br />
soglie, differenziate a seconda dell’orizzonte temporale<br />
di riferimento e del relativo regime di fatturazione o certificazione,<br />
deve essere riscontrato “tenendo conto della<br />
pluralità delle forniture effettuate nell’anno di riferimento<br />
dal medesimo fornitore ovvero dal medesimo cliente”.<br />
Negli altri casi, come i contratti di compravendita conclusi<br />
verbalmente, la verifica in questione deve, invece,<br />
essere collegata alla singola operazione e non all’anno<br />
solare di riferimento.<br />
Sempre in occasione di Telefisco 20<strong>11</strong>, è stata, altresì,<br />
indicata l’esclusione dalla comunicazione per quanto<br />
riguarda le operazioni immobiliari. Al contrario, è stato<br />
sostenuto che l’obbligo di comunicazione sussiste per<br />
i trasferimenti di autoveicoli. Nonostante questi ultimi<br />
siano soggetti ad un particolare regime pubblicistico,<br />
non sono, infatti, suscettibili di monitoraggio in base<br />
all’articolo 7, DPR n. 605/1973 (“Anagrafe tributaria”),<br />
espressamente richiamato dal paragrafo 2.4 del provvedimento<br />
direttoriale.<br />
Infine, per quanto concerne le sanzioni, è stabilito che<br />
l’eventuale omissione (o incompleta trasmissione) della<br />
comunicazione comporterà l’applicazione di una sanzione<br />
amministrativa da un minimo di 258 euro ad un<br />
massimo di 2.065 euro.<br />
Tali indicazioni fornite nel corso del convegno Telefisco<br />
20<strong>11</strong>, dovrebbero essere incluse in una o più circolari<br />
esplicative dell’Agenzia delle Entrate, di prossima pubblicazione.<br />
Nota:<br />
Telefisco: incontro annuale organizzato da “Il Sole24<br />

In other words, the reaching or the overcoming of the<br />
threshold, depending on the temporal reference and on the<br />
relative invoicing or certification regime, must be verified<br />
“taking into consideration all the supplies carried out in the<br />
year at hand from the same supplier or to the same client”.<br />
In other cases, like hand sales, the verification at issue must<br />
be, instead, linked to the single operation and not to the<br />
calendar year of reference.<br />
During Telefisco 20<strong>11</strong> again, the exclusion of the communication<br />
has also been identified for building operations.<br />
On the contrary, the obligation to communicate exists for<br />
motor vehicle transfers. Although these transfers are subject<br />
to a particular publicity regime, they are not, indeed,<br />
monitored on the base of article 7, Presidential Decree no.<br />
605/1973 (“Tax register”), expressly quoted in paragraph<br />
2.4 of the directorial decision.<br />
Finally, regarding sanctions, it is established that for possible<br />
omission (or incomplete transmission) of the communication<br />
an administrative sanction from a minimum of 258<br />
Euros to a maximum of 2.065 Euros will be applied.<br />
Such indications supplied during the 20<strong>11</strong> Telefisco congress<br />
should be included, in the near future, in one or more<br />
circular letters issued by the Tax Authorities.<br />

Normativa di riferimento<br />
Con il Decreto del Ministero dell’Economia e delle Finanze<br />
del 10 febbraio 20<strong>11</strong>, pubblicato in Gazzetta Ufficiale<br />
il 18 febbraio scorso, sono state stabilite le modalità di<br />
compensazione delle somme iscritte a ruolo per imposte<br />
erariali e relativi accessori, così come previsto dall’articolo<br />
31, Decreto Legge n. 78 del 2010, che ha sancito, con<br />
effetto dal 1° gennaio 20<strong>11</strong>, il divieto di procedere alla<br />
compensazione, nel modello di pagamento unificato, dei<br />
crediti erariali in presenza di debiti iscritti a ruolo per<br />
imposte erariali e relativi oneri accessori di importo pari<br />
o superiore a 1.500 Euro per i quali risultino scaduti i<br />
termini di pagamento.<br />
Inoltre, con la Risoluzione n. 18/E, del 21 febbraio<br />
20<strong>11</strong>, l’Agenzia delle Entrate ha istituito il codice tributo<br />
“RUOL” per il versamento, tramite il modello di pagamento<br />
“F24-Accise”, delle somme iscritte a ruolo per<br />
imposte erariali e relativi accessori.<br />
Con la pubblicazione in Gazzetta Ufficiale del Decreto<br />
Ministeriale e l’emanazione della Risoluzione n. 18/E,<br />
risulta - a tutti gli effetti - operativa la norma sulla “Preclusione<br />
all’autocompensazione in presenza di debito su<br />
ruoli definitivi”, la cui finalità è quella di incidere sulla<br />
situazione “anomala” della compensazione di crediti<br />
d’imposta da parte di contribuenti che siano anche debitori<br />
morosi verso l’Erario.<br />
Divieto di compensazione in presenza di ruoli scaduti<br />
Con particolare riferimento alle componenti che concorrono<br />
alla formazione del limite di 1.500 Euro, l’Agenzia,<br />
delle Entrate, in occasione dell’appuntamento “Telefisco<br />
20<strong>11</strong>”, ha fornito una definizione di “oneri accessori”,<br />
secondo la quale devono essere considerati tali, oltre<br />
alle imposte ed alle sanzioni, anche gli aggi e le spese<br />
collegate al ruolo, quali quelle di notifica, ovvero quelle<br />
relative alle procedure esecutive sostenute dall’Agente<br />
della Riscossione. Ne consegue che per oltrepassare la<br />
soglia dei 1.500 Euro fissata dal Legislatore basterebbe<br />
un debito erariale effettivo molto più piccolo.<br />
Nello stesso senso, l’articolo 1, comma 2, Decreto Ministeriale,<br />
che stabilisce le modalità di compensazione delle<br />
somme iscritte a ruolo, così recita: “… il pagamento di<br />
cui al comma 1 è ammesso anche per gli oneri accessori<br />
relativi alle imposte erariali iscritte a ruolo, comprensive<br />
degli aggi e delle spese a favore dell’Agente della Riscossione<br />
…”.<br />

The Legislative framework<br />
The Ministerial Decree dated February 10th, 20<strong>11</strong>, published<br />
in the Official Journal on February 18th established<br />
the procedures for the offsetting of the amounts entered<br />
in the taxrolls and related accessories, in accordance with<br />
Article 31 of the Law Decree 78, 2010; the Article stated,<br />
with effect 1st January 20<strong>11</strong>, the prohibition to offset the<br />
tax credits in the unified payment form in the presence of<br />
taxroll debts and related accessories equal or higher than<br />
1,500 Euro whose terms of payment expired.<br />
Moreover, with the Resolution n. 18/E of February 21th<br />
20<strong>11</strong>, the Tax Office created the “RUOL” tax code for the<br />
payment through the “F24-Accise” form of the amounts<br />
entered in the taxrolls and related accessories.<br />
With the publishing of the Ministerial Decree in the Official<br />
Journal and the adoption of the Ministerial Resolution n.<br />
18/E, the rule on “Bar to the self-offsetting in the presence<br />
of final taxrolls”, whose purpose is to influence the “anomalous”<br />
situation of compensation of tax credits by taxpayers<br />
that are also defaulters to the Treasury, is – in effect – operative.<br />
Prohibition to offset in the presence of expired taxrolls<br />
With particular reference to the components that contribute<br />
to the formation of the limit of 1,500 Euro, the Tax Office<br />
during the meeting “Telefisco 20<strong>11</strong>”, provided a definition<br />
of “accessories expenses”. According to this definition, the<br />
agios or expenses related to the taxrolls, such as alerts or<br />
those relating to the enforcement proceedings incurred by<br />
the Collector Agent, should also be considered in addition<br />
to taxes and penalties. The consequence is that for the overtaking<br />
of the threshold of 1,500 Euro, established by the<br />
Legislator, a smaller tax debt would be enough.<br />
In the same view, Article 1, Paragraph 2 of the Ministerial<br />
Decree, stating the procedures for the settlement of<br />
the amounts entered in the register, foresees that: “... the<br />
payment referred to paragraph 1 shall be allowed for the<br />
charges relating to the accessory costs of the debt entered<br />
in the taxrolls, including the agios and the Collector Agent<br />
costs”.<br />

La disciplina in esame si applica ai crediti ed ai debiti relativi<br />
alle sole imposte erariali, quali IRES, IRPEF, IRAP,<br />
IVA ed addizionali sui tributi diretti e le altre imposte indirette.<br />
Sono, quindi, escluse dall’ambito applicativo del<br />
divieto di compensazione tutte le altre imposte che non<br />
hanno natura erariale (per esempio, contributi INPS,<br />
ICI, TARSU, TOSAP o premi INAIL). La Circolare Ministeriale<br />
n. 4/E, del 15 febbraio 20<strong>11</strong>, ha, infatti, chiarito<br />
che “quanto ai tributi a cui fare riferimento devono<br />
intendersi, ad esempio, le imposte dirette, l’imposta sul<br />
valore aggiunto e le altre imposte indirette, con esclusione,<br />
quindi, dei tributi locali e dei contributi di qualsiasi<br />
natura.”<br />
Si ricorda (si veda l’articolo “Novità in tema di compensazione<br />
nell’ambito della riscossione dei tributi”,<br />
di Claudio Valz e Piera Penna apparso sul precedente<br />
numero della <strong>TLS</strong> <strong>Newsletter</strong> pagina <strong>11</strong>) che, nelle more<br />
dell’emanazione del Decreto Ministeriale, l’Agenzia delle<br />
Entrate era intervenuta con il Comunicato Stampa del 14<br />
gennaio 20<strong>11</strong>. L’Amministrazione Finanziaria, rinviando<br />
alla relazione al Decreto Legge n. 78 del 2010, aveva<br />
fornito un’interpretazione rigorosa e restrittiva della<br />
norma, ribadita successivamente anche nella Circolare<br />
Ministeriale n. 4/E, ritenendo assoluto il divieto di<br />
compensazione contenuto nella stessa. Pertanto, in base<br />
all’interpretazione fornita dall’Agenzia delle Entrate, il<br />
contribuente titolare di crediti erariali non può effettuare<br />
compensazioni qualora non abbia preventivamente<br />
assolto il pagamento del debito per il quale è scaduto il<br />
termine di pagamento.<br />
Si precisa, tuttavia, che, nello stesso Comunicato Stampa,<br />
l’Agenzia delle Entrate ha chiarito come, fino all’emanazione<br />
del Decreto Ministeriale riguardante le modalità<br />
di compensazione delle somme iscritte a ruolo, non sono<br />
ritenute sanzionabili eventuali compensazioni effettuate<br />
in presenza di ruoli scaduti, sempre che l’utilizzo dei crediti<br />
in compensazione non abbia intaccato quelli destinati<br />
al pagamento dei predetti ruoli.<br />
La posizione assunta dall’Agenzia delle Entrate, che<br />
considera tale disposizione un obbligo di preventiva<br />
estinzione dei debiti iscritti a ruolo piuttosto che una<br />
“riserva indisponibile” del credito pari all’ammontare di<br />
tali debiti, non appare supportata dalla norma che vieta<br />
le compensazioni “fino a concorrenza dell’importo dei<br />
debiti di ammontare superiore a 1500 Euro”.<br />
Con particolare riferimento alla definitività delle somme<br />
iscritte a ruolo, si evidenza che, nonostante la relazione<br />
di accompagnamento al Decreto Legge abbia fatto<br />
esplicito riferimento alla circostanza che l’iscrizione a<br />
ruolo sia “a titolo definitivo” (i.e.: articolo 14, DPR n.<br />
602/1973), il dettato dell’articolo 31 in esame non ne fa<br />
menzione, limitandosi a dare rilevanza alla scadenza del<br />
termine di pagamento della cartella.<br />
Inoltre, la previsione secondo la quale la sanzione per<br />
la violazione del divieto di operare compensazioni in<br />
presenza di ruoli scaduti non sia applicabile fintanto che<br />

We remind (please see the article “News about offset in the<br />
collection of taxes” by Claudio Valz and Piera Penna published<br />
in the previous <strong>TLS</strong> <strong>Newsletter</strong> at page <strong>11</strong>) that, pending<br />
the adoption of the Ministerial Decree, the Italian Tax<br />
Authorities issued the Press Release of January 14th 20<strong>11</strong>.<br />
The Italian Tax Authorities, referring to the Report to the<br />
Law Decree 78, 2010, had given restrictive interpretation<br />
of the provision, also confirmed in the Ministerial Circular<br />
n. 4/E above mentioned, considering the offsetting bad,<br />
provided by the law, as unconditioned. Therefore, under the<br />
interpretation provided by the Italian Tax Authorities, the<br />
taxpayer that holds tax credits can not apply any offset if he<br />
has not previously complied with the payment of the debt<br />
whose term of payment expired.<br />
However, it should be noted that in the same Press Release,<br />
the Italian Tax Authority clarified that, until the Ministerial<br />
Decree regarding the procedures for the offsetting of the<br />
taxroll amounts is adopted, any offset made in presence of<br />
expired taxrolls does not have to be considered punishable<br />
if the residual amount of the receivables is at least equal to<br />
the above tax debt.<br />
The position taken by the Italian Tax Authorities, which<br />
considers this provision as an obligation to extinguish the<br />
taxroll debt payments in advance rather than an “unavailable<br />
reserve” of credit equal to the amount of the debts,<br />
does not appear supported by the rule, which does not<br />
allow the offsetting up to the amount of debt exceeding<br />
1,500 Euro”.<br />
With particular reference to the certainty of the taxrolls, it<br />
is highlighted that Article 31 does not mention it, merely<br />
giving importance to the deadline for the tax bill payment,<br />
although the report accompanying the Law Decree above<br />
refers to the fact that the taxroll has to be definitive (i.e.:<br />
Article 14 of DPR n. 602/1973).<br />
In addition, the provision, which states that the penalty for<br />
violating the prohibition to operate the offset in the presence<br />
of expired taxrolls, is not applicable until a judicial<br />

sull’iscrizione a ruolo penda una contestazione giudiziale<br />
o amministrativa, fa ritenere che in presenza di un<br />
ruolo oggetto di contestazione, il contribuente che ha effettuato<br />
la compensazione sia indenne da sanzione solo<br />
se il debito non viene confermato in sede giurisdizionale<br />
o amministrativa.<br />
Sul punto è auspicabile un chiarimento da parte dell’Amministrazione<br />
Finanziaria al fine di stabilire se il divieto<br />
di compensazione è applicabile anche in presenza di<br />
cartelle di pagamento scadute derivanti da iscrizioni<br />
a ruolo a titolo non definitivo (i.e.: articolo 15, DPR n.<br />
602/1973).<br />
Compensazione delle somme iscritte a ruolo<br />
A norma dell’articolo 1, Decreto Ministeriale, che attua<br />
le disposizioni contenute nel suddetto articolo 31 in<br />
tema di compensazione delle somme iscritte a ruolo, il<br />
pagamento (anche parziale) delle cartelle esattoriali può<br />
essere effettuato tramite la compensazione dei crediti<br />
d’imposta attraverso il modello di pagamento unificato<br />
(F24), di cui all’articolo 17, Decreto Legislativo n.<br />
241/1997.<br />
E’, inoltre, consentito compensare anche i debiti scaturenti<br />
da avvisi di accertamento non impugnati, ovvero<br />
dalle iscrizioni a ruolo provvisorie in presenza di ricorso<br />
contro l’avviso di accertamento. A questo riguardo, si<br />
ricorda che, in base a quanto statuito dall’articolo 29,<br />
Decreto Legge n. 78/2010, a decorrere dal 1° luglio 20<strong>11</strong>,<br />
saranno attivi gli “accertamenti esecutivi”, con la conseguenza<br />
che gli avvisi notificati al contribuente, una volta<br />
decorsi 60 giorni, costituiranno titolo esecutivo.<br />
Di fatto, la nuova norma concede la possibilità di saldare<br />
eventuali debiti iscritti a ruolo mediante il meccanismo<br />
della compensazione senza esborso di denaro da parte<br />
del contribuente.<br />
Al riguardo si segnala che, ai sensi dell’articolo 4, Decreto<br />
Ministeriale, in caso di compensazione parziale il<br />
contribuente deve indicare preventivamente le posizioni<br />
debitorie cui imputare i pagamenti. Qualora il contribuente<br />
non proceda ad alcuna comunicazione l’imputazione<br />
sarà effettuata dall’Agente della Riscossione ai<br />
sensi dell’articolo 31, DPR n. 602/1973, titolato “Imputazione<br />
dei pagamenti”.<br />
A norma del successivo articolo 5, invece, nel caso in cui<br />
i versamenti risultino eccedenti il debito, l’Agente della<br />
Riscossione provvederà, una volta verificata l’effettiva<br />
sussistenza del credito utilizzato in compensazione, al<br />
rimborso previa apposita istanza presentata dal contribuente.<br />
Profili sanzionatori<br />
Da ultimo, a norma dello stesso articolo 31, al contribuente,<br />
che compensa senza prima adempiere i debiti insoluti,<br />
sarà applicata la sanzione pari al 50% del minore<br />
importo tra debiti iscritti a ruolo e credito compensato.<br />
Tale sanzione non sarà, in ogni caso, applicabile fino al<br />
momento in cui sull’iscrizione a ruolo penda una contestazione<br />
giudiziale o amministrativa.<br />

About this point, it is advisable a clarification by the Italian<br />
Tax Authorities in order to determine whether the offset<br />
prohibition is also applicable in case of a non definitive<br />
expired tax bill (i.e.: Article 15 of DPR 602/1973).<br />
Offsetting of debts entered in the taxrolls<br />
Pursuant to Article 1 of Ministerial Decree, which implements<br />
the provisions of the above Article 31 regarding the<br />
offsetting of amounts entered in the taxrolls, the payment<br />
(also part of it) of the tax bills can be made through the<br />
tax credits offset with the payment unified form (F24) of<br />
Article 17 of Legislative Decree 241, 1997.<br />
Moreover, It is possible to offset the debts arising from noncontested<br />
tax assessment notices or provisional taxrolls in<br />
the presence of an appeal against the assessment notice. In<br />
this regard, please note that, according to Article 29 of Law<br />
Decree 78, 2010, effective from July 1st 20<strong>11</strong>, the so called<br />
“executive tax assessments” will be active, so that the tax<br />
assessment notices notified to the taxpayer will be enforceable<br />
once the term of 60 days expired.<br />
In fact, the new provision grants the possibility to pay<br />
taxrolls through the mechanism of the offset, without any<br />
outlay of money by the taxpayer.<br />
In this regard, it should be noted that under Article 4 of<br />
Ministerial Decree, in case of partial compensation, the<br />
taxpayer must communicate in advance the debt positions<br />
which he intends to pay off through the offset. If the taxpayer<br />
does not provide with any communication, the relevant<br />
allocation will be done by the Collector Agent in accordance<br />
with Article 31 of Presidential Decree No. 602 of 1973 entitled<br />
“Allocation of Payments. “<br />
In accordance with Article 5, instead, if the offset amount<br />
exceeds the debt, the Collector Agent will provide, after<br />
verifying the actual existence of credit used to offset, with<br />
the reimbursement after a specific request to be filed by the<br />
taxpayer.<br />
Penalties<br />
Finally, pursuant to the same Article 31, a penalty equal to<br />
50% of the lower amount between taxrolls and the tax offset<br />
credits will be applied to the taxpayer who offsets before<br />
paying off the tax debts. This penalty will not be applicable,<br />
however, until there is a judicial or administrative dispute<br />
in course.<br />

Licenziamenti collettivi:<br />
meno vincoli se la riduzione del<br />
personale riguarda l’intero complesso<br />

Con una recente pronuncia (n. 24343 del 1° dicembre<br />
2010), la Suprema Corte di Cassazione ha stabilito che,<br />
nella comunicazione alle Organizzazioni Sindacali di<br />
avvio della procedura di mobilità, il datore di lavoro può<br />
limitarsi ad indicare il numero complessivo dei lavoratori<br />
eccedenti.<br />
I fatti<br />
La vicenda su cui si è pronunciata la Cassazione è relativa<br />
ad una procedura di mobilità attivata da un istituto<br />
di credito al fine di ridurre i costi del lavoro dell’intero<br />
perimetro aziendale, prescindendo dalla collocazione<br />
dei dipendenti in esubero e dai loro profili professionali.<br />
Pertanto, la comunicazione sindacale di avvio della<br />
procedura di mobilità si limitava ad individuare il solo<br />
numero dei lavoratori in esubero.<br />
Quanto precede, nonostante la previsione dell’articolo<br />
4, Legge n. 223/1991, in forza del quale nella comunicazione<br />
di inizio procedura, il datore di lavoro deve, altresì,<br />
indicare espressamente la collocazione aziendale ed i<br />
profili professionali dei lavoratori in esubero.<br />
In seguito all’intimazione dei licenziamenti, a fronte<br />
dell’impugnazione stragiudiziale del recesso da parte di<br />
alcuni dipendenti, l’istituto di credito instaurava in via<br />
preventiva un giudizio al fine di vedere riconosciuta la<br />
legittimità del proprio comportamento, che veniva confermata<br />
dal Giudice di primo grado.<br />
Soltanto uno dei lavoratori impugnava la sentenza di<br />
primo grado dinnanzi alla Corte d’Appello di Torino la<br />
quale, a conclusione del giudizio, confermava la sentenza<br />
impugnata.<br />
La Suprema Corte ha confermato nuovamente la correttezza<br />
della procedura seguita dal datore di lavoro, “spianando<br />
la strada” ad un orientamento giurisprudenziale<br />
che vede alleggeriti i contenuti della comunicazione di<br />
avvio della procedura di mobilità.<br />
La decisione della Corte<br />
La Corte di Cassazione, nel definire la vertenza, è stata<br />
chiamata a decidere sulla completezza della comunicazione<br />
di inizio della procedura per i licenziamenti collettivi<br />
per riduzione del personale, tenendo conto di quanto previsto<br />
dall’articolo 4, comma 3, Legge n. 223/1991.<br />
In passato, la Suprema Corte era già stata chiamata a pronunciarsi<br />
sulla completezza della comunicazione ex articolo<br />
4, optando, però, per un’interpretazione più restrittiva dalla<br />
norma in questione.<br />
Collective Redundancy:<br />

With a recent decision (no. 24343, December 1st 2010),<br />
the Supreme Court has ruled that, in the communication<br />
addressed to the Trade Unions to start a collective dismissal<br />
procedure, the employer can limit the information provided<br />
to the sole number of redundant workers.<br />
The facts<br />
The Supreme Court has ruled on a mobility procedure<br />
triggered by a Bank to reduce the labour costs of the entire<br />
perimeter of the Company, regardless of the location of the<br />
redundant staff and their professional profiles.<br />
Accordingly, the communication addressed to the Trade<br />
Unions to start a collective dismissal procedure, provided<br />
the sole number of redundant workers.<br />
The above, despite the provision of Article 4, Law No.<br />
223/1991, which provides that, in the information letter<br />
to the Trade Unions, the employer must also explicitly state<br />
the organizational and professional profiles of the workers<br />
made redundant.<br />
Following the refutation of the dismissals notified by some<br />
employees, the Bank claimed in order to have the compliance<br />
of its behavior recognized by the Court, behavior which<br />
was upheld by Judge of first instance.<br />
Only one of the workers appealed against the decision<br />
of first instance in front of the Court of Appeal of Turin,<br />
which, at the conclusion of the proceedings, confirmed the<br />
decision.<br />
The Supreme Court has once again confirmed the correctness<br />
of the procedure followed by the employer, “paving the<br />
way for” a case law aimed to lessen the compulsory contents<br />
of the communication to start the mobility procedure.<br />
The Court decision<br />
The Supreme Court, in defining the dispute, was required<br />
to decide on the completeness of the notice of commencement<br />
of the procedure for collective dismissals for staff<br />
reductions, taking into account the provisions of Article 4,<br />
paragraph 3 of Law No. 223/1991.<br />
In the past, the Supreme Court had already been asked to<br />
rule on the completeness of the Article 4, choosing, however,<br />
to follow a more restrictive interpretation of the rule in<br />
question.<br />

Secondo questo primo orientamento, la mancata indicazione<br />
di tutti gli elementi previsti dall’articolo 4, Legge n.<br />
223/1991 rende inefficace la procedura, in quanto tale<br />
omissione precluderebbe alle Organizzazioni Sindacali<br />
la possibilità di verificare la corrispondenza tra le ragioni<br />
dell’esubero di personale e le risorse da mettere in mobilità,<br />
determinando, così, l’inefficacia dei licenziamenti<br />
intimati.<br />
La sentenza in commento adotta, invece, un’interpretazione<br />
più flessibile della previsione normativa.<br />
In particolare, la Corte ha ritenuto che le motivazioni<br />
contenute nella lettera di avvio della procedura fossero<br />
coerenti con le ragione addotte dall’istituto di credito a<br />
fondamento della riduzione del personale, non circoscritta<br />
ad una singola unità produttiva ma estesa all’intero<br />
complesso aziendale, in quanto atta a pervenire ad<br />
una complessiva riduzione del costo del lavoro.<br />
Ad opinione della Corte, la legittimità del comportamento<br />
della Banca trova fondamento anche nel fatto che,<br />
nell’accordo di programma sottoscritto tra l’azienda ed<br />
i sindacati all’esito della procedura, il datore di lavoro<br />
si era impegnato ad attivare gli ammortizzatori sociali<br />
del settore (Fondo di solidarietà), adottando, altresì,<br />
un criterio formale per la determinazione degli esuberi<br />
(anzianità di servizio e contributiva).<br />
Per la Corte, “l’istituto di credito ha fornito alla parte<br />
sindacale le informazioni utili e necessarie per effettuare<br />
un serio controllo ed evitare così il pericolo di discriminazioni<br />
o personalizzazioni indebite nell'individuazione<br />
del personale da ritenere in esubero, sempre in<br />
considerazione della motivazione generale posta a base<br />
dello stesso (la necessità di procedere ad una riduzione<br />
del personale, interessante tutte le realtà aziendali sul<br />
territorio) e dello specifico, esclusivo criterio di scelta<br />
con il quale si è ritenuto di farvi fronte, quello appunto<br />
della maggiore anzianità lavorativa e contributiva dei<br />
dipendenti”.<br />
La pronuncia afferma, quindi, che, nel caso di procedure<br />
riguardanti l’intero comparto aziendale, il datore<br />
di lavoro non ha l’onere di specificazione delle aree di<br />
eccedenza e dei profili professionali in esubero, purché<br />
l’individuazione dei lavoratori coinvolti nel licenziamento<br />
collettivo segua un criterio selettivo oggettivo ed<br />
applicabile senza alcuna discrezionalità.<br />
According to this first approach, the non-disclosure of all<br />
elements of Article 4, Law No. 223/1991, causes the ineffectiveness<br />
of al procedure, because such an omission would<br />
prevent the Unions a chance to review the compliance of the<br />
reasons for the oversupply of personnel and resources to be<br />
made redundant, causing, thus, the ineffectiveness of the<br />
individual dismissals.<br />
The sentence under review has, however, provided for a<br />
more flexible interpretation of the statutory provisions.<br />
In particular, the Court considered that the reasons indicated<br />
in the letter initiating the procedure were consistent<br />
with the reasons given by the Bank for the reduction of<br />
staff, not confined to a single productive unit, but extended<br />
to the whole company, since it is likely to achieve an overall<br />
reduction in labor costs.<br />
In the opinion of the Court, the lawfulness of the conduct<br />
of the Bank is rooted in the fact that, for in the program<br />
signed between the company and the Trade Unions to the<br />
outcome of the procedure, the employer had undertaken to<br />
activate the social benefits (Solidarity Fund), taking also a<br />
formal criterion for determining the redundancy (length of<br />
service and paid contributions).<br />
For the Court, “the bank has provided to the Trade Unions<br />
the relevant information required to make a serious control<br />
and avoid the danger of undue discrimination or customization<br />
of the individual employees to be considered redundant,<br />
always in consideration of the general motivation indicated<br />
(the need to carry out staff reductions, affecting all<br />
companies in the area) and the specific, exclusive selection<br />
criterion by which it was decided to face the redundancies,<br />
that is length of service and paid contributions.”<br />
The ruling states, then, that in the case of proceedings<br />
concerning the entire business sector, the employer does not<br />
have the burden to specify areas and profiles to be considered<br />
redundant, provided that the selection of workers<br />
involved in the dismissal follow a collective and objective<br />
selection criterion, applicable without any discretion.<br />

La detassazione dei premi<br />
di produzione<br />

Il regime di tassazione sostitutiva dei premi di produttività<br />
erogati ai dipendenti privati è stato introdotto, per il<br />
periodo dall’1 luglio 2008, dall’articolo 2, D.L. 93/2008,<br />
convertito dalla Legge n. 126/2008 e poi prorogato,<br />
con alcune modifiche, per il 2009, dall’articolo 5, DL<br />
n. 185/2008, convertito dalla Legge n. 2/2009, e per il<br />
2010, dall’articolo 2 Legge n.191/2009.<br />
Per quanto riguarda il 2008, la Legge, prevedeva l’applicabilità<br />
dell’imposta sostitutiva a condizione che:<br />
- i compensi fossero erogati per lavoro straordinario,<br />
lavoro supplementare, lavoro reso sulla base di clausole<br />
elastiche oppure in relazione ad incrementi di produttività;<br />
- le somme fossero a favore dei titolari di un reddito di lavoro<br />
dipendente non superiore, nel 2007 ad euro 30.000<br />
- la somma erogata non fosse superiore ad euro 3.000.<br />
Per gli anni 2009 e 2010, le nuove disposizioni normative<br />
hanno, di fatto, prorogato l’agevolazione inserendo<br />
alcune modifiche:<br />
- è stato ridotto il novero degli emolumenti agevolabili,<br />
limitando l’applicabilità della tassazione agevolata alle<br />
somme erogate in relazione ad incrementi di produttività;<br />
- è stato innalzato a 35.000 euro (che diventano 40.000<br />
nel 20<strong>11</strong>) il limite del reddito da lavoro dipendente,<br />
relativo all’anno precedente, cui è subordinato l’accesso<br />
al beneficio;<br />
- è stato innalzato a 6.000 euro l’importo massimo delle<br />
somme agevolabili.<br />
Con la Risoluzione 17 agosto 2010 n. 23, e le successive<br />
Circolari (n.47 e n.48 del 27 settembre 2010) l’Agenzia<br />
delle Entrate ha definito ulteriormente l’ambito<br />
oggettivo di applicazione della normativa in materia di<br />
detassazione dei premi di produttività, soffermandosi<br />
sui compensi erogati per lavoro organizzato sulla base di<br />
turni, lavoro notturno e lavoro straordinario.<br />
Gli stessi provvedimenti hanno previsto una specifica<br />
procedura per consentire ai lavoratori il recupero delle<br />
maggiori imposte versate, nel 2008 e nel 2009, sulle<br />
somme percepite in tali anni che, pur avendo i requisiti<br />
per essere tassate con imposta sostitutiva del 10%, siano<br />
state assoggettate dal sostituto di imposta a tassazione<br />
ordinaria.<br />
In ultima istanza, sono stati forniti chiarimenti circa il regime<br />
fiscale applicabile alla quota di contributi restituita<br />
al lavoratore a seguito dell’ammissione dell’azienda allo<br />
sgravio contributivo sui premi di risultato previsto dalla<br />
Legge n. 247/2007.<br />

The substitute tax regime of productivity bonuses paid to<br />
employed workers in the private sector, was introduced<br />
for the second half of 2008 by article 2 of Decree law no.<br />
93/2008 (converted into Law no.126/2008), this benefit<br />
was extended, with some changes, for 2009 by article 5 of<br />
Decree Law 185/2008 (converted into Law 2/2009), and<br />
for 2010 by article 2 of Decree Law 191/2009.<br />
In 2008, the Law provided the application of the tax relief<br />
under the following conditions:<br />
- the fees were paid out for overtime work, supplementary<br />
work and work rendered according to flexibility clauses, as<br />
well as for the amounts paid out in relation to increases in<br />
productivity;<br />
- the income limit paid to an employee didn’t exceed the<br />
sum of Euro 30.000 in 2007;<br />
- the limit of the amounts subject to tax relief didn’t exceed<br />
Euro 3.000.<br />
Instead, for 2009 and 2010, the new regulations were<br />
extended but a considerably number of changes were introduced:<br />
- the reduction of the fees facilitating range, by limiting<br />
the applicability of the preferential taxation on the amount<br />
paid in relation to productivity gains;<br />
- the income limit, to which entitlement to tax relief is<br />
subject, was raised to Euro 35.000 (Euro 40.000 in 20<strong>11</strong>).<br />
- the limit of the amounts subject to tax relief was raised to<br />
Euro 6.000<br />
With Res. 17/08/2010 No. 23 and the subsequent Circular<br />
(No. 47 and 48 of 09.27.2010), the Revenue Agency has<br />
further defined the scope of application of objective rules<br />
regarding the tax relief on productivity bonuses, focusing<br />
on compensation paid for organized labor on the basis of<br />
shifts, night work and overtime.<br />
The same practice has provided a procedure that allows<br />
workers to recover the higher taxes paid in 2008 and 2009,<br />
on the amounts received in those years that, even though<br />
they met the requirements to be taxed at 10% with substitute<br />
tax, but in fact were subject to the ordinary taxation.<br />
Ultimately, they have provided some clarification regarding<br />
the tax regime applicable to the amount of contributions<br />
that should be returned to the worker after the admission<br />
of the employer of the tax relief regarding the performance<br />
bonuses as established by the Law 247/2007.<br />

Negli ultimi giorni, sembrerebbe che la situazione sia<br />
stata ulteriormente complicata dalla diatriba originata<br />
da difformi interpretazioni applicative della norma.<br />
Infatti, come anzidetto, per il 2008 e il 2009, l’imposta<br />
sostitutiva del 10% applicata sulle somme incentivanti è<br />
stata disciplinata dal DL n. 185/2008.<br />
Questa norma, di anno in anno, è stata estesa nella sua<br />
efficacia e si caratterizza per l’applicazione generalizzata<br />
del beneficio indipendentemente dalla sottoscrizione di<br />
uno specifico contratto aziendale da parte dei datori di<br />
lavoro.<br />
Ora, diversi mesi prima che scadesse il beneficio, con il<br />
DL n.78/2010 (manovra estiva del 2010) è stato introdotto<br />
l’articolo 53 con cui è stato stabilito che per il 20<strong>11</strong><br />
le somme agevolate sono quelle erogate ai lavoratori<br />
dipendenti del settore privato, “in attuazione di quanto<br />
previsto da accordi o contratti collettivi territoriali o<br />
aziendali” purchè correlate ad incrementi di produttività,<br />
qualità, redditività, innovazione, efficienza organizzativa.<br />
La norma aveva anche innalzato, rispetto al<br />
passato, il limite di reddito per accedere al beneficio,<br />
portandolo a 40mila euro.<br />
Prima ancora che l’articolo 53 entrasse in vigore, è<br />
stata approvata la Legge n.220/2010 il cui articolo 1,<br />
comma 47, stabilisce che “in attuazione dell’articolo 53,<br />
comma 1, del DL 78/2010, all’articolo 5, comma 1 del<br />
DL 185/2008 le parole: sono<br />
sostituite dalle seguenti: ”.<br />
In pratica, sembrerebbe che, da un lato vi sia l’attuazione<br />
della nuova previsione fissata dall’articolo 53, con il<br />
conseguente obbligo di sottoscrivere il contratto aziendale<br />
al fine di fruire del beneficio; dall’altro lato, invece,<br />
la disciplina per il 20<strong>11</strong> risulta nuovamente agganciata al<br />
vecchio DL n.185/2010, che non prevede tali incombenze.<br />
Per dirimere la questione sulla necessità dell’intesa con<br />
i sindacati al fine di poter usufruire dell’agevolazione,<br />
è stata pubblicata, lo scorso 14 febbraio, una circolare<br />
congiunta dell’Agenzia delle Entrate e del Ministero del<br />
Lavoro.<br />
La Circolare n. 3/E del 14 febbraio 20<strong>11</strong>, specifica, che<br />
possono accedere al beneficio solo le quote di reddito<br />
che, oltre ad essere collegate ad incrementi di produttività,<br />
trovano la propria fonte in un accordo collettivo<br />
di secondo livello, quindi in un contratto aziendale o<br />
territoriale.<br />
Con le Circolari emanate precedentemente, l’Agenzia<br />
delle Entrate ha affermato l’applicabilità dell’imposta<br />
sostitutiva nel rispetto dei limiti previsti dalla Legge<br />
e purché sussista un “vincolo di correlazione” con i<br />
parametri di produttività e redditività che trovi riscontro<br />
in una dichiarazione aziendale alle indennità o<br />
In recent days, it seems that the situation has been further<br />
complicated by the controversy concerning differing interpretations<br />
regarding the application of the rule about the<br />
matter in question.<br />
In fact, as aforesaid, for 2008, 2009, the substitute tax of<br />
10% that applies to the amount of incentive is governed by<br />
Decree Law No. 185/2008.<br />
This Decree, year by year has been extended in its effectiveness<br />
and is characterized by the widespread application<br />
of the benefit regardless of the signing of a contract by the<br />
employers.<br />
Now, several months before the benefit expires, with Decree<br />
Law 78/2010 was introduced the art. 53 which established<br />
that for 20<strong>11</strong>, the amounts paid facilitated the sums are<br />
those paid to employees in the private sector, “in implementation<br />
of the provisions of collective bargaining agreements<br />
or regional or corporate” as long as they related to increases<br />
in productivity, quality, profitability, innovation ,<br />
organizational efficiency. The rule was also raised in the<br />
past, the income limit for access to benefits, rising to € 40<br />
thousand.<br />
Even before the entry into effect of Article 53, Law<br />
220/2010 was approved and on paragraph 1 of Article 47.<br />
Was stated that “pursuant to Article 53, paragraph 1 of<br />
Decree 78/2010, art. 5, paragraph 1 of Legislative Decree<br />
185/2008, the words:” December 31, 2010 “shall be replaced<br />
by” December 31, 20<strong>11</strong>.<br />
In practice, it would seem that, on one hand there was the<br />
implementation of the new forecast set by art. 53, with<br />
a requirement to sign the contract in order to qualify for<br />
benefits, on the other hand, the rules for 20<strong>11</strong> were again<br />
attached to the old DL185/2010.<br />
To clarify if it is or not requested the achievement the agreement<br />
with the unions for the application of the exemption,<br />
it was published on February 14, a circular issued jointly by<br />
the Tax Authority and Ministry of Labour.<br />
The Circular No. 3 / E on 14 February 20<strong>11</strong> clarifies that<br />
the tax relief are applicable on the share of the income that<br />
is related to productivity objectives if they are prescribed in<br />
a collective bargaining agreements, regional or corporate.<br />
With the latest circulars issued, the Revenue Agency said<br />
that the applicability of the substitute tax, within the<br />
limits prescribed by law, provided that there is a “bond<br />
of relationship” with the parameters of productivity and<br />
profitability that is reflected on a corporate statement,<br />
compensation or a bonus round of the sums paid (ordinary<br />

maggiorazioni di turno, alle somme erogate (compenso<br />
ordinario e maggiorazione) per lavoro notturno, ai compensi<br />
corrisposti per lavoro straordinario (intendendosi<br />
sia lo straordinario “forfettizzato” sia qualunque altra tipologia<br />
di prestazione straordinaria, che risulti riconducibile<br />
ad incrementi della produttività), alle erogazioni<br />
relative alle prestazioni di lavoro supplementare o reso<br />
sulla base di clausole elastiche.<br />
La prima circolare dell’Agenzia dell’Entrate n. 47/2010<br />
del 27 settembre 2010 fornisce chiarimenti circa l’imposta<br />
sostitutiva del 10 per cento sulle retribuzioni erogate<br />
ai dipendenti per lavoro straordinario legato a incrementi<br />
di produttività, innovazione, efficienza organizzativa<br />
ed altri elementi di produttività.<br />
Per quanto riguarda l’anno 2008, le prestazioni rese<br />
oltre l’orario di lavoro sono detassate, con l’applicazione<br />
dell’imposta del 10 %, senza ulteriori condizioni (articolo<br />
2 D.L. n. 93/2008); per quanto riguarda gli anni<br />
2009 e 2010, l’imposta sostitutiva può, invece, applicarsi<br />
soltanto laddove per gli straordinari sussista un vincolo<br />
di correlazione con i parametri di produttività.<br />
La (seconda) Circolare dell’Agenzia delle Entrate, n. 48<br />
del 27 settembre 2010, tratta dei compensi per incrementi<br />
di produttività correlati al lavoro notturno e straordinario<br />
e degli sgravi contributivi.<br />
Per quanto concerne il rimborso delle imposte indebitamente<br />
versate è possibile procedere mediante i modelli<br />
di dichiarazione e certificazione da utilizzare nel 20<strong>11</strong>,<br />
ossia:<br />
- modello CUD/20<strong>11</strong>, negli appositi spazi, il datore di<br />
lavoro dovrà indicare le somme erogate negli anni di<br />
riferimento assoggettabili ad imposta sostitutiva, secondo<br />
quanto previsto dalla Risoluzione dell’Agenzia delle<br />
Entrate n. 83/2010 (somme per turni, lavoro notturno,<br />
straordinario);<br />
- dichiarazione dei redditi del 20<strong>11</strong>, attraverso la quale il<br />
lavoratore recupererà il proprio credito;<br />
- sgravio contributivo; per il triennio 2008/2010 è stato<br />
introdotto dall’articolo 1, comma 67, Legge 24 dicembre<br />
2007, n. 247, lo sgravio contributivo sulle retribuzioni<br />
variabili fissate dalla contrattazione collettiva di secondo<br />
livello. Entro i limiti delle risorse predeterminate (€<br />
3.000,00 per il 2008; € 6.000,00 per il 2009), si potrà<br />
beneficiare, contemporaneamente, tanto della detassazione<br />
del 10% quanto dello sgravio contributivo totale.<br />
Le aziende che hanno ricevuto dall’INPS la comunicazione<br />
dell’ammissione al beneficio dello sgravio dovranno<br />
restituire ai dipendenti un importo pari ai contributi<br />
trattenuti, con le seguenti precisazioni:<br />
- l’importo restituito va considerato reddito di lavoro<br />
dipendente (Risoluzione Agenzia dell’Entrate n.<br />
136/2005);<br />
and extra compensation) for night work, the remuneration<br />
for overtime work (meaning both the extraordinary “lump<br />
sum” or any other type of extraordinary performance, that<br />
is attributable to increases productivity), for payments<br />
relating to performance of additional work or made on the<br />
basis of elastic clauses.<br />
The circular No 47/2010 of 27/09/2010 of the Revenue<br />
Agency provides clarification on the substitute tax of 10<br />
percent on wages paid to employees for overtime tied to<br />
productivity gains, innovation, organizational efficiency<br />
and other elements of productivity.<br />
Regarding 2008, the services rendered beyond the working<br />
hours are tax reduced, with the application of 10%,<br />
of tax without further conditions (Article 2 of Decree Law<br />
No. 93/2008), while for 2009 and 2010, the substitute<br />
tax may be applied only where there is a constraint for the<br />
extraordinary correlation with parameters of productivity.<br />
The second circular issued by the Revenue Agency, No 48 of<br />
27/09/2010, is referred to compensation by an increase in<br />
productivity related to night work, overtime and tax relief.<br />
Regarding the refund of tax overpaid, you can proceed<br />
through the certification and reporting models to be used in<br />
20<strong>11</strong>, including:<br />
- CUD/20<strong>11</strong> the employer must indicate the amount paid<br />
during the year in reference which may be subject to substitute<br />
tax, as required by Res. No 83/2010 of the Revenue<br />
Agency (sums to shift to night work, for overtime);<br />
- 20<strong>11</strong> Tax Return, through which the employee will recover<br />
its claim;<br />
- tax relief for the period 2008-2010 was introduced by.<br />
1, paragraph 67 of the Law of 24 December 2007, n.247<br />
remission contributory variables on wages set by collective<br />
bargaining in the second level. Within the limits of the predetermined<br />
(€ 3,000.00 for 2008, € 6,000.00 for 2009),<br />
we can simultaneously benefit from both tax relief and<br />
remission of 10% total contribution.<br />
Companies that have received notice of admission to the<br />
INPS tax relief incentive must return to their employees the<br />
amount equal to the withheld contributions:<br />
- the amount returned should be considered an income to<br />
employees (res. Revenue Agency No 136/2005);<br />

- la contribuzione recuperata, relativa ad anni pregressi,<br />
rientra tra “gli emolumenti arretrati per prestazioni di<br />
lavoro dipendente riferibili ad anni precedenti, percepiti<br />
per effetto di leggi, di contratti collettivi, di sentenze o<br />
di atti amministrativi sopravvenuti o per altre cause non<br />
dipendenti dalla volontà delle parti” (Art. 17, comma 1,<br />
lett. b) del T.U.I.R.);<br />
- laddove ricorrano le condizioni per l’applicazione<br />
dell’imposta sostitutiva del 10%, anche tali somme possono<br />
essere assoggettate al più favorevole regime fiscale,<br />
anche se riferite a periodi di imposta precedenti.<br />
Resta fermo l’importo di € 6.000,00 come tetto massimo<br />
entro il quale è possibile applicare l’agevolazione per gli<br />
anni 2009/2010 (per l’anno 2008 tale importo massimo<br />
è di € 3.000,00).<br />
Si ricorda, inoltre, che l’agevolazione non può essere<br />
applicata ai dipendenti a cui siano state corrisposte delle<br />
somme ad incremento della produttività nelle ipotesi di<br />
tassazione sulla base delle retribuzioni convenzionali del<br />
reddito da lavoro dipendente prodotto all’estero.<br />
Per espressa previsione non sono detassabili, inoltre:<br />
- gli incentivi all’esodo;<br />
- gli importi stabilmente riconosciuti al dipendente e già<br />
entrati, quindi, nel suo patrimonio.<br />
- the recovered contribution from past years is one of “the<br />

beyond the control of Parties “(Article 17, paragraph 1,<br />

- where the conditions for the withholding tax of 10%<br />
even these amounts may be subject to more favorable tax<br />
regime, even if they refer to previous tax years.<br />
It is understood the amount of € 6,000.00 as the upper<br />
limit within which you can apply the facility for the years<br />
2009/2010 (for the year 2008, the maximum amount of €<br />
3,000.00).<br />
It is important to keep in mind, that the incentive cannot<br />
be applied to those employees who were paid the sums<br />
to increase productivity in the cases of taxation on the<br />
basis of conventional wage employment income produced<br />
abroad.<br />
No express provision for remission of tax also:<br />
- early retirement incentives<br />
- The amounts granted to permanent employees and therefore<br />
have entered in its heritage.<br />

Le modifiche al Codice<br />
dell’Amministrazione Digitale<br />

In data 25 gennaio 20<strong>11</strong> sono entrate in vigore le modifiche<br />
apportate al “Codice dell’Amministrazione Digitale”<br />
(“CAD”) dal D.Lgs. 30 dicembre 2010, n. 235 (pubblicato<br />
in data 10 gennaio 20<strong>11</strong> sulla Gazzetta Ufficiale n. 6,<br />
Supplemento Ordinario n. 8).<br />
A tale riguardo, si ritiene opportuno segnalare che le<br />
innovazioni introdotte dal D.Lgs. n. 235/2010 sono di<br />
portata così ampia da far parlare di un “Nuovo CAD”,<br />
seppure, in verità, non sia stato introdotto un autonomo<br />
testo di legge, ma semplicemente aggiornato e coordinato<br />
a quello previgente (introdotto dal D. Lgs n. 82/2005).<br />
Il c.d. “Nuovo CAD” definisce un quadro normativo<br />
attraverso il quale verrà attuato, nel corso dei prossimi<br />
anni, il processo di digitalizzazione della Pubblica Amministrazione.<br />
Tale intervento si inserisce nel Piano di Governo denominato<br />
“e-Gov. 2012”, il cui obiettivo temporale è quello<br />
di fare in modo che entro il 2012 la Pubblica Amministrazione<br />
possa essere finalmente moderna, digitale e<br />
“sburocratizzata”.<br />
Di seguito, vengono sinteticamente illustrate alcune delle<br />
principali innovazioni introdotte dal “Nuovo CAD”:<br />
(i) Firma elettronica avanzata (art. 1)<br />
Il Nuovo CAD ha, innanzitutto, introdotto una nuova<br />
tipologia di firma elettronica, ovvero la “firma elettronica<br />
avanzata”, intesa come “l’insieme di dati in forma<br />
elettronica allegati oppure connessi a un documento informatico<br />
che consentono l’identificazione del firmatario<br />
del documento e garantiscono la connessione univoca<br />
al firmatario, creati con mezzi sui quali il firmatario<br />
può conservare un controllo esclusivo, collegati ai dati<br />
ai quali detta firma si riferisce in modo da consentire<br />
di rilevare se i dati stessi siano stati successivamente<br />
modificati”.<br />
(ii) Diritto all’uso delle tecnologie (art. 3)<br />
I cittadini e le imprese hanno diritto di richiedere ed<br />
ottenere l’utilizzo delle tecnologie telematiche non solo<br />
nelle comunicazioni con le Pubbliche Amministrazioni<br />
ma anche in quelle dirette ai gestori di servizi pubblici.<br />
Le Amministrazioni Pubbliche ed i gestori di pubblici<br />
servizi non potranno più, quindi, obbligare i cittadini ed<br />
i rappresentanti delle imprese a presentare fisicamente<br />
la documentazione cartacea ai fini della formulazione di<br />
domande, istanze o richieste di chiarimenti.<br />
(iii) Effettuazione dei pagamenti con modalità informatiche<br />
(art. 5)<br />
Amendments to the Digital<br />
Administration Code<br />

On January 25th, 20<strong>11</strong>, the amendments introduced to the<br />
“Digital Administration Code” (“CAD”), came into force<br />
as per Legislative Decree, December 30th, 2010, no. 235<br />
(issued on January 10th, 20<strong>11</strong>, published in the Official<br />
Gazette no. 6, Ordinary Supplement, no. 8).<br />
In this respect, it is considered appropriate to point out<br />
that the innovations introduced by Legislative Decree no.<br />
235/2010 are so vast as to talk of a “New CAD”, even if a<br />
stand-alone law has not been introduced. The Legislative<br />
Decree no. 235/2010, has simply been updated and has<br />
correlated its provisions to the former law (introduced by<br />
Legislative Decree no. 82/2005).<br />
The so called “New CAD” defines a regulatory framework<br />
for the Public Administration digitalization process which<br />
will be put into practice over the next few years.<br />
This measure is included in the Government Plan named “e-<br />
Gov. 2012”, whose objective is to have, by 2012, a modern<br />
and digital Public Administration system “without bureaucracy”.<br />
The following briefly illustrates some of the main innovations<br />
introduced by the “New CAD”:<br />
(i) Advanced electronic signature (article 1)<br />
The New CAD has, first of all, introduced a new type of<br />
electronic signature, “the advanced electronic signature”,<br />
which is “data set in an electronic form, attached or<br />
connected to a digital document which allows the identification<br />
of the signatory of the document and guarantees the<br />
subscriber exclusive connection, created by means on which<br />
the subscriber may maintain complete control, connected<br />
to the data from which such signature refers to, in order to<br />
verify if the same data are successively amended”.<br />
(ii) Technology use right (article 3)<br />
Individuals and businesses have the right to request and<br />
obtain the use of telematic technology, not only with<br />
communicating with the Public Administrations, but also<br />
for the public utility services operators. The Public Administrations<br />
and the public utility services operators will not<br />
be able to force individuals and business representatives to<br />
physically present paper documents for submitting petitions,<br />
or clarification requests.<br />
(iii) Making payments by data processing means (article<br />
5)<br />

Il previgente testo normativo imponeva alle Pubbliche<br />
Amministrazioni l’obbligo di permettere ai cittadini ed<br />
alle imprese di effettuare i pagamenti mediante tecnologie<br />
digitali. Tuttavia, il CAD non prevedeva, in concreto,<br />
le relative modalità.<br />
Il Nuovo CAD identifica, invece, una serie di strumenti<br />
operativi utilizzabili ai fini dell’esecuzione dei pagamenti<br />
(tra i quali, a titolo esemplificativo, carte di credito, carte<br />
di debito e carte prepagate), prevedendo, a questo scopo,<br />
la possibilità per le Pubbliche Amministrazioni centrali<br />
di avvalersi di prestatori di servizi di pagamento.<br />
(iv) Comunicazioni tra imprese ed Amministrazioni<br />
Pubbliche (art. 5-bis)<br />
Tutte le istanze, dichiarazioni, dati, informazioni e documenti<br />
trasmessi o scambiati, anche a fini statistici, tra le<br />
imprese e le Amministrazioni Pubbliche dovranno essere<br />
spediti (o inviati) esclusivamente utilizzando le tecnologie<br />
dell’informazione e della comunicazione. Le medesime<br />
modalità dovranno essere adottate dalle Pubbliche<br />
Amministrazioni ai fini dell’adozione e comunicazione<br />
di atti e provvedimenti amministrativi nei confronti delle<br />
imprese.<br />
(v) Utilizzo della posta elettronica certificata (art. 6)<br />
La posta elettronica certificata (PEC) diventerà il mezzo<br />
mediante il quale le imprese, i professionisti (che<br />
per legge devono esserne già dotati), nonché i cittadini<br />
che lo desiderano, comunicheranno con gli uffici della<br />
Pubblica Amministrazione. Di conseguenza, sarà possibile<br />
trasmettere le proprie istanze e dichiarazioni agli<br />
uffici della Pubblica Amministrazione, in via telematica,<br />
mediante l’utilizzo del proprio indirizzo di posta elettronica<br />
certificata che fungerà anche da strumento di<br />
identificazione del mittente senza necessità di utilizzare<br />
la firma digitale (sono fatte salve le disposizioni normative<br />
che prevedono l’uso di specifici sistemi di trasmissione<br />
telematica nel settore tributario).<br />
(vi) Documento informatico (artt. 20-23-quater)<br />
La Sezione I, Capo II, del Nuovo CAD contiene una serie<br />
di articoli che identificano le condizioni di validità dei<br />
documenti informatici, disciplinando i passaggi da analogico<br />
a digitale e viceversa.<br />
Viene, peraltro, introdotto un sistema diretto a garantire<br />
la conformità dei documenti cartacei a quelli digitali<br />
mediante l’utilizzo di un contrassegno che potrà essere<br />
generato elettronicamente e stampato direttamente tramite<br />
computer dal cittadino o dall’impresa.<br />
In linea generale, il Nuovo CAD regolamenta, in maniera<br />
più compiuta rispetto al testo previgente, i processi da<br />
seguire ai fini della dematerializzazione dei documenti,<br />
che può avvenire, come noto, sia mediante la produzione<br />
direttamente digitale degli atti che attraverso la digitalizzazione<br />
di quelli analogici.<br />
The previous regulation forced the Public Administrations<br />
to allow individuals and businesses to make payments by<br />
means of digital technology. However, CAD did not in practice<br />
provide the relevant way and means.<br />
On the other hand, the New CAD identifies several operational<br />
tools that may be used for making payments (including,<br />
for example, credit and debit cards and pre-paid<br />
cards), providing, for this purpose, the possibilities for the<br />
central Public Administrations to make use of payment<br />
services suppliers.<br />
(iv) Communications between enterprises and Public Administrations<br />
(article 5-bis)<br />
All petitions, declarations, data, information and documents<br />
sent or exchanged, also for statistical purposes,<br />
between enterprises and the Public Administration must be<br />
transmitted (or sent) exclusively by means of information<br />
and communication technology. Such method and means<br />
must be adopted by the Public Administrations for the<br />
notification of deeds, administrative measures, towards<br />
enterprises.<br />
(v) Use of the certified electronic mail (article 6)<br />
Certified electronic mail (PEC) will be the means by which<br />
enterprises, professionals (who, pursuant to the law, must<br />
already have it), as well as individuals who want it, can<br />
inform the Public Administration’s offices. Consequently,<br />
it will be possible to transmit, via electronic means, the relevant<br />
requests and declarations to the Public Administration’s<br />
offices, by using the relevant certified electronic mail<br />
address that will also act as an identification instrument<br />
for the sender without the necessity to utilize the digital signature<br />
(subject to regulations involving the use of specific<br />
methods of electronic communication for tax purposes).<br />
(vi) Electronic document (articles 20-23- quater)<br />
Section I, Paragraph II, of the New CAD provides a set of<br />
articles which identify the validity conditions of electronic<br />
documents, regulating the change from analog to digital<br />
and vice versa.<br />
A system will also be introduced aimed at guaranteeing the<br />
conformity of the paper documents to the digital documents<br />
by using a sign that could be electronically generated<br />
and printed directly via computer by the individual or the<br />
enterprise.<br />
In general, the New CAD states, in a more detailed manner<br />
than the previous law provisions, the process to be followed<br />
for the documents dematerialization, that may occur, both<br />
by the direct digital production of the acts and by the digitization<br />
of the analog ones.<br />

(vii) Regole tecniche<br />
Per l’introduzione di molti provvedimenti previsti nel<br />
c.d. “Nuovo CAD”, sarà necessario predisporre regole<br />
tecniche disciplinate da appositi decreti del Presidente<br />
del Consiglio dei Ministri. Inoltre, vista la complessità<br />
delle modifiche introdotte, il Legislatore ha ritenuto<br />
opportuno prevedere specifiche tempistiche di recepimento,<br />
ovvero:<br />
a) Entro 3 mesi<br />
Gli uffici della Pubblica Amministrazione utilizzeranno<br />
la posta elettronica certificata, ovvero altre soluzioni<br />
tecnologiche, per tutte le comunicazioni che richiedono<br />
una ricevuta di consegna a soggetti che abbiano preventivamente<br />
dichiarato il proprio indirizzo.<br />
b) Entro 4 mesi<br />
Le amministrazioni individueranno un unico ufficio<br />
responsabile per le attività ICT.<br />
c) Entro 6 mesi<br />
Le Pubbliche Amministrazioni centrali pubblicheranno<br />
sui propri siti istituzionali le informazioni e i bandi di<br />
concorso, nonché tutte le informazioni necessarie sul<br />
proprio funzionamento; inoltre, le amministrazioni<br />
consentiranno i pagamenti ad esse spettanti per via telematica<br />
e sempre telematicamente saranno gestite tutte le<br />
comunicazioni tra amministrazioni e imprese.<br />
d) Entro 12 mesi<br />
Saranno emanate le regole tecniche che permetteranno<br />
di dare piena validità alle firme elettroniche diverse da<br />
quella digitale, nonché alle copie cartacee ed, in particolare,<br />
a quelle digitali dei documenti informatici, dando<br />
piena attuazione al processo di dematerializzazione dei<br />
documenti della Pubblica Amministrazione. Saranno definite<br />
le regole tecniche per la conservazione sostitutiva<br />
dei documenti, dando il via agli archivi informatizzati.<br />
Il cittadino comunicherà, una sola volta, i propri dati<br />
alla Pubblica Amministrazione che avrà poi l’onere di<br />
assicurare e rendere tali informazioni accessibili anche<br />
alle altre amministrazioni richiedenti.<br />
e) Entro 15 mesi<br />
Le Pubbliche Amministrazioni predisporranno appositi<br />
piani di emergenza idonei a garantire, in caso di eventi<br />
disastrosi, la continuità delle operazioni indispensabili a<br />
fornire servizi e il ritorno alla regolare operatività.<br />
(vii) Technical rules<br />
For the introduction of several measures planned by the<br />
“New CAD”, it will be necessary to establish requirements<br />
regulated by specific decrees of the Prime Minister. Furthermore,<br />
in accordance with the amendments introduced, the<br />
Legislator has set specific timelines for the implementation,<br />
namely:<br />
a) Within 3 months<br />
The Public Administration offices will use certified electronic<br />
mail, or other technological solutions, for all the<br />
communications that require a delivery receipt to the individuals<br />
that have previously declared their address.<br />
b) Within 4 months<br />
The administrators will identify a single office responsible<br />
for the ICT activities.<br />
c) Within 6 months<br />
The central Public Administrations will publish on their institutional<br />
web sites the information and notices of competitions,<br />
and all the necessary information for its operation.<br />
Furthermore, the administrations will allow payments, in<br />
their favour, to be made, via electronic communication and<br />
this communication between administrations and enterprises<br />
will be managed always, by electronic means.<br />
d) Within 12 months<br />
Technical rules will be issued that will give full validity to<br />
electronic signatures different from digital ones, as well as<br />
paper copies and, in particular, the Public Administration<br />
digital copies of the electronic documents, will be successively<br />
issued. The technical rules for the electronic storage of<br />
the documents will be issued, in order to realize the electronic<br />
archives. The individual will pass on his data, once to<br />
the Public Administration who will have the task to make<br />
such information available also to the other applicants.<br />
e) Within 15 months<br />
The Public Administrations will arrange appropriate emergency<br />
plans to grant, in the case of a disaster, the continuity<br />
of operations to provide essential services and the return to<br />
regular operations.<br />

Riforma della tassazione dei<br />
fondi comuni di investimento e<br />
delle SICAV di diritto italiano<br />

L’articolo 2, commi da 62 a 79, del D.L. n. 225/2010,<br />
convertito nella Legge n. 10/20<strong>11</strong>, prevede che, dal 1°<br />
luglio 20<strong>11</strong>, gli organismi di investimento collettivo del<br />
risparmio di diritto italiano, diversi dai fondi immobiliari<br />
(i.e.: fondi comuni di investimento e SICAV) ed i relativi<br />
investitori, saranno sottoposti ad un nuovo (e più competitivo)<br />
regime fiscale.<br />
In particolare, l’attuale regime tributario fondato sulla<br />
tassazione del risultato maturato dalla gestione (e quindi<br />
a prescindere da un effettivo realizzo di profitti in capo<br />
agli investitori) sarà abrogato e sostituito da un regime<br />
fiscale improntato su una tassazione per cassa al momento<br />
dell’effettivo realizzo di profitti da parte degli investitori.<br />
Conseguentemente, a partire dalla seconda metà<br />
dell’anno 20<strong>11</strong>, il trattamento tributario applicabile agli<br />
investitori in organismi di investimento di diritto italiano<br />
sarà comparabile a quello attualmente applicabile agli<br />
investitori in organismi di investimento di diritto estero.<br />
1. Cosa cambia per i fondi comuni di investimento e le<br />
SICAV di diritto italiano<br />
Dal 1° luglio 20<strong>11</strong>, i fondi comuni di investimento e le SI-<br />
CAV di diritto italiano non saranno più soggetti all’applicazione<br />
di un’imposta sostitutiva del 12,5% sul risultato<br />
maturato della gestione. Ne consegue che, a partire dalla<br />
seconda metà dell’anno 20<strong>11</strong>, i fondi comuni di investimento<br />
e le SICAV di diritto italiano non saranno più<br />
soggetti ad alcuna imposizione sui redditi (né ad imposte<br />
ordinarie o sostitutive).<br />
I risultati negativi di gestione maturati in passato, e fino<br />
al 30 giugno 20<strong>11</strong> (con riferimento ai quali i fondi comuni<br />
di investimento e le SICAV di diritto italiano hanno<br />
contabilizzato significativi “crediti di imposta” – pari al<br />
12,5% dei risultati negativi di gestione), potranno essere<br />
utilizzati, senza limiti di tempo, in compensazione dei<br />
futuri redditi (soggetti alla ritenuta del 12,5%) realizzati<br />
dagli investitori. Più in dettaglio, le società di gestione<br />
del risparmio italiane avranno la possibilità di compensare<br />
le imposte trattenute agli investitori con i “crediti di<br />
imposta” contabilizzati dagli organismi di investimento<br />
da esse gestiti.<br />
2. Cosa cambia per gli investitori<br />
2.1. Investitori residenti che non conseguono redditi di<br />
impresa (e.g.: persone fisiche)<br />

According to Art. 2, par. from 62 to 79, Law Decree no.<br />
225/2010, converted into Law no. 10/20<strong>11</strong>, starting from<br />
next July 1, 20<strong>11</strong>, a new (more competitive) tax regime will<br />
apply to investors in Italian investment funds (other than<br />
real estate funds) and SICAVs.<br />
Particularly, the existing regime whereby investors in<br />
Italian investment funds and SICAVs are normally subject<br />
to tax on an accrual basis (and therefore on any unrealized<br />
gains) will be repealed and replaced by a regime based on a<br />
cash basis taxation system where investors will be required<br />
to pay taxes only upon actual realization of profits.<br />
As a consequence, starting from mid 20<strong>11</strong>, the tax regime<br />
applicable to investors in Italian investment funds and<br />
SICAVs will be comparable to that currently applicable to<br />
investors in non-Italian investment funds.<br />
1. Changes at the level of Italian investment funds and<br />
SICAVs<br />
Starting from next July 1, 20<strong>11</strong>, Italian investment funds<br />
and SICAVs will no longer be subject to the annual 12.5%<br />
substitutive tax applicable, on an accrual basis, on the<br />
yearly NAV appreciation. Accordingly, starting from mid<br />
20<strong>11</strong>, Italian investments funds and SICAVs will no longer<br />
be subject to any Italian income taxes (neither ordinary nor<br />
substitutive taxes).<br />
Yearly NAV depreciation incurred over past years, and until<br />
next June 30, 20<strong>11</strong> (in respect of which Italian investment<br />
funds and SICAVs have booked huge amounts of “tax<br />
assets” – equal to 12.5% of the NAV depreciation), can be<br />
carried forward indefinitely to offset future profits (subject<br />
to a 12.5% withholding tax) realized by the investors. More<br />
in details, Italian asset management companies will be in<br />
a position to offset payment of taxes withheld to investors<br />
with the “tax assets” booked by the Italian investment funds<br />
and SICAVs they are managing.<br />
2. Changes at the level of the investors<br />
2.1. Italian resident investors who do not carry on a commercial<br />
activity (e.g.: individuals)<br />

Dal 1° luglio 20<strong>11</strong>, i proventi (redditi di capitale) derivanti<br />
dalla partecipazione a fondi comuni di investimento<br />
e SICAV di diritto italiano diventeranno tassabili nella<br />
misura del 12,5% solo se “monetizzati” (i.e.: per cassa e,<br />
quindi, al momento dell’effettivo realizzo). La tassazione<br />
avverrà tramite ritenuta alla fonte a titolo di imposta (da<br />
operare a cura delle società di gestione del risparmio)<br />
cosicché i proventi in questione non dovranno essere<br />
oggetto di dichiarazione dei redditi.<br />
Nessuna novità è stata introdotta con riferimento ad<br />
eventuali “capital gain” (redditi diversi) che continueranno<br />
ad essere tassati (per cassa) al 12,5%.<br />
2.2. Investitori residenti che conseguono redditi di<br />
impresa (e.g.: imprenditori, società di capitali, stabili<br />
organizzazioni in Italia di società estere)<br />
I proventi (redditi di capitale) derivanti dalla partecipazione<br />
a fondi comuni di investimento e SICAV ed<br />
eventuali “capital gain” (redditi diversi) continueranno<br />
ad essere soggetti a tassazione in misura ordinaria (con<br />
applicazione dell’IRES al 27,5% o dell’IRPEF ad aliquote<br />
progressive – più IRAP al 3,9% ovvero al 4,82% in certi<br />
casi e per determinate tipologie di investitori).<br />
I proventi (redditi di capitale) realizzati dal 1° luglio<br />
20<strong>11</strong> saranno soggetti a una ritenuta del 12,5% a titolo<br />
di acconto. Il credito di imposta del 15%, previsto dall’attuale<br />
sistema normativo, non sarà più attributo con<br />
riferimento ai proventi realizzati dal 1° luglio 20<strong>11</strong>.<br />
2.3. Investitori non residenti<br />
Dal 1° luglio 20<strong>11</strong> i proventi (redditi di capitale) derivanti<br />
dalla partecipazione a fondi comuni di investimento<br />
e SICAV di diritto italiano diventeranno soggetti a una<br />
ritenuta del 12,5% a titolo di imposta. Tuttavia, nessuna<br />
ritenuta si applicherà nei confronti di investitori “qualificati”<br />
non residenti (i.e.: investitori – incluse banche,<br />
società di capitali, fondi pensione ed altri investitori istituzionali<br />
– residenti o costituiti in un Paese che consente<br />
un adeguato scambio di informazioni con le Autorità<br />
fiscali italiane). In ogni caso, gli investitori “qualificati”<br />
non residenti, con riferimento ai proventi realizzati dal<br />
1° luglio 20<strong>11</strong>, non avranno più diritto al rimborso del<br />
15% dei proventi erogati, così come previsto dall’attuale<br />
sistema normativo.<br />
Nessuna novità è stata introdotta con riferimento ad<br />
eventuali “capital gain” (redditi diversi) che continueranno<br />
ad essere tassati al 12,5%, salvo la possibilità di<br />
ottenere un’esenzione in base alla normativa interna<br />
(applicabile soltanto nei confronti di investitori “qualificati”)<br />
ovvero in forza di un trattato contro le doppie<br />
imposizioni (se applicabile) che preveda l’esclusione da<br />
tassazione per capital gain di fonte italiana.<br />
Starting from next July 1, 20<strong>11</strong>, profits qualifying as income<br />
from capital and deriving from Italian investment funds<br />
and SICAVs will become subject to tax, on a cash basis only<br />
(i.e.: upon actual realization of profits), at a 12.5% rate.<br />
Taxes will be directly withheld by the Italian asset management<br />
companies so that no disclosure of these profits should<br />
be made in investors’ tax returns.<br />
No changes has been introduced in respect of profits qualifying<br />
as capital gains which will continue to be subject to<br />
tax at a 12.5% rate.<br />
2.2. Italian resident investors who carry on a commercial<br />
activity (e.g.: entrepreneurs, corporations and Italian<br />
permanent establishment of foreign corporations)<br />
Profits (both income from capital and capital gains)<br />
deriving from Italian investment funds and SICAVs will<br />
continue to be ordinarily subject to tax (corporate income<br />
tax at 27.5% rate or individual income taxes at progressive<br />
rates – plus regional tax on productive activities at a rate<br />
ranging from 3.9% to 4.82% under certain circumstances<br />
and for certain type of investors).<br />
A 12.5% advance withholding tax will apply on profits<br />
qualifying as income from capital and realized starting<br />
from next July 1, 20<strong>11</strong>. The existing 15% tax credit will no<br />
longer be available with respect to profits realized starting<br />
from next July 1, 20<strong>11</strong>.<br />
2.3. Non-Italian resident investors<br />
Starting from next July 1, 20<strong>11</strong>, profits qualifying as<br />
income from capital and deriving from Italian investment<br />
funds and SICAVs will be ordinarily subject to a 12.5%<br />
withholding tax. However, no withholding tax will apply to<br />
non-Italian resident “qualified” investors (i.e.: investors –<br />
including banks, ordinary corporations, pension funds and<br />
other institutional investors – resident or organized in a<br />
Country allowing for an exchange of information procedure<br />
with the Italian Tax Authorities). In any case, “qualified”<br />
investors will no longer be entitled to any refund (currently<br />
equal to 15% of the profits received) in respect to profits<br />
realized starting from next July 1, 20<strong>11</strong>.<br />
No changes has been introduced in respect of profits qualifying<br />
as capital gains which will continue to be subject to<br />
tax at a 12.5% rate with possibility to get an exemption<br />
either under domestic law (applicable only to “qualified”<br />
investors) or under a double tax treaty (where applicable)<br />
protecting from Italian capital gain taxation.<br />

luglio 20<strong>11</strong>, gli italiani persone fisiche che partecipano<br />
a certi organismi di investimento collettivo del risparmio<br />
di diritto estero non armonizzati, diversi dai fondi<br />
immobiliari, e situati in determinati Stati membri UE o<br />
dello Spazio Economico Europeo, saranno soggetti ad<br />
un nuovo (e più favorevole) regime fiscale.<br />
In particolare, l’attuale regime tributario fondato sulla<br />
tassazione ordinaria (con applicazione dell’IRPEF ad<br />
aliquote progressive fino al 43%) dei proventi derivanti<br />
dalla partecipazione ad organismi di investimento esteri<br />
non armonizzati sarà abrogato e sostituito da un regime<br />
fiscale improntato su una tassazione definitiva al 12,5%,<br />
a condizione che l’organismo di investimento non armonizzato:<br />
- sia assoggettato a qualche forma di vigilanza nel Paese<br />
estero di costituzione;<br />
e<br />
- sia costituito in un Paese che consente un adeguato<br />
scambio di informazioni con le Autorità fiscali italiane.<br />
Conseguentemente, a partire dalla seconda metà<br />
dell’anno 20<strong>11</strong>, il trattamento tributario applicabile agli<br />
italiani persone fisiche che partecipano ad organismi di<br />
investimento di diritto estero non armonizzati situati in<br />
certi Stati membri UE o dello Spazio Economico Europeo<br />
sarà comparabile a quello attualmente applicabile<br />
agli investitori in organismi di investimento di dritto<br />
estero armonizzati situati in determinati Stati membri<br />
UE o dello Spazio Economico Europeo.<br />
Il nuovo regime si applica ai proventi (redditi di capitale)<br />
percepiti dal 1° luglio 20<strong>11</strong>.<br />

next July 1, 20<strong>11</strong>, a new (more favorable) tax regime will<br />
apply to Italian investors (who do not carry on a commercial<br />
activity - e.g.: individuals) in certain EU and EEA<br />
foreign non-UCITS funds (other than real estate funds).<br />
Particularly, the existing regime whereby Italian individual<br />
investors in foreign non-UCITS funds are normally ordinarily<br />
subject to tax (at progressive rates up to 43%) will be<br />
repealed and replaced by a regime whereby a 12.5% final<br />
taxation will apply as long as the non-UCITS fund meet the<br />
following conditions:<br />
- it is subject to the supervision by the regulators in its<br />
Country of organization.<br />
and<br />
- it is organized in a EU Country or in a EEA Country allowing<br />
for an exchange of information procedure with the<br />
Italian Tax Authorities.<br />
As a consequence, starting from mid 20<strong>11</strong>, the tax regime<br />
applicable to Italian individual investors in certain EU and<br />
EEA non-UCITS funds will be comparable to that currently<br />
applicable for investments in EU and EEA UCITS funds.<br />
The new regime will apply to profits qualifying as income<br />
from capital and realized starting from next July 1, 20<strong>11</strong>.<br />

Nuova disciplina degli<br />
intermediari finanziari<br />

Il D.Lgs. 13 agosto 2010, n. 141 (di seguito, il “Decreto”),<br />
ha introdotto una nuova disciplina degli intermediari<br />
finanziari, che modifica profondamente quanto contenuto<br />
nel Titolo V, D.Lgs. 1 settembre 1993, n.385 (di<br />
seguito, il “TUB”).<br />
(A) La prima modifica sostanziale da evidenziare è<br />
la scomparsa della differenziazione tra intermediari<br />
finanziari iscritti, rispettivamente, nell’elenco generale<br />
ai sensi dell’articolo 106, TUB e nell’elenco speciale ex<br />
107, TUB.<br />
Sono ora, infatti, previsti un unico albo ed un’unica<br />
disciplina per tutti gli intermediari autorizzati a:<br />
(1) esercitare attività di concessione di finanziamenti<br />
sotto qualsiasi forma nei confronti del pubblico;<br />
(2) prestare servizi di pagamento, ove autorizzati ai sensi<br />
dell’articolo <strong>11</strong>4-novies, TUB, servizi di investimento,<br />
se autorizzati ai sensi del D.Lgs. n. 58/1998 (di seguito,<br />
“TUF”), ovvero altre attività connesse o strumentali<br />
consentite dalla legge.<br />
In forza del regime previgente, gli intermediari autorizzati<br />
erano soggetti a discipline diverse ed iscrizioni<br />
speciali nell’albo tenuto dalla Banca d’Italia, a seconda<br />
del superamento o meno di talune soglie dimensionali.<br />
(B) Scompaiono alcune delle attività prima riservate ai<br />
soli intermediari autorizzati e, in particolare: (i) l’assunzione<br />
di partecipazioni e (ii) l’intermediazione in cambi.<br />
(C) Non devono più registrarsi in alcun elenco i soggetti<br />
che svolgono attività finanziarie non nei confronti del<br />
pubblico, seppure in misura prevalente (circostanza che<br />
prima determinava l’obbligo di iscrizione ad una sezione<br />
particolare dell’elenco degli intermediari finanziari<br />
tenuto dalla Banca d’Italia).<br />
(D) L’attività finanziaria svolta dai soggetti registrati<br />
all’elenco dell’articolo 106, TUB, deve essere svolta in<br />
via esclusiva.<br />
(E) L’autorizzazione è concessa qualora ricorrano le<br />
seguenti condizioni:<br />
(i) è adottata la forma di società di capitali;<br />

The Legislative Decree 13th August 2010, No.141 (hereinafter,<br />
the “Decree”) introduced new rules on financial<br />
intermediaries which deeply amend what stated in Title V,<br />
Legislative Decree September 1st 1993, No.385 (hereinafter,<br />
the “TUB”).<br />
(A) The first substantial amendment to stress is the deletion<br />
of the distinction between financial intermediaries<br />
registered, respectively, in the general list under article<br />
106, TUB, and those registered in the special list under<br />
article 107, TUB.<br />
From now on, in fact, there will be a sole register and a sole<br />
set of law provisions applicable to all the intermediaries<br />
authorized to:<br />
(1) grant loans in any form towards the public;<br />
(2) perform payment services, if so authorized under article<br />
<strong>11</strong>4-novies, TUB, investment services, if so authorized<br />
under the provisions of the Legislative Decree 24th February<br />
1998, No.58 (hereinafter, the “TUF”), or other related<br />
or ancillary activities allowed by the law.<br />
In accordance with the rules previously in force, the<br />
authorized intermediaries were subject to different sets<br />
of rules as well as to special listings in the register held by<br />
Bank of Italy, depending on whether certain dimensional<br />
thresholds were passed or not.<br />
(B) Some of the activities previously restricted to the<br />
authorized intermediaries are no longer exist as such, in<br />
particular: (i) shareholding activity and (ii) trading in<br />
foreign exchange.<br />
(C) The operators which do not undertake financial<br />
activities towards the public are no longer required to be<br />
registered, even though said activities are the ones performed<br />
for the most part by the operators (circumstance<br />
which previously resulted in the mandatory registration<br />
in a special section of the register of intermediaries held by<br />
Bank of Italy).<br />
(D) The operators registered under article 106, TUB, must<br />
carry out the relevant financial activity in an exclusive<br />
way.<br />
(E) The authorization is granted whether the following<br />
conditions are met:<br />
(i) the form of limited company is adopted;<br />

(ii) la sede legale e la direzione generale sono situate<br />
nel territorio della Repubblica;<br />
(iii) il capitale versato è di ammontare non inferiore a<br />
quello determinato dalla Banca d’Italia anche in relazione<br />
al tipo di operatività;<br />
(iv) sono presentati un programma di attività iniziale e<br />
la struttura organizzativa, unitamente all’atto costitutivo<br />
e allo statuto;<br />
(v) i titolari di partecipazioni e gli esponenti aziendali<br />
sono in possesso dei requisiti previsti dagli artt. 25 e 26,<br />
TUB;<br />
(vi) non sussistono, tra gli intermediari finanziari o i<br />
soggetti del gruppo di appartenenza e altri soggetti,<br />
stretti legami che ostacolino l’esercizio effettivo della<br />
vigilanza;<br />
(vii) l’oggetto sociale indica unicamente le attività di<br />
concessione nei confronti del pubblico di finanziamenti<br />
sotto qualsiasi forma, i servizi di pagamento, nonché i<br />
servizi di investimento, ove autorizzati. L’oggetto sociale<br />
può indicare, altresì, le ulteriori attività eventualmente<br />
consentite agli intermediari finanziari e quelle connesse<br />
e strumentali previste dalle disposizioni della Banca<br />
d’Italia.<br />
(F) Il novellato articolo 108, TUB, prevede che la Banca<br />
d’Italia emani disposizioni di carattere generale volte a<br />
disciplinare (con riferimento ai soggetti autorizzati ex<br />
articolo 106 TUB) l’adeguatezza patrimoniale, il contenimento<br />
del rischio, l’organizzazione amministrativa<br />
e contabile, i controlli interni, nonché l’informativa da<br />
rendere al pubblico su tali materie.<br />
(G) Ai sensi dell’’articolo 109, TUB, la Banca d’Italia<br />
dovrà, altresì, emanare previsioni aventi ad oggetto la<br />
vigilanza consolidata sui gruppi finanziari.<br />
In ogni caso, la vigilanza consolidata potrà essere esercitata<br />
dall’Autorità anche nei confronti di:<br />
(i) intermediari finanziari e società bancarie, finanziarie<br />
e strumentali, partecipate per almeno il venti per<br />
cento da società appartenenti a un gruppo finanziario o<br />
da un intermediario finanziario;<br />
(ii) intermediari finanziari e società bancarie, finanziarie<br />
e strumentali non comprese in un gruppo finanziario,<br />
ove controllate dalla persona fisica o giuridica<br />
che controlla un gruppo finanziario o un intermediario<br />
finanziario;<br />
(iii) società diverse dagli intermediari finanziari e da<br />
quelle bancarie, finanziarie e strumentali quando siano<br />
controllate da un intermediario finanziario, ovvero,<br />
quando società appartenenti a un gruppo finanziario,<br />
detengano, anche congiuntamente, una partecipazione<br />
di controllo.<br />
(ii) the registered office and the head office are both located<br />
within the Italian territory;<br />
(iii) the amount of the paid-up capital is not lower than the<br />
capital amount set out by Bank of Italy also in relation to<br />
the type of operations performed;<br />
(iv) a business plan and an organizational structure chart<br />
are submitted along with the articles of association and the<br />
bylaws;<br />
(v) the interests holders and the company representatives<br />
feature the requirements provided for by articles 25 and 26,<br />
TUB;<br />
(vi) no close connections exist among the financial intermediaries<br />
or among the other members of the belonging<br />
corporate group and other subjects which may affect the<br />
effective supervisory activity;<br />
(vii) the corporate object solely provides for the activities<br />
of undertaking the granting of loans in any form, payment<br />
services, as well as investment services, if so authorized.The<br />
corporate object may also provide the further activities in<br />
case allowed to financial intermediaries and those related<br />
or ancillary activities provided for by Bank of Italy rules.<br />
(F) The new article 108, TUB, sets out that Bank of Italy<br />
enacts general provisions meant to rule (with reference to<br />
the operators authorized under article 106 TUB) the capital<br />
adequacy, the risk containment, the accounting and administrative<br />
organization, the internal audit, as well as the<br />
information to be provided to the public on such topics.<br />
(G) Under article 109, TUB, Bank of Italy shall also enact<br />
provisions concerning the consolidated supervision on<br />
financial groups.<br />
However, the consolidated supervision will be carried out by<br />
the Authority also towards:<br />
(i) financial intermediaries and banking, holding and<br />
ancillary companies, participated up to twenty percent by<br />
companies belonging to a financial group or by a financial<br />
intermediary;<br />
(ii) financial intermediaries and banking, holding and<br />
ancillary companies, not part of a financial group, if controlled<br />
by a natural or legal person controlling a financial<br />
group or a financial intermediaries;<br />
(iii) companies other than financial intermediaries and<br />
from banking, holdings and ancillary companies when<br />
controlled by a financial intermediary, or, in case companies<br />
belonging to a financial group, hold, even jointly, a<br />
controlling stake.<br />

(H) Con le nuove disposizioni, il Legislatore ha preso in<br />
considerazione anche il c.d. “microcredito”, riservato a<br />
soggetti iscritti in un apposito elenco i cui requisiti dovranno<br />
essere specificati in un apposito atto del Ministero<br />
dell’Economia e delle Finanze (di seguito, “MEF”).<br />
Al riguardo, l’articolo <strong>11</strong>1, TUB, stabilisce che i finanziamenti<br />
concessi in questo ambito:<br />
(i) non possono superare l’ammontare di € 25.000 e<br />
non devono essere assistiti da garanzie reali;<br />
(ii) sono finalizzati all’avvio o allo sviluppo di iniziative<br />
imprenditoriali o all’inserimento nel mercato del lavoro;<br />
(iii) sono accompagnati dalla prestazione di servizi ausiliari<br />
di assistenza e monitoraggio dei soggetti finanziati.<br />
Viene, inoltre, stabilito che possono esercitare il “microcredito”<br />
anche i soggetti giuridici senza fini di lucro,<br />
laddove soddisfino determinati requisiti (anche questi,<br />
ancora da precisare da parte del MEF), a condizione che<br />
siano iscritti ad una sezione separata dell’elenco e che i<br />
finanziamenti siano concessi a condizioni più favorevoli<br />
di quelle prevalenti sul mercato.<br />
(I) E’ stata riveduta anche la disciplina dei c.d. “confidi”,<br />
prevedendo, tra l’altro, all’articolo <strong>11</strong>2, TUB, che per la<br />
gestione dell’elenco al quale sono iscritti tali soggetti<br />
debba essere istituito un organismo, avente personalità<br />
giuridica di diritto privato e forma di associazione, il<br />
quale vigila sul rispetto dei requisiti previsti dalla legge.<br />
E’ previsto un regime transitorio per permettere alle<br />
parti riguardate di adeguarsi alla nuova disciplina.<br />
(L) L’articolo 10, Decreto, dispone, infatti, che gli intermediari<br />
finanziari e i confidi che, alla data di entrata in<br />
vigore del Decreto (ossia il 19 settembre 2010), risultavano<br />
iscritti negli elenchi precedentemente previsti nei<br />
vecchi articoli 106, 107 e 155 TUB, nonché le società<br />
fiduciarie, hanno la facoltà di continuare ad operare<br />
per un periodo di 12 mesi successivi all’adozione delle<br />
disposizioni attuative (da emanare, come si è visto, sia<br />
da parte della Banca d’Italia che del MEF) e alla costituzione<br />
degli organismi previsti dal Decreto.<br />
Tali disposizioni attuative dovranno essere emanate<br />
entro il 31 dicembre 20<strong>11</strong>.<br />
Nell’ambito della normativa transitoria è previsto, tra<br />
l’altro, che:<br />
(1) entro il termine precedentemente indicato gli intermediari<br />
finanziari che alla data di entrata in vigore del<br />
decreto legislativo esercitavano nei confronti del pubblico<br />
l’attività di assunzione di partecipazioni, dovranno<br />
chiedere alla Banca d’Italia la cancellazione dagli<br />
elenchi previsti dalla disciplina previgente, attestando<br />
di non esercitare attività riservate ai sensi di legge;<br />
(H) With the new rules, the Legislator has also taken<br />
into consideration the so-called “micro-credit”, which is<br />
restricted to the operators registered in a special list whose<br />
requirements have to be defined in a specific act by the<br />
Ministry of Economy and Finance (hereinafter, “MEF”).<br />
With this regard, article <strong>11</strong>, TUB, provides for that the<br />
loans granted to this extent:<br />
(i) cannot amount more than € 25.000 and cannot be<br />
secured by collaterals;<br />
(ii) are aimed to either start-up, expand business initiatives<br />
or to join the job market;<br />
(iii) are accompanied by the performance of related services<br />
of assistance and monitoring of the financed customers.<br />
Moreover, it is provided that “micro-credit” may also be<br />
performed by non-profit juridical entities if they meet certain<br />
requirements (the latter are to be defined by the MEF<br />
too), on condition that they are registered in a separate<br />
section of the list and that the loans are granted in accordance<br />
with conditions more favourable than those prevailing<br />
on the market.<br />
(I) The rules on the so-called “confidi” have been amended,<br />
providing that an organized body should be set up to<br />
keep the list where said operators are registered. The body<br />
should feature corporate status and association form.<br />
A transitional set of rules is provided in order to allow the<br />
Parties to conform to the new applicable law provisions.<br />
(L) Article 10 of the Decree sets out that financial intermediaries<br />
and the intermediaries which, at the date of entry<br />
into force (i.e. September 19th, 2010), were registered in<br />
the registers previously provided for by the former articles<br />
106, 107, and 155 TUB, as well as trust companies, have<br />
the faculty to continue operating for a period of twelve<br />
months after that, the enactment provisions (to be issued,<br />
as seen above, by both Bank of Italy and by MEF) have<br />
been adopted and the organized bodies provided for by the<br />
Decree have been set up.<br />
Said enactment provisions shall be adopted no later than<br />
December 31st, 20<strong>11</strong>.<br />
In the ambit of the transitional set of rules it is also stated,<br />
among other things, that:<br />
(1) within the above mentioned expiration term, the financial<br />
intermediaries which at the date of the entry into force<br />
of the Decree performed towards the public the holding<br />
activity, shall ask Bank of Italy for the deletion from the registers<br />
requested by the rules previously in force, attesting<br />
that they do not perform activities restricted under the law.<br />

(2) entro tre mesi dall’entrata in vigore delle disposizioni<br />
attuative, gli intermediari iscritti all’elenco speciale<br />
previsto dal vecchio articolo 107 TUB, o inclusi nella<br />
vigilanza consolidata bancaria, che alla data di entrata in<br />
vigore del Decreto esercitavano l’attività di concessione<br />
di finanziamenti sotto qualsiasi forma, devono presentare<br />
istanza di autorizzazione per l’iscrizione al nuovo Albo di<br />
cui all’articolo 106, TUB;<br />
(3) entro sei mesi dall’adozione delle disposizioni attuative<br />
e dall’istituzione degli organismi previsti dalla legge,<br />
i soggetti che esercitavano attività di intermediazione in<br />
cambi devono richiedere alla Banca d’Italia la cancellazione<br />
dagli elenchi, attestando di non svolgere attività<br />
riservate ai sensi di legge;<br />
(4) entro nove mesi dall’adozione delle disposizioni attuative<br />
e dall’istituzione degli organismi previsti dalla legge,<br />
le società fiduciarie presentano istanza di autorizzazione<br />
ai fini dell’iscrizione alla sezione separata del nuovo albo<br />
di cui all’articolo 106, TUB.<br />
Decorsi i termini sopra citati, i soggetti che non abbiano<br />
presentato le istanze previste, hanno l’obbligo di deliberare<br />
la liquidazione della società ovvero di modificare il proprio<br />
oggetto sociale, eliminando il riferimento ad attività<br />
riservate ai sensi di legge.<br />
(2) within three months from the entry into force of the<br />
enactment provisions, the intermediaries registered in<br />
the special register under the previous article 107 TUB, or<br />
included in the banking consolidated supervision, which<br />
at the date of entry into force of the Decree granted loans<br />
in any form, are requested to file an application to be<br />
registered in the new list pursuant article 106, TUB.<br />
(3) within six months from the adoption of the<br />
enactment provisions and from the setting up of the organized<br />
bodies required by the law, the operators which traded<br />
in foreign exchange are requested to apply to Bank of<br />
Italy for the deletion from the lists, attesting that they do<br />
not perform any activity restricted under the law.<br />
(4) within nine months from the adoption of the<br />
enactment provisions and from the setting up of the<br />
organized bodies required by the law, the trust companies<br />
shall apply for an authorization in order to obtain<br />
the registration in the separate section of the new register<br />
under article 107, TUB.<br />
Upon expiration of the above mentioned terms, the operators<br />
which will not have submitted the required applications,<br />
are requested to resolve for the winding up of the<br />
company or to modify their corporate object, by deleting<br />
any reference to the activities restricted under the law.<br />

La Cassazione si esprime nuovamente<br />
in merito all’abuso del<br />
diritto in materia tributaria<br />

Con sentenza n. 1372, del 21 gennaio 20<strong>11</strong>, la Corte di<br />
Cassazione ha approfondito il tema dell'applicazione<br />
del principio dell'abuso del diritto in campo tributario in<br />
caso di operazioni di riorganizzazione societaria.<br />
I giudici della Suprema Corte hanno, innanzi tutto, sottolineato<br />
che, al fine di applicare il principio dell’abuso<br />
del diritto, è onere dell’Amministrazione Finanziaria provare<br />
le anomalie delle operazioni intraprese dal contribuente<br />
il quale, invece, deve dimostrare che le finalità<br />
perseguite non fossero esclusivamente rivolte all’ottenimento<br />
del mero vantaggio fiscale.<br />
Nell’ambito della sentenza è stata, inoltre, ribadita la<br />
necessità di usare una cautela “massima” nell’applicazione<br />
di tale principio in caso di ristrutturazioni societarie<br />
di grandi gruppi d'imprese in quanto rispecchiano<br />
generalmente particolari logiche di mercato e peculiarità<br />
strategiche di gruppo che possono non coincidere con la<br />
mera e immediata redditività economica.<br />

Il caso sottoposto all’attenzione della Suprema Corte si<br />
riferiva ad una ripresa a tassazione del costo per interessi<br />
su prestiti ricevuti per finanziare una ristrutturazione<br />
infragruppo.<br />
L’Ufficio ha sostenuto la natura elusiva dell’operazione,<br />
affermando che lo stesso risultato poteva essere ottenuto<br />
mediante la fusione tra due società del gruppo senza<br />
necessità di indebitamento. L’operazione “suggerita”<br />
dall’Ufficio sarebbe, pertanto, stata soggetta ad una<br />
maggiore tassazione.<br />
Prima di esprimersi nel merito della questione, la<br />
Suprema Corte ha ribadito che: “Si considerano aventi<br />
carattere abusivo, e che possono, quindi, essere disconosciute<br />
dell'amministrazione finanziaria, quelle pratiche<br />
che, pur formalmente rispettose del diritto interno o<br />
comunitario, siano poste in essere al principale scopo<br />
di ottenere benefici fiscali contrastanti con la ratio delle<br />
norme che introducono il tributo o prevedano esenzioni<br />
o agevolazioni”.<br />
Dopo aver evidenziato il rango comunitario e/o costituzionale<br />
del principio di abuso di diritto e la sua indubbia<br />
applicabilità d’ufficio anche nel giudizio di legittimità, la<br />
Corte di Cassazione ha sottolineato che, al fine di ritenere<br />
un’operazione abusiva, lo scopo di risparmio fiscale ad<br />
essa sottostante non deve essere esclusivo bensì determinante.<br />
Another Supreme Tax Court decision<br />
on the abuse of law principle<br />
relevant to the tax matter<br />

With the decision n. 1372, of 21th January 20<strong>11</strong>, the Italian<br />
Supreme Tax Court analyzed the matter of the application<br />
of the principle of “abuse of law” in the tax field in case<br />
of transactions relevant to business restructuring.<br />
In the mentioned decision, the judges of the Supreme Tax<br />
Court underlined that, in order to apply the principle of<br />
“abuse of law”, the Tax Administration has the burden to<br />
prove the avoidance nature of the transactions performed<br />
by the tax-payer who, instead, has to prove that the final<br />
purposes of the transactions are not exclusively to obtain a<br />
mere tax advantage.<br />
Moreover, within the decision, it has been confirmed the<br />
necessity to adopt the “highest” caution in the application<br />
of this principle in case of business restructuring of large<br />
groups of companies because they generally reflect particular<br />
market logics and peculiar strategies of the group that<br />
could not coincide with a mere and immediate business<br />
profitability.<br />
The case evaluated by the Supreme Tax Court concerned a<br />
case in which the Tax Authorities contested the deductibility<br />
of the passive interests deriving from loans relevant to the<br />
funding of an intercompany restructuring transaction.<br />
The Tax Agency sustained the tax avoidance nature of the<br />
transaction, having affirmed that the same result could<br />
have been obtained through a merger between two companies<br />
of the group, without the necessity to ask for a loan<br />
and incur in passive interest. Therefore, the transaction<br />
“suggested” by the Tax Agency would have had a greater tax<br />
burden.<br />
First of all, the Supreme Tax Court reaffirmed that: “those<br />
transactions that, even if formally compliant with the<br />
National and the European law, are carried out mainly in<br />
order to obtain tax benefits that are contrasting with the<br />
ratio of the laws that introduce the tax or that provide for<br />
exemptions or facilities have to be considered having a tax<br />
abusive nature and so they could be challenged by the Tax<br />
Authorities”.<br />
Having considered that the abuse of law is an European<br />
and/or Constitutional principle and, therefore, it is required<br />
to be applied ex-officio also in the judgments in front of<br />
the Supreme Tax Court, the Supreme Tax Court underlined<br />
that, in order to consider a transaction as “abusive”, the<br />
purpose of the tax saving has not to be exclusive but rather<br />
decisive.<br />

Nella sentenza viene, inoltre, ribadito che “incombe<br />
all'amministrazione finanziaria l'onere di spiegare, anche<br />
nell'atto impositivo, perchè la forma giuridica (o il complesso<br />
di forme giuridiche) impiegata abbia carattere<br />
anomalo o inadeguato rispetto all'operazione economica<br />
intrapresa, mentre è onere del contribuente provare<br />
l'esistenza di un contenuto economico dell'operazione<br />
diverso dal mero risparmio fiscale”.<br />
Tale statuizione appare in linea con le precedenti pronunce<br />
della Suprema Corte.<br />
Si ricorda, ad esempio, che nella Sentenza n. 1465, del<br />
21 gennaio 2009, la Cassazione aveva stabilito che: “Una<br />
operazione economica, oltre allo scopo di ottenere vantaggi<br />
fiscali, può perseguire diversi obbiettivi, di natura<br />
commerciale, finanziaria, contabile ed integra gli estremi<br />
del comportamento abusivo qualora e nella misura in cui<br />
tale scopo si ponga come elemento predominante ed assorbente<br />
della transazione tenuto conto sia della volontà<br />
delle parti implicate che del contesto fattuale e giuridico<br />
in cui la transazione stessa viene posta in essere, con la<br />
conseguenza che il divieto di comportamenti abusivi<br />
non vale più ove quelle operazioni possono spiegarsi<br />
altrimenti che con il mero conseguimento di risparmi di<br />
imposta. E' onere dell'Amministrazione finanziaria - non<br />
solo - prospettare il disegno elusivo a sostegno delle operate<br />
rettifiche ma - anche - le supposte modalità di manipolazione<br />
o di alterazione di schemi classici rinvenute<br />
come irragionevoli in una normale logica di mercato se<br />
non per pervenire a quel risultato di vantaggio fiscale<br />
così come incombe al contribuente allegare la esistenza<br />
di ragioni economiche alternative o concorrenti di reale<br />
spessore che giustifichino operazioni così strutturate”.<br />
Nel caso sottoposto all’attenzione della Suprema Corte, è<br />
opinione dei Giudici di legittimità che l’Amministrazione<br />
Finanziaria non abbia sostenuto “il carattere artificioso<br />
della complessa operazione, ma soltanto che lo stesso<br />
risultato poteva essere conseguito attraverso una diversa<br />
formula organizzativa, e precisamente una fusione”.<br />
L’Ufficio non avrebbe, inoltre, spiegato perché la forma<br />
giuridica impiegata dalla società contribuente sarebbe<br />
stata inusuale o inadeguata all’operazione economica.<br />
La Corte di cassazione, pertanto, ha ritenuto che “ il<br />
sindacato dell’Amministrazione finanziaria non può spingersi<br />
ad imporre una misura di ristrutturazione diversa<br />
da quelle giuridicamente possibili (e cioè una fusione)<br />
solo perché tale misura avrebbe comportato un maggior<br />
carico fiscale”.<br />

Un’importante affermazione della Suprema Corte<br />
contenuta nella decisione in commento riguarda, poi, la<br />
necessità di usare una “particolare cautela” nei casi di<br />
applicazione del principio di abuso di diritto.<br />
Moreover, in the decision at hand, it is reaffirmed that “it<br />
is up to the Tax Authorities the burden to explain, also in<br />
the notice of tax assessment, the reason why the legal form<br />
(or the set of legal forms) carried out is unusual or has an<br />
inappropriate nature for the economic transaction carried<br />
out, while it is up to the tax-payer to prove the presence<br />
of an economic reason of the transaction different from a<br />
mere tax saving”.<br />
This decision seems in line with the previous decisions of the<br />
Supreme Tax Court.<br />
It is important to remind that, for instance, with the<br />
decision n. 1465, of 21 January 2009, the Supreme Tax<br />
Court stated that: “an economic transaction, other than<br />
tax saving purposes, could have other aims of commercial<br />
financial and accounting purposes and could be seen as tax<br />
abusive when the principal element of the transaction the<br />
purpose of obtaining tax advantages, having considered<br />
the involved parties intentions and the factual and legal<br />
context in which the transaction is carried out, with the<br />
consequence that the abuse of law principle could not be<br />
applicable when the transactions are aimed not only to<br />
achieve mere tax savings. It is up to the Tax Authorities the<br />
prove the tax abusive plan and the ways of distortion and<br />
alteration of the classical legal transaction schemes, considered<br />
reasonless in an ordinary market logic and carried<br />
out solely to obtain that specific tax advantage, while it is<br />
up to the tax-payer the burden to prove the existence of real<br />
business motivations that justify transactions structured in<br />
that way”.<br />
In the case submitted to the Supreme Tax Court, the<br />
opinion of the Judges is that the Tax Authorities did not sustain<br />
“the artificial nature of the complex transaction, but<br />
only that the same result could have been achieved adopting<br />
a different business structure and, to be more precisely,<br />
a merger transaction.”<br />
Moreover, the Tax Office didn’t explain the reason why<br />
the legal structure adopted by the tax-payer is unusual or<br />
inadequate for the business transaction at hand.<br />
Therefore, the Supreme Tax Court, considered that “the<br />
judgment of the Tax Authorities did not impose a measure<br />
of business restructuring different than the others legal<br />
possible structures (in this case a merger) only because the<br />
mentioned measures had triggered a more expensive tax<br />
burden”.<br />

An important statement of the Supreme Tax Court, included<br />
in the decision at hand, refers to the necessity to adopt<br />
a “particular caution” in the cases of application of the<br />
principle of abuse of law.<br />

La Corte di Cassazione, infatti, in tali circostanze ritiene<br />
necessario “trovare una giusta linea di confine tra<br />
pianificazione fiscale eccessivamente aggressiva e libertà<br />
di scelta delle forme giuridiche, soprattutto quando si<br />
tratta di attività d'impresa”.<br />
La cautela nella valutazione, ad avviso dei giudici di<br />
legittimità, deve essere “massima” quando si tratta di<br />
ristrutturazioni societarie nell'ambito di grandi gruppi<br />
d'imprese.<br />
Applicando tale “cautela”, la Corte di Cassazione ricorda<br />
che, nei casi di possibile abuso di diritto che coinvolgono<br />
operazioni strutturate di grandi gruppi, si tratta di<br />
verificare se l’operazione rientri in una logica di mercato,<br />
considerando che per effetto della peculiarità delle<br />
strategie di mercato dei gruppi di imprese “il carattere<br />
abusivo deve essere escluso per la compresenza, non<br />
marginale, di ragioni extra fiscali che non si identificano<br />
necessariamente in una redditività immediata dell'operazione,<br />
ma possono essere anche di natura meramente<br />
organizzativa, e consistere in miglioramento strutturale<br />
e funzionale dell'impresa”.<br />
A parere dei Supremi Giudici, pertanto, la ragione economica<br />
di un’operazione non può essere considerata il<br />
solo “profitto”.<br />
Al fine dell’applicazione dell’abuso di diritto, l’economicità<br />
dell’operazione non deve, infatti, essere misurata<br />
meramente attraverso la sua redditività diretta ed<br />
immediata ma deve essere valutata sulla base dell’analisi<br />
funzionale ed economica dell’operazione in relazione al<br />
gruppo.<br />
The Court, indeed, in these circumstances considers necessary<br />
“to find out a correct borderline between an aggressive<br />
tax planning and the freedom to adopt a legal form, especially<br />
when the matter in object is about business activity”.<br />
This caution, according to the opinion of the Judges, has to<br />
be at the highest level when the matter in object is a business<br />
restructuring of large groups of companies.<br />
Applying this “caution”, the Supreme Tax Court states that,<br />
in the cases where it is possible to have an abuse of law<br />
that involves business restructuring transactions of large<br />
groups, it is necessary to verify if the transaction is carried<br />
out according to a market logic and that, considering<br />
the peculiarities of the market strategies of the groups of<br />
companies “the abusive nature has to be excluded for the,<br />
not marginal, presence of non tax reasoning that do not<br />
identify themselves in an immediate profitability of the<br />
transaction, but they could have just a mere organizational<br />
nature consisting in a structural and functional improvement<br />
of the enterprise”.<br />
Therefore, according to the opinion of the Supreme Judges,<br />
the business motivation of a transaction could not be considered<br />
the sole “profit”.<br />
Indeed, in order to apply the abuse of law, the economic<br />
aspect of the transaction has not to be evaluated through<br />
the direct and immediate profitability, but rather through<br />
the functional and economic analysis of the transaction in<br />
relation to the group.<br />

Archivio VIES: nuove procedure<br />
autorizzative<br />

Con l’emanazione dei provvedimenti dell’Agenzia delle<br />
Entrate n. 2010/188381 e n. 2010/188376, del 29<br />
dicembre 2010, è stata data attuazione al nuovo regime<br />
autorizzativo per l’effettuazione delle operazioni intracomunitarie,<br />
introdotto, nell’ambito delle misure di<br />
contrasto alle frodi IVA, dall’articolo 27, D. L. n. 78/2010,<br />
convertito nella L. 30 luglio 2010, n. 122.<br />
A partire dalla data del 31 maggio 2010, in base al novellato<br />
articolo 35, DPR n. 633/1972, i soggetti intenzionati<br />
ad effettuare operazioni intracomunitarie devono, quindi,<br />
essere autorizzati dall’Agenzia delle Entrate.<br />
Con i provvedimenti del 29 dicembre scorso, sono stati<br />
definiti i criteri e le modalità di inclusione delle partite<br />
IVA nell’archivio informatico dei soggetti autorizzati a<br />
porre in essere operazioni intracomunitarie (VIES) e le<br />
modalità di diniego e revoca dell’autorizzazione.<br />
Alla luce di quanto previsto da tali provvedimenti, è possibile<br />
individuare i seguenti scenari:<br />
a) I soggetti che hanno presentato dichiarazione di inizio<br />
attività tra il 31 maggio 2010 e il 28 febbraio 20<strong>11</strong>, a<br />
quest’ultima data saranno esclusi dall’archivio VIES, se:<br />
- non hanno manifestato la volontà di porre in essere<br />
operazioni UE nella dichiarazione di inizio attività barrando<br />
l’apposito campo del Modello; e<br />
- non hanno posto in essere, nel secondo semestre 2010,<br />
operazioni intracomunitarie e adempiuto agli obblighi di<br />
presentazione degli elenchi INTRASTAT;<br />
b) i soggetti che hanno presentato dichiarazione di inizio<br />
attività anteriormente al 31 maggio 2010, sempre alla<br />
data del 28 febbraio 20<strong>11</strong> saranno esclusi dall’archivio<br />
VIES se:<br />
- non hanno presentato elenchi INTRASTAT negli anni<br />
2009 e 2010; e<br />
- non hanno adempiuto agli obblighi dichiarativi IVA per<br />
il 2009.<br />
I titolari di partita IVA esclusi dall’archivio informatico<br />
ed intenzionati ad effettuare operazioni UE sono, quindi,<br />
obbligati a dichiarare tale volontà mediante apposita<br />
istanza da presentare direttamente presso gli uffici<br />
dell’Agenzia delle Entrate.<br />
Archive VIES: news rules for the<br />
inclusion<br />

With the issuing of the measures No. 2010/188381 and<br />
No. 2010/188376 dated December 29, 2010 by the Italian<br />
Revenue Agency, the new authorization regime for carrying<br />
out intra-community transactions has been introduced as<br />
part of measures to combat VAT fraud, according to article<br />
27 of Decree 78/2010, converted into the law n. 122 dated<br />
July 30, 2010.<br />
Starting from May 31, 2010, according to the new article<br />
35 of Presidential Decree no. 633/1972, tax payers who<br />
wish to make intra-community transactions must be, therefore,<br />
authorized by the Italian Revenue Agency.<br />
With the above mentioned measures, Italian Revenue<br />
Agency defined criteria and procedures for inclusion of<br />
Italian VAT numbers in the archive of subject authorized<br />
to carry out intra-community transactions (VIES) and the<br />
procedures of denial and revocation of the authorization.<br />
According to the above mentioned measures, it is possible to<br />
identify the following scenarios:<br />
a) VAT tax payers who submitted the declaration of beginning<br />
of their business activity between May 31, 2010 and<br />
February 28, 20<strong>11</strong>, at this latter date will be excluded from<br />
the archive VIES, if :<br />
- they have not expressed their will to carry out intra-community<br />
transactions when the appropriate model has been<br />
filled in, and<br />
- they have not carry out in the second half of 2010 intracommunity<br />
transactions and submitted the relevant<br />
INTRASTAT forms;<br />
b) VAT tax payers who submitted the declaration of beginning<br />
of their business before May 31, 2010, at the date<br />
of February 28, 20<strong>11</strong> will be excluded from the archive if<br />
VIES:<br />
- they did not submit INTRASTAT forms in 2009 and 2010,<br />
and<br />
- they have not duly fulfilled obligations related to VAT<br />
returns relevant to 2009.<br />
VAT tax payers excluded from VIES who intend to carry out<br />
intra-community transactions are obliged to declare their<br />
will by filing an appropriate application to be submitted<br />
directly at the offices of the Italian Revenue Agency.<br />

Entro 30 giorni dalla ricezione della dichiarazione di<br />
volontà, l’Agenzia delle Entrate verifica i dati forniti ed<br />
effettua una valutazione preliminare del rischio legato<br />
al soggetto, emanando un provvedimento di diniego in<br />
caso di esito negativo delle valutazioni.<br />
Diversamente, trascorso il termine senza che l’Amministrazione<br />
abbia sollevato obiezioni il soggetto interessato<br />
è iscritto nell’archivio informatico (cosiddetto: silenzio<br />
assenso).<br />
In ogni caso, l’Agenzia delle Entrate si riserva la possibilità<br />
di effettuare controlli più approfonditi in capo al<br />
contribuente entro sei mesi dalla ricezione della dichiarazione<br />
di volontà.<br />
Resta ferma, inoltre, la possibilità per i titolari di partita<br />
IVA di comunicare la volontà di recedere dall’opzione di<br />
effettuare operazioni con Paesi UE, e, quindi, di essere<br />
esclusi dall’archivio.<br />
L’Agenzia delle Entrate non ha, al momento, fornito chiarimenti<br />
ufficiali, ma con due comunicati stampa del 26 e<br />
27 gennaio, ha precisato quanto segue:<br />
• solo i contribuenti che intendono eseguire operazioni<br />
intracomunitarie devono presentare la domanda<br />
in cui dichiarano tale volontà; la domanda può essere<br />
presentata a mano o tramite raccomandata presso qualsiasi<br />
ufficio territoriale;<br />
• i contribuenti, invece, che hanno presentato una<br />
richiesta immotivata, ossia non legata alla reale volontà<br />
o necessità di effettuare operazioni intracomunitarie,<br />
possono presentare, esclusivamente all’ufficio a cui è<br />
stata presentata la richiesta iniziale, una nuova istanza<br />
per non essere inclusi nell’elenco. Ciò anche alla luce<br />
del fatto che l’inserimento nell’archivio VIES comporta il<br />
monitoraggio specifico della posizione da parte dell’Agenzia<br />
delle Entrate.<br />
La versione finale del nuovo archivio VIES è disponibile a<br />
partire dal mese di <strong>marzo</strong>, in quanto entro la data del 28<br />
febbraio 20<strong>11</strong> l’Amministrazione finanziaria avrà proceduto<br />
all’eliminazione dei soggetti non autorizzati.<br />
Peraltro, già dal primo febbraio, sul sito dell’Agenzia<br />
delle Entrate è stato attivato un servizio che consente<br />
di consultare l’elenco delle partite IVA degli operatori<br />
che, risultando in possesso dei requisiti per essere inclusi<br />
nell’archivio dei soggetti autorizzati ad effettuare operazioni<br />
intracomunitarie, verranno inseriti automaticamente<br />
nel nuovo VIES.<br />
Gli operatori non presenti, invece, laddove abbiano già<br />
presentato l’istanza, dovranno attendere la fine del mese<br />
di febbraio per verificare il loro inserimento.<br />
Within 30 days from the receipt of the above declaration of<br />
intention, the Italian Revenue Agency verifies the provided<br />
information and makes a preliminary assessment of<br />
the risk of the subject, issuing a refusal in case of negative<br />
evaluations.<br />
At the contrary, if after the above mentioned 30 days Tax<br />
Administration has not objected in writing, the tax payers<br />
is included in the archive (so-called: silent consent).<br />
In any case, the Italian Revenue Agency is allowed to carry<br />
out more extensive checks on the taxpayer within six<br />
months by the receiving the declaration of intent.<br />
VAT tax payers are in any time allowed to communicate<br />
their intention to back the option to carry out intra-community<br />
transactions and, therefore, to be excluded from the<br />
archive.<br />
As at today Italian Revenue Agency does not currently provide<br />
official explanations, but two press releases of 26 and<br />
27 January, stated as follows:<br />
• only taxpayers who wish to perform intra-community<br />
transactions must submit the application to declare<br />
their intention to work with foreign countries; the application<br />
may be submitted either by hand or by registered post<br />
office to any territorial office;<br />
• taxpayers who presented an unjustified request,<br />
that is unrelated to the real intention or need to carry out<br />
intra-community transactions, may submit to the competent<br />
local tax office a new instance in order to be excluded<br />
by the archive. In fact, it has to be underlined that the<br />
inclusion in VIES involves the tax payers’ position will be<br />
scrutinized by Italian Revenue Agency.<br />
The final version of the new VIES is available starting from<br />
March, because by February 28, 20<strong>11</strong> the Tax Authorities<br />
will have deleted the unauthorized tax payers.<br />
Moreover, starting from February 1st, on the website of the<br />
Italian Revenue Agency has been activated a service that<br />
allows to see the list of VAT tax payers that will be automatically<br />
included in the new VIES, as they already meet the<br />
specific requirements.<br />
Operators who are not present in the VIES, having already<br />
filed in the specific request, must wait until the end of<br />
February in order to verify their inclusion.<br />

Si evidenzia, infine, che nelle Motivazioni allegate al<br />
Provvedimento n. 2010/188376 testualmente si legge:<br />
“In linea con quanto enunciato nella relazione illustrativa<br />
al d.l. n. 78 del 2010, contestualmente al ricevimento<br />
della dichiarazione di volontà (da parte dei contribuenti:<br />
n.d.r.), sarà sospesa la soggettività attiva e passiva<br />
delle operazioni intracomunitarie anche attraverso la<br />
loro esclusione dall’archivio dei soggetti autorizzati alle<br />
operazioni intracomunitarie sino al trentesimo giorno<br />
successivo alla data di attivazione all’interessato del<br />
numero di partita IVA”.<br />
In altre parole, i soggetti che presentano l’istanza per<br />
essere inclusi nel nuovo archivio VIES non possono porre<br />
in essere operazioni intracomunitarie prima che sia decorso<br />
il termine dei trenta giorni sopra richiamato.<br />
Non è chiaro se tale sospensione riguardi solo i soggetti<br />
che, per la prima volta, presentano domanda di inizio<br />
attività ovvero tutti i contribuenti che si trovino nelle<br />
condizioni di dover presentare l’istanza di inclusione<br />
nell’archivio VIES.<br />
In assenza di chiarimenti ufficiali sul punto, si ritiene<br />
che la sospensione non possa riguardare i soggetti che,<br />
essendo già titolari di partita IVA, abbiano presentato<br />
l’istanza di inclusione nell’archivio entro il 28 febbraio<br />
(sempre che, in capo ad essi, non ricorrano quelle<br />
situazioni, dettagliatamente descritte nei provvedimenti<br />
citati, dalle quali scaturirebbe il diniego o la revoca<br />
all’autorizzazione): diversamente, infatti, per tali soggetti<br />
si verificherebbe una non giustificata interruzione<br />
dell’operatività ordinaria in relazione alle operazioni<br />
intracomunitarie.<br />
Milleproroghe e i principi<br />
contabili internazionali IAS/FRS<br />

Il Decreto Milleproroghe (D.L. n. 225/2010 convertito in<br />
Legge n. 10/20<strong>11</strong>), entrato in vigore il 27 febbraio 2010,<br />
ha apportato, tra le altre, alcune modifiche in relazione<br />
all’adozione dei principi contabili internazionali nella<br />
redazione del bilancio d’esercizio.<br />
In particolare, sono stati aggiunti, all’articolo 4 Decreto<br />
Legislativo 28 febbraio 2005 n. 38 (“Decreto IAS”), i<br />
commi da 7bis a 7quater che introducono un coordinamento<br />
tra gli standard internazionali e la disciplina civilistica<br />
e fiscale. Di conseguenza, diversamente da quanto<br />
stabilito in prima applicazione del D.Lgs. n. 38/2005,<br />
l’entrata in vigore di nuovi principi contabili internazionali<br />
o modifiche ai precedenti non sarà più né immediata<br />
né automatica.<br />
It should be noted, finally, that in the report attached to the<br />
above mentioned measure No. 2010/188376 is expressly<br />
stated: “In line with the declaration contained in the explanatory<br />
report on the DL 78, 2010, together with the receipt<br />
of the declaration of intention (by the taxpayers), will be<br />
suspended the passive and active subjectivity for intra-community<br />
transactions even through their exclusion from the<br />
archive of the authorized parties to carry out intra-community<br />
transactions until the thirtieth day following the date<br />
in which the VAT number has been attributed.”<br />
In other words, tax payers who require to be included in<br />
the new archive VIES are not allowed to carry out intracommunity<br />
transactions before the period of thirty days<br />
referred to above is expired.<br />
It is not clear whether such suspension relates only to persons<br />
who, for the first time, submit the request of the VAT<br />
number or to all taxpayers who are requested to submit the<br />
request for the inclusion in the new archive VIES.<br />
In absence of official clarifications on the point, we believe<br />
that this suspension does not apply to tax payers who,<br />
having already registered for VAT purposes, have submitted<br />
the request for the inclusion in the archive before February<br />
28 (under the condition that they met all the requirements<br />
described in detail in the above mentioned measure,<br />
in absence of which authorization should be refused or<br />
revoked): if this should the case, in fact, for these operators<br />
the ordinary activity as far the intra-community transactions<br />
are concerned would be interrupted without justified<br />
reasons.<br />
The “Milleproroghe” bill and the<br />
international accounting<br />
principle IAS/IFRS<br />

The Law Decree n. 225/2010 (so-called Decreto Milleproroghe)<br />
converted into the Law n. 10/20<strong>11</strong> and in force<br />
from February 27, 2010, introduced relevant amendments<br />
concerning the international accounting principle adoption<br />
for the drawing up of the financial statements.<br />
Specifically, such law decree added paragraphs numbered<br />
from 7bis to 7quater to the Article 4, Legislative Decree<br />
n. 38 of February 28, 2005 (Decreto “IAS”), providing<br />
for a co-ordination between the international standards<br />
and the Italian civil and tax rules. Consequently and<br />
differently from the rules initially set by Legislative Decree<br />
n. 38/2005, the enforcement of new international<br />
accounting principle (or the amendments to the existing<br />
international accounting principles) is no be immediate or<br />
automatic.<br />

In base alla nuova normativa, l’applicazione dei principi<br />
contabili internazioni nella redazione del bilancio,<br />
adottati con Regolamenti UE entrati in vigore successivamente<br />
al 31 dicembre 2010, non sarà più immediata in<br />
quanto è stata prevista la possibilità per il Ministro della<br />
Giustizia, di concerto con il Ministro dell’Economia e<br />
delle Finanze, acquisito il parere dell’Organismo Italiano<br />
di Contabilità e sentiti la Banca d’Italia, la CONSOB e<br />
l’ISVAP, di emanare un decreto in cui verranno stabilite<br />
eventuali disposizioni applicative volte a realizzare,<br />
ove compatibile, il coordinamento tra tali principi e la<br />
disciplina di cui al titolo V, libro V, Codice Civile (“Delle<br />
Società”), con particolare riguardo alla funzione del<br />
bilancio di esercizio.<br />
Il decreto in questione dovrà essere emanato entro 90<br />
giorni dalla data di entrata in vigore dei Regolamenti<br />
UE: dal testo letterale della norma, sembrerebbe che, in<br />
caso di mancata emanazione entro 90 giorni del decreto,<br />
i nuovi principi contabili internazionali saranno direttamente<br />
applicabili. La nuova disposizione riguarda solo<br />
i bilanci di esercizio e non i bilanci consolidati: questo<br />
potrebbe, quindi, aprire un “doppio binario” tra i due<br />
bilanci con probabili maggiori oneri gestionali.<br />
La norma prevede anche la possibilità per il Ministro<br />
dell’Economia e delle Finanze, nei casi in cui lo ritenga<br />
necessario, di emanare un decreto che riporta eventuali<br />
disposizioni di coordinamento per la determinazione<br />
della base imponibile IRES ed IRAP. Tale decreto dovrà<br />
essere emanato entro il termine di sessanta giorni dalla<br />
data di entrata in vigore del decreto del Ministro della<br />
Giustizia indicato in precedenza o, in sua mancanzaa,<br />
entro centocinquanta giorni dalla data di entrata in vigore<br />
del Regolamento UE.<br />
Per quanto riguarda, invece, i principi contabili internazionali<br />
adottati con Regolamento UE entrati in vigore nel<br />
periodo compreso tra l’1 gennaio 2009 e il 31 dicembre<br />
2010, le disposizioni di coordinamento possono essere<br />
emanate dal Ministro dell’Economia e delle Finanze<br />
entro il 31 maggio 20<strong>11</strong>.<br />
Le nuove norme sembrerebbero applicabili alle società<br />
quotate che adottano i principi contabili internazionali,<br />
mentre per le banche e le assicurazioni l’effetto dovrebbe<br />
essere limitato. Infatti, le disposizioni che riguardano<br />
gli articoli del Codice Civile in materia di redazione del<br />
bilancio non sono applicabili a queste realtà, in quanto<br />
soggette all’articolo 9 del D.Lgs. n. 38/2005 che conferisce<br />
specifici poteri a Banca d’Italia e Isvap.<br />
Ciò significa che le banche e le assicurazioni dovranno,<br />
pertanto, continuare ad attenersi alle indicazioni dei rispettivi<br />
organismi regolamentari in materia di redazione<br />
del bilancio di esercizio e consolidato.<br />
Based on the new rules, the adoption of international<br />
accounting principles (established by UE Regulations in<br />
force after December 31, 2010) for the drawing up of the<br />
balance sheet, is no longer immediate nor automatic, due<br />
to a new introduced procedure. In particular, acquired the<br />
Italian Accounting Organism (Organismo Italiano di Contabilità)<br />
and sought the Bank of Italy, the CONSOB and<br />
the ISVAP, the Ministry of Justice, jointly to the Ministry<br />
of Economy and Finance can issue a decree containing the<br />
provisions aiming to coordinate, if possible, the international<br />
accounting principle with the provisions set by the Title<br />
V, Chapter V (titled “Delle società”) of Italian Civil Code,<br />
ruling the balance sheet drawing up.<br />
Such decree should be issued within 90 days from the<br />
effective date of the UE Regulations. From a literal analysis<br />
of the new rule, it would appear that in case of no issuing of<br />
the decree by the Ministry of Justice, the new international<br />
accounting principles will be automatically effective.<br />
This new provision applies only to the individual statutory<br />
financial statements with the exception of the consolidated<br />
financial statements. It should be remarked that from such<br />
exclusion a “double track” between the two balances could<br />
raise, involving higher managerial burdens.<br />
Pursuant to the new rule the Ministry of Economy and<br />
Finance is also entitled to issue, where necessary, a decree<br />
containing coordination provision to determine the taxable<br />
basis for IRES and IRAP purposes. In this case, the decree<br />
should be issued within 60 days from the effective date of<br />
the Ministry of Justice decree previously mentioned or, in<br />
its absence, within 150 days from the effective date of UE<br />
Regulation.<br />
With reference to the international accounting principles,<br />
established by UE Regulation come into force during<br />
the period January 1, 2009 and December 31, 2010, the<br />
coordination provisions could be issued by the Ministry of<br />
Economy and Finance within the date of May 31, 20<strong>11</strong>.<br />
It would appear that the new provisions apply to the listed<br />
company adopting international accounting principles; on<br />
the contrary, the effect for banks and insurance companies<br />
should be limited. Specifically, the provisions concerning<br />
the drawing up of the balance statement contained in the<br />
Italian Civil Code Articles do not apply to such entities.<br />
In fact, Article 9 of Legislative Decree n. 38/2005 grants<br />
specific powers to the Bank of Italy and Isvap. This means<br />
that the banks and the insurance companies should respect<br />
the guidelines issued by the competent organism of control<br />
in drawing up their balance statement.<br />

Milleproroghe e le imposte anticipate<br />
nel bilancio delle banche e<br />
degli enti finanziari<br />

Il cosiddetto decreto “Milleproroghe” (D.L. n. 225/2010<br />
convertito con la Legge n. 10/20<strong>11</strong>) ha introdotto alcune<br />
novità di carattere fiscale per le banche e gli enti finanziari.<br />
In particolare, il comma 55 e seguenti, articolo 2,<br />
prevedono che, nel caso in cui nel bilancio individuale<br />
emerga una perdita d’esercizio, le attività per imposte<br />
anticipate iscritte in bilancio, relative a svalutazioni di<br />
crediti non ancora dedotte dal reddito imponibile ai sensi<br />
del comma 3, articolo 106, TUIR, e quelle relative al<br />
valore dell’avviamento e delle altre attività immateriali,<br />
i cui componenti negativi sono deducibili in più periodi<br />
d’imposta ai fini delle imposte sui redditi, si trasformino<br />
in crediti d’imposta.<br />
La conversione decorre dalla data di approvazione del<br />
bilancio da parte dell’assemblea dei soci ed opera per<br />
un importo pari al prodotto tra la perdita d’esercizio e<br />
il rapporto tra le attività per imposte anticipate di cui al<br />
comma 55 e la somma del capitale sociale e delle riserve<br />
(sulla base dei dati emergenti dal bilancio approvato).<br />
“Perdita d’esercizio x[ Attività per imposte anticipate<br />
comma 55 /(Capitale Sociale + Riserve)] = Attività<br />
fiscali (comma 55) soggette a trasformazione” .<br />
Il credito così calcolato deve trovare indicazione nella<br />
dichiarazione dei redditi e non concorre alla formazione<br />
del reddito né ai fini Ires o Irap. La norma ha, infine,<br />
stabilito che il credito può essere ceduto o utilizzato in<br />
compensazione, ma mai chiesto a rimborso e non è produttivo<br />
di interessi.<br />
Dal periodo di imposta in corso alla data di approvazione<br />
del bilancio, non sono deducibili i componenti negativi<br />
corrispondenti alle attività per imposte anticipate trasformate<br />
in credito di imposta.<br />
L’ambito soggettivo della norma sembra estendersi, per<br />
quanto riguarda le imposte anticipate su svalutazione<br />
crediti, ai soggetti di cui all’articolo 1, D.Lgs. n. 87/92, in<br />
quanto richiamato dall’articolo 106, comma 3, TUIR.<br />
Con riferimento, invece, alle imposte anticipate su<br />
avviamenti e altre attività immateriali, pur richiamando<br />
la norma il nuovo accordo di Basilea rilevante per<br />
le banche e gli enti finanziari, la nuova disposizione<br />
sembrerebbe letteralmente applicabile anche ad altri<br />
soggetti IRES (sebbene il punto meriterebbe comunque<br />
un chiarimento).<br />
The “Milleproroghe” Bill:<br />
conversion of deferred tax assets<br />
for banks and financial companies<br />
(Alessandro Catona)<br />
The Law Decree 225/2010 (so-called “Milleproroghe”, converted<br />
into Law No. 10/20<strong>11</strong>) introduced some new provisions<br />
regarding banks and financial institutions taxation.<br />
In particular, paragraph 55 and following of Article 2<br />
provides that, where a loss arises in the individual financial<br />
statements, the deferred tax assets recorded, related to<br />
write-downs of receivables not yet deducted from taxable<br />
income pursuant to paragraph 3, Article 106, Income Tax<br />
Code, and those related to goodwill and other intangible<br />
assets, the negative components of which are deductible in<br />
several periods, will turn into tax credits.<br />
The conversion starts from the date of approval of the balance<br />
statement by the shareholders’ meeting and operates<br />
in an amount equal to the product of the loss for the year<br />
and the ratio of deferred tax assets as per paragraph 55<br />
and the sum of the share capital and reserves (based on<br />
data emerging from the approved balance sheet).<br />
Tax loss×[Deferred tax assets paragraph 55/(Share<br />
Capital+Reserves )]=Tax assets (paragraph 55) to be<br />
converted.<br />
The credit so computed shall be indicated in the income<br />
tax return and shall not be included in the taxable base<br />
for IRES and IRAP purposes. The provision states that the<br />
credit can be transferred or used in compensation for other<br />
taxes payment, but never asked for refund and is not interest<br />
productive.<br />
From the tax period in progress at the date of approval<br />
of the budget, negative components corresponding to the<br />
deferred tax assets converted into tax credits are no longer<br />
deductible for tax purposes.<br />
The provision shall be applicable, with respect to deferred<br />
tax assets on bad debts, to companies included in Article<br />
1, Legislative Decree no. 87/92, as reported in Article 106,<br />
paragraph 3, Income Tax Code.<br />
With reference to the deferred tax assets on goodwill and<br />
other intangible assets, although reference is made to the<br />
new Basel Accord for banks, the new provision would seem<br />
literally applicable also to other entities subject to IRES (the<br />
point, however, has to be clarified).<br />

Rimane dubbia l’applicabilità della norma alle stabili<br />
organizzazione italiane di banche estere: infatti, il dispositivo<br />
normativo prevede che (i) la perdita sia rilevata in<br />
un bilancio individuale, (ii) la trasformazione avviene<br />
al momento dell’approvazione da parte dell’assemblea<br />
dei soci e (iii) il rapporto di trasformazione abbia come<br />
denominatore il capitale sociale e le riserve. In effetti,<br />
queste condizioni non appaiono soddisfatte nel caso di<br />
stabile organizzazione italiana che non approvano alcun<br />
bilancio per l’attività svolta in Italia: tuttavia, l’eventuale<br />
esclusione comporterebbe un’indubbia discriminazione<br />
di questi soggetti nei confronti degli operatori italiani e<br />
rappresenterebbe una limitazione delle regole di libero<br />
stabilimento imposte dall’Unione Europea.<br />
Per quanto attiene l’ambito oggettivo, come già anticipato,<br />
la norma fa riferimento alle imposte anticipate iscritte<br />
in bilancio a fronte:<br />
(i) dell’importo delle svalutazioni dei crediti eccedenti<br />
i limiti fiscali annuali, oggi pari allo 0,3% dei crediti<br />
iscritti in bilancio, deducibile in quote costanti nei successivi<br />
diciotto anni. La voce ha assunto nei bilanci delle<br />
banche e degli enti finanziari un peso significativo anche<br />
alla luce delle ultime restrizioni dei limiti di deducibilità,<br />
rappresentando una particolarità della realtà fiscale<br />
italiana, molto discussa e criticata nel settore;<br />
(ii) di avviamenti e altre attività immateriali. Si dovrebbe<br />
fare riferimento principalmente a due fattispecie:<br />
imposte anticipate su svalutazioni relative ad attività<br />
fiscalmente riconosciute, non dedotte perché eccedenti<br />
i limiti consentiti (casistica minoritaria) oppure imposte<br />
anticipate iscritte a fronte di affrancamenti di avviamenti<br />
non fiscalmente riconosciuti.<br />
In questo secondo caso, ci si riferisce alle previsioni di<br />
cui all’articolo 15, comma 10 e <strong>11</strong>, D.L. n. 185/2008, che<br />
ha introdotto una disciplina speciale in tema di riallineamento<br />
dei valori in caso di operazioni straordinarie,<br />
consentendo di assoggettare ad imposta sostitutiva del<br />
16% i maggiori valori non fiscalmente rilevanti attribuiti<br />
all’avviamento, ai marchi ed alle altre attività immateriali.<br />
Il principale beneficio connesso all’applicazione di<br />
questa disciplina consiste nella possibilità di dedurre (a<br />
prescindere dalla previa imputazione al conto economico),<br />
l’ammortamento dei marchi e dell’avviamento<br />
in tempi più rapidi rispetto alle norme del TUIR: infatti,<br />
è consentita la deduzione dell’ammortamento di tali<br />
beni in misura pari ad un nono, anziché un diciottesimo,<br />
come ordinariamente previsto (in tal senso, come si<br />
vedrà nel prosieguo, a copertura finanziaria della norma<br />
si è stabilito un allungamento a dieci anni del periodo di<br />
ammortamento fiscale degli attivi affrancati). Il trattamento<br />
contabile, per i soggetti IAS/IFRS adopter, è stato<br />
espressamente regolato mediante il documento OIC n. 1<br />
del 2009, che prevede tre differenti modelli di contabilizzazione<br />
degli effetti scaturenti dalla decisione di affrancare<br />
l’avviamento.<br />
Applicability of the rule under the Italian permanent<br />
establishment of foreign banks is doubtful: in fact, the new<br />
provision states that (i) the loss has to be recorded in the<br />
individual financial statements, (ii) the conversion takes<br />
place upon the approval by the shareholders’ meeting and<br />
(iii) the denominator of the conversion ratio corresponds<br />
to the capital and reserves. In fact, these conditions do not<br />
appear to be met in the case of Italian permanent establishments<br />
as such entities do not approve any balance sheet<br />
for the activities carried out in Italy: however, the possible<br />
exclusion of these subjects would lead to a discrimination<br />
against Italian entities and represents a limitation of the<br />
establishment right set forth by the European Union.<br />
With regard to the scope of the provision, as previously<br />
stated, the law decree makes reference to deferred tax assets<br />
recognized in the financial statements in relation to:<br />
(i) write-downs of receivables exceeding the annual tax<br />
limits (now 0.3% of loans booked), deductible in equal<br />
installments over the next eighteen years. This type of<br />
deferred tax asset has gained significant importance on the<br />
balance sheets of banks and financial institutions in light<br />
of recent restrictions on the deductibility, representing a<br />
peculiarity of the Italian fiscal system;<br />
(ii) goodwill and other intangible assets. Reference should<br />
be made mainly to two situations: deferred tax assets<br />
posted as a consequence of write-downs of assets recognized<br />
for tax purposes, but not deducted for exceeding the allowed<br />
limits (minority cases) or deferred tax assets recognized<br />
in respect of realignment of goodwill not recognized for<br />
tax purposes.<br />
In the latter case, we refer to the provisions of article 15,<br />
paragraph 10 and <strong>11</strong>, Law Decree No 185/2008, which<br />
introduced a special framework in terms of realignment<br />
of values in case of business combinations, through the<br />
payment of a substitute tax equal to 16% of the higher<br />
values attributed to goodwill, trademarks and other intangible<br />
assets.<br />
The main benefit associated with the implementation of<br />
this provision is the ability to deduct the depreciation of<br />
trademarks and goodwill more quickly than the ordinary<br />
rules: in fact, the depreciation of such assets is allowed in<br />
an amount equal to one-ninth, rather than one-eighteenth,<br />
as normally expected.<br />
The accounting treatment of such realignment for IAS/<br />
IFRS adopters was expressly regulated by the OIC Document<br />
n. 1 of 2009, which provides three different accounting<br />
models.<br />

Tuttavia, l’approccio ordinariamente adottato dalle<br />
banche ed altri enti finanziari è stato quello di rilevare<br />
immediatamente a conto economico tanto l’importo<br />
dell’imposta sostitutiva pagata per l’affrancamento,<br />
quanto le imposte differite attive rappresentative del<br />
beneficio fiscale futuro connesso alla deduzione degli<br />
attivi affrancati (quindi con significativi utili a conto<br />
economico).<br />
Il meccanismo della norma poc’anzi riportato, sostanzialmente,<br />
permette:<br />
a) da un lato, di trasformare un importo di attività per<br />
imposte anticipate pari al rapporto esistente tra la perdita<br />
di esercizio e il patrimonio netto della società: quindi,<br />
nel caso limite di perdita pari o superiore al patrimoni<br />
netto della società, l’intero importo della imposte anticipate<br />
potrebbe essere trasformato in crediti di imposta;<br />
b) dall’altro lato, rende indeducibili i componenti negativi<br />
di reddito corrispondenti alle imposte anticipate<br />
trasformate.<br />
Questo secondo aspetto presenta alcuni dubbi applicativi<br />
che dovranno essere chiariti: ad esempio, nel caso di<br />
imposte anticipate su svalutazioni crediti deducibili in diciottesimi,<br />
non si comprende se gli stessi dovranno essere<br />
ridotti proporzionalmente e dedotti nel medesimo arco<br />
temporale oppure mantenuti nell’importo originario,<br />
limitando la deduzione fino a concorrenza delle prime<br />
quote o in coda alle ultime. Lo stesso dubbio è estendibile<br />
anche alla deduzione in quote dell’avviamento.<br />
Sulla base del testo letterale della norma, il meccanismo<br />
non appare facoltativo, bensì obbligatorio: il punto, in<br />
effetti, dovrebbe essere approfondito perché potrebbe<br />
comportare significativi oneri di gestione a carico della<br />
società a fronte di benefici limitati nel caso di perdite di<br />
importo modesto.<br />
Un ulteriore dubbio applicativo si pone in merito alla<br />
possibilità di cedere il credito derivante dalla trasformazione<br />
di attività fiscali differite. Tale cessione, infatti,<br />
sembrerebbe possibile esclusivamente per il tramite della<br />
procedura di cui all’articolo 43ter, DPR n. 602/1973,<br />
vale a dire la cessione nell’ambito del gruppo. Ciò in<br />
quanto la cessione del credito a terzi, disciplinata dall’articolo<br />
43bis citato, prevede che possano formare oggetto<br />
di cessione i “crediti chiesti a rimborso nella dichiarazione<br />
dei redditi”, mentre il credito in esame, come già<br />
detto, non è suscettibile di richiesta a rimborso.<br />
Come anticipato, a copertura finanziaria del beneficio, il<br />
comma 59, articolo 2 del decreto Milleproroghe, ha previsto<br />
che la deduzione del valore dell’avviamento e delle<br />
altre attività materiali non si debba più effettuare “in<br />
misura non superiore ad un nono” per ciascun esercizio,<br />
ma “in misura non superiore ad un decimo”.<br />
The approach usually adopted by banks and other financial<br />
institutions has been to recognize immediately in profit<br />
or loss account the amount paid for the substitute tax and<br />
an amount of deferred tax assets representing future tax<br />
benefit related to the deduction of assets realigned.<br />
The mechanism introduced by the new provision, substantially,<br />
allows:<br />
(a) on the one hand, to convert an amount of deferred tax<br />
assets equal to the ratio between the operating loss and net<br />
assets of the company: therefore, in extreme case of loss<br />
equal or higher than the company’s equity, the full amount<br />
of deferred tax assets could be converted into tax credits;<br />
(b) on the other hand, makes non-deductible negative components<br />
corresponding to the deferred tax assets converted.<br />
Some doubts connected to this second point have to be<br />
clarified: for example, in case of deferred tax assets on bad<br />
debts deductible in eighteenth installments, it is not clear<br />
whether such installments should be reduced proportionally<br />
and deducted in the same period or kept within the<br />
original amount, limiting the deduction up to the first or<br />
last installments. The same question can be extended also<br />
to the deduction of goodwill.<br />
Based on a literal analysis of the rule, the mechanism seems<br />
to be not optional but mandatory; as a matter of fact, such<br />
issue should be investigated as it could lead to significant<br />
operating costs borne by company against limited benefit in<br />
the case of loss of a modest amount.<br />
A further issue is related to the possibility to sell the claim<br />
arising from the conversion of deferred tax assets. This<br />
transaction, in fact, would seem possible only through the<br />
procedure of Article 43b, DPR 602/1973, namely the transfer<br />
within the group. This is because the supply of credit to<br />
third parties, subject to mentioned Article 43bis, provides<br />
for that only “loans claimed for refund in the tax return,”<br />
may be sold to third parties and, in this respect, the tax<br />
credit in question cannot be requested for a refund.<br />
In order to collect funds to cover the financial benefit,<br />
paragraph 59, article 2 of Decree “Milleproroghe”, introduces<br />
a change in the period (from nine years to ten years) in<br />
which the deduction of goodwill and other tangible assets<br />
(realigned pursuant art. 15 Legislative Decree n. 185/08)<br />
is allowed.<br />

Le modifiche normative si applicano a decorrere dal<br />
periodo d’imposta in corso alla data di entrata in vigore<br />
della legge di conversione del decreto Milleproroghe e<br />
rilevano ai fini del versamento dell’acconto delle imposte<br />
sui redditi: quindi, anche i soggetti non interessati dalla<br />
norma, potrebbero essere tenuti a rideterminare l’acconto<br />
se presentano avviamenti affrancati ai sensi dell’articolo<br />
15, D.L. n. 185/08, dedotti nel corso del 2010 per un<br />
importo pari ad un nono del loro ammontare.<br />
Con decreto di natura non regolamentare il Ministro<br />
dell’Economia e delle Finanze, sentita Banca d’Italia,<br />
possono essere stabilite modalità di attuazione della<br />
presente norma.<br />
Infine, si evidenzia che la trasformazione di attività fiscali<br />
in crediti tributari è stata introdotta in funzione della<br />
prossima entrata in vigore del nuovo accordo di Basilea<br />
3. L’obiettivo della norma, quindi, più che essere riferito<br />
ad un’incentivazione fiscale, sembra piuttosto quello di<br />
favorire la patrimonializzazione delle banche italiane.<br />
Infatti, come evidenziato dalla stampa specializzata, tale<br />
beneficio dovrebbe riguardare anche le banche che presentano<br />
utili civilistici, poiché la clausola di trasformazione<br />
della imposta anticipata in credito di imposta permetterebbe<br />
di limitare gli impatti negativi delle attività<br />
fiscali differite sul capitale core tier 1 (o common equity)<br />
anche in conformità ai nuovi principi di Basilea 3.<br />
The new provisions will apply from the tax period in<br />
progress at the date of entry into force of the law of conversion<br />
of the decree Milleproroghe: please note that also<br />
entities not affected by the new rules may in be required to<br />
re-determine the amount prepayments for FY 20<strong>11</strong> in case<br />
a goodwill realigned pursuant to article 15, Legislative Decree<br />
n. 185/08, has been deducted in 2010 for an amount<br />
equal to one-ninth of their amount.<br />
By decree of non-regulatory, the Minister of Economy and<br />
Finance, in consultation with the Bank of Italy, may establish<br />
implementation rules.<br />
Finally, it should be note that the conversion of tax assets in<br />
tax credits was introduced in the light of the forthcoming<br />
entry into force of the new Basel Accord 3. The purpose of<br />
the rule, rather than tax incentives, it seems more related<br />
to promote the capitalization of Italian banks. In fact, as<br />
reported in specialized press, this benefit should also be<br />
granted to banks in profits, since the clause converting deferred<br />
tax assets in the tax credit would reduce the negative<br />
impacts of deferred tax assets on core tier 1 capital (common<br />
or equity) in compliance with the new Basel 3.<br />
