4. {Name of the software/ product manufacturer} warrants that Nepal Telecom’s use of the
Licensed Products will not constitute an infringement of a patent, design right, copyright or any
other proprietary rights of any person. {Name of the software/ product manufacturer} indemnifies
Nepal Telecom and will save and hold Nepal Telecom harmless from and against all loss,
damage, costs and expenses (including legal expenses) and liabilities of every kind whatsoever
arising out of or in connection with any such claims, suit or proceedings.
5. This License shall be construed in accordance with and governed by the law of Nepal. Each party
irrevocably agrees to submit to the exclusive jurisdiction of the Courts of Nepal in respect of any
dispute, suit, action or proceedings which may arise out of or in connection with this License.
