ETHICS VIOLATIONS, <strong>REPORT</strong>ING<br />

AND INVESTIGATIONS<br />

Any effective governance and ethics<br />

program must have a mechan<strong>is</strong>m to<br />

ensure ethical codes are enforced.<br />

Employees at all levels at Cumm<strong>in</strong>s are<br />

frequently rem<strong>in</strong>ded that they have an<br />

obligation to <strong>report</strong> suspected violations<br />

of Cumm<strong>in</strong>s’ Code of Bus<strong>in</strong>ess Conduct.<br />

Investigators who respond to <strong>report</strong>s<br />

timely manner. <strong>The</strong> Company has Master<br />

Investigators <strong>in</strong> most regions of the world.<br />

In 2011, Cumm<strong>in</strong>s <strong>in</strong>vestigated 1,076 code<br />

of conduct-related compla<strong>in</strong>ts compared to<br />

814 <strong>in</strong> 2010. Forty-seven percent of those<br />

compla<strong>in</strong>ts came from outside the United<br />

States, and 24 percent of all compla<strong>in</strong>ts<br />

were <strong>report</strong>ed anonymously.<br />

Of those cases <strong>in</strong>vestigated <strong>in</strong> 2011,<br />

53 percent were substantiated and<br />

38 percent of those substantiated<br />

cases resulted <strong>in</strong> employee term<strong>in</strong>ations.<br />

Reports of unprofessional behavior and<br />

those grouped <strong>in</strong>to the category of<br />

Human Relations accounted for the<br />

most Code of Bus<strong>in</strong>ess Conduct cases.<br />

Each year, employees certify their<br />

compliance with the Company’s Code<br />

of Bus<strong>in</strong>ess Conduct and underly<strong>in</strong>g<br />

policies and <strong>report</strong> any exceptions to<br />

Cumm<strong>in</strong>s policy.<br />

In 2011, 17,909 employees and officers –<br />

up from 15,266 <strong>in</strong> 2010 – completed<br />

their annual Ethics Certification <strong>in</strong>clud<strong>in</strong>g<br />

all members of the Board of Directors.<br />

Internal Audit and Cumm<strong>in</strong>s Law<br />

Department reviewed all exceptions<br />

to ensure they were documented and<br />

<strong>in</strong>vestigated, accord<strong>in</strong>g to Company policy.<br />

SUPPLIER CODE OF CONDUCT<br />

Cumm<strong>in</strong>s holds suppliers to a higher<br />

standard than just compliance with local<br />

laws. That’s why the Company’s Supplier<br />

Code of Conduct has been translated<br />

<strong>in</strong>to more than a dozen languages.<br />

<strong>The</strong> code <strong>in</strong>cludes prov<strong>is</strong>ions bann<strong>in</strong>g<br />

child or forced labor, respect<strong>in</strong>g employee<br />

rights and provid<strong>in</strong>g a safe workplace<br />

partners and jo<strong>in</strong>t venture agreements,<br />

Cumm<strong>in</strong>s can <strong>in</strong>crease market penetration<br />

around the world, streaml<strong>in</strong>e supply cha<strong>in</strong><br />

management, expand product l<strong>in</strong>es and<br />

develop new technologies.<br />

<strong>The</strong> Company takes appropriate steps to<br />

ensure these bus<strong>in</strong>ess relationships share<br />

Cumm<strong>in</strong>s values regardless of whether<br />

the Company directly manages these<br />

alliances and jo<strong>in</strong>t ventures. Cumm<strong>in</strong>s<br />

screens potential partners carefully and<br />

only <strong>in</strong>itiates a jo<strong>in</strong>t venture with partners<br />

whom Company leaders know and trust.<br />

are part of jo<strong>in</strong>t venture agreements and<br />

operations by mak<strong>in</strong>g values important to<br />

at 1-800-671-9600). All <strong>report</strong>s are<br />

<strong>in</strong>vestigated and violations at any level<br />

of the Company are acted on swiftly<br />

and appropriately.<br />

<strong>The</strong> Company also ensures that no<br />

one’s career can be negatively affected<br />

by <strong>report</strong><strong>in</strong>g suspected code violations<br />

cases <strong>in</strong> 2011, down from 15 days <strong>in</strong> 2010.<br />

Cumm<strong>in</strong>s’ senior leaders closely<br />

monitor <strong>report</strong>ed violations and approve<br />

corrective actions. Each quarter, bus<strong>in</strong>ess<br />

unit leaders receive an update on <strong>report</strong>s<br />

<strong>in</strong> their region or bus<strong>in</strong>ess. Chairman and<br />

and an annual update <strong>is</strong> reviewed by the<br />

Audit Committee of the Cumm<strong>in</strong>s<br />
