I<strong>de</strong>ntification of related parties<br />

The subsidiaries inclu<strong>de</strong>d in note 3.1 of <strong>the</strong> company financial statements <strong>and</strong> above mentioned sharehol<strong>de</strong>rs are<br />

consi<strong>de</strong>red to be related parties. O<strong>the</strong>r i<strong>de</strong>ntified related parties are: Okil Holding GmbH, <strong>Refresco</strong> KG, Menken<br />

Dairy Foods B.V., <strong>and</strong> members of management who are sharehol<strong>de</strong>rs of <strong>the</strong> Group. The transactions with <strong>the</strong>se<br />

related parties relate primarily to <strong>the</strong> shareholding <strong>and</strong> <strong>de</strong>bt financing of <strong>the</strong> Group.<br />

Personnel compensation <strong>and</strong> transactions with Executive <strong>and</strong> Supervisory Board Members<br />

Executive Board personnel compensation<br />

In addition to <strong>the</strong>ir salaries, <strong>the</strong> Group also provi<strong>de</strong>s non­cash benefits to members of <strong>the</strong> Executive Board <strong>and</strong><br />

contributes to a post­employment <strong>de</strong>fined benefit plan on <strong>the</strong>ir behalf. In accordance with <strong>the</strong> terms of <strong>the</strong> plan,<br />

members of <strong>the</strong> Executive Board retire at age 65.<br />

Compensation of <strong>the</strong> Executive Board members comprised <strong>the</strong> following:<br />

Transactions with key management <strong>and</strong> directors<br />

The Executive Board members of <strong>the</strong> Group held (ei<strong>the</strong>r directly or indirectly) 5.6% of <strong>the</strong> Company’s ordinary<br />

shares. None of <strong>the</strong> current members of <strong>the</strong> Supervisory Board held any shares of <strong>the</strong> company.
