Notice of Annual General MeetingNOTICE IS HEREBY GIVEN THAT the Thirty-Eighth Annual General Meeting of the Company will be held at Putrajaya Ballroom I (LevelIII), Putrajaya Marriott Hotel, IOI Resort, 62502 Putrajaya, Malaysia on Monday, 29 October 2007 at 10.30 a.m. for the followingpurposes:Agenda1. To receive and adopt the Audited Financial Statements for the financial year ended 30 June 2007 and the Reports of the Directorsand Auditors thereon.2. To re-elect the following Directors retiring by rotation pursuant to Article 101 of the Company’s Articles of Association:a. Tan Sri Dato’ Lee Shin Chengb. Dato’ Lee Yeow Chor3. To consider and if thought fit, to pass the following as an Ordinary Resolution:“THAT Mr Chan Fong Ann, a Director who retires pursuant to Section 129(2) of the Companies Act, 1965 be and is hereby reappointeda Director of the Company and to hold office until the conclusion of the next Annual General Meeting.”4. To consider and if thought fit, to pass the following as an Ordinary Resolution:“THAT the increase in the payment of Directors’ fees to RM410,000/-, to be divided among the Directors in such manner as theDirectors may determine, be and is hereby approved.”5. To re-appoint BDO Binder, the retiring auditors and to authorise the Directors to fix their remuneration.6. As special business, to consider and if thought fit, to pass the following Ordinary Resolutions:6.1 Authority to Directors to allot and issue shares pursuant to Section 132D of the Companies Act, 1965“THAT pursuant to Section 132D of the Companies Act, 1965, the Directors be and are hereby authorised with full powersto allot and issue shares in the Company from time to time and upon such terms and conditions and for such purposes asthey may deem fit subject always to the approval of the relevant authorities being obtained for such issue and provided thatthe aggregate number of shares to be issued pursuant to this resolution does not exceed ten percent (10%) of the issuedshare capital for the time being of the Company and that such authority shall continue in force until the conclusion of the nextAnnual General Meeting of the Company and that the Directors be and are also empowered to obtain the approval fromBursa Malaysia Securities Berhad (“Bursa Securities”) for the listing of and quotation for the additional shares so issued.”IOI Corporation BerhadANNUAL REPORT 2007 270
