Board reports are circulated prior to the Board meetings to enablethe Directors to obtain further information and explanation, where necessary, before the meetings.The Board reports provide, amongst others, periodical financial and corporate information, significant operational, financial andcorporate issues, performance of the various business units and management proposals that require Board’s approval.Detailed periodic briefings on industry outlook, company performance and forward previews (forecasts) are also conducted for thedirectors to ensure the Board is well informed of the latest market and industry trend and development.The Board has the services of two Company Secretaries who are responsible to the Board for ensuring that all Board procedures arefollowed and that applicable laws and regulations are complied with. These include obligations on Directors relating to disclosure ofinterests and disclosure of any conflict of interests in transactions with the <strong>Group</strong>. The Company Secretaries are also charged withhighlighting all issues which they feel ought to be brought to the Board’s attention.
