3. Negotiations will be held at the address indicated in the Data Sheet. The aim is to reachagreement on all points and to sign the contract as proposed in Draft version along with thisdocument.4. Having selected the firm on the basis of, among other things, evaluation of proposed keyprofessional staff, the Client expects to negotiate a contract on the basis of the expertsnamed in the Proposal. Before contract negotiations, the Client will require assurances thatthe experts will be actually available. The Client will not consider substitutions duringcontract negotiations unless both parties agree that undue delay in the selection processmakes such substitution unavoidable or that such changes are critical to meet the objectivesof the assignment. If this is not the case and if it is established that key staff, were offered inthe proposals without confirming their availability, the firm may be disqualified.5. The negotiations will conclude with a review of the draft form of the contract. To completenegotiations the Client and the firm will sign the agreed contract. If negotiations fail, theClient will invite the firm that received the second highest score to contract negotiations.2.10 AWARD OF CONTRACT1. The contract will be awarded after negotiations. After the negotiations are complete, theClient will promptly notify other bidders on the shortlist that they were unsuccessful and returntheir Financial Proposals2. The assignment is expected to commence at Panchkula, India and will take in its sweep theentire state of Haryana. The execution of the assignment will take place both at Panchkulaand at other locations outside Panchkula and may involve meetings, seminars etc. across theState.
