After <strong>the</strong> Stall<br />
holders <strong>to</strong> specifically demand takedown may seem like an unnecessary burden,<br />
but <strong>it</strong> may be helpful <strong>to</strong> <strong>the</strong>m because <strong>it</strong> allows <strong>the</strong>m <strong>to</strong> <strong>to</strong>lerate some facially<br />
infringing uses w<strong>it</strong>hout forcing copyright holders <strong>to</strong> make a blanket<br />
choice between enforcement and no enforcement. Several media companies<br />
and publishers simply have not figured out whe<strong>the</strong>r YouTube’s and o<strong>the</strong>rs’ excerpts<br />
<strong>of</strong> <strong>the</strong>ir material are friend or foe. Companies are not monol<strong>it</strong>hic, and<br />
<strong>the</strong>re can be dissenting views w<strong>it</strong>hin a company on <strong>the</strong> matter. A company w<strong>it</strong>h<br />
such diverse internal voices cannot come right out and give an even temporary<br />
blessing <strong>to</strong> apparent copyright infringement. Such a blessing would cure <strong>the</strong><br />
material in question <strong>of</strong> <strong>it</strong>s unlawful character, because <strong>the</strong> infringement would<br />
<strong>the</strong>n be authorized. Yet at <strong>the</strong> same time, a copyright holder may be loath <strong>to</strong> issue<br />

<strong>the</strong>y want specific material wiped out as <strong>it</strong> arises and giving publishers <strong>the</strong> luxury<br />
<strong>to</strong> accede <strong>to</strong> some uses w<strong>it</strong>hout forcing intermediaries <strong>to</strong> assume that <strong>the</strong><br />
copyright holder would have wanted <strong>the</strong> material <strong>to</strong> be taken down. People<br />
might make videos that include copyrighted background music or television<br />
s<strong>how</strong> clips and upload <strong>the</strong>m <strong>to</strong> centralized video sharing services like YouTube.<br />
But YouTube does not have <strong>to</strong> seek <strong>the</strong>se clips out and take <strong>the</strong>m down unless<br />
<strong>it</strong> receives a specific complaint from <strong>the</strong> copyright holder.<br />
While requiring unprompted attempts at copyright enforcement by a firm<br />
like YouTube may not end up being unduly burdensome <strong>to</strong> <strong>the</strong> intermediary—<br />

some particular behavior actually disempowers <strong>the</strong> people who might complain<br />
about <strong>it</strong> <strong>to</strong> decide that <strong>the</strong>y are willing, after all, <strong>to</strong> <strong>to</strong>lerate <strong>it</strong>. Few would<br />
choose <strong>to</strong> <strong>to</strong>lerate a murder, making <strong>it</strong> a good candidate for preemption through<br />
design, were that possible, 91 but <strong>the</strong> intricacies <strong>of</strong> <strong>the</strong> markets and business<br />
models involved in <strong>the</strong> distribution <strong>of</strong> intellectual works means that reasonable<br />
copyright holders could disagree on whe<strong>the</strong>r <strong>it</strong> would be a good thing <strong>to</strong> prevent<br />
