REPORT OF THE AUDIT AND RISK COMMITTEE<br />

DE<strong>AR</strong> SH<strong>AR</strong>EHOLDER<br />

The Audit and Risk Committee report for<br />

the year ended 31 March 2016 is set out<br />

on the following pages [x] to [x]. Overall<br />

the Committee completed its work plan<br />

for the year, continuously reviewed<br />

internal controls, risk, accounting policies<br />

and regulatory guidance.<br />

From a business as usual perspective,<br />

there is nothing to bring to your attention<br />

as a highlight. In summary, the Committee<br />

considers that it has delivered what it set<br />

out to do and has a clear plan for 2016/17.<br />

The Chairman of the Committee will<br />

be available at the Annual General<br />

Meeting to respond to any questions<br />

shareholders may raise on any<br />

of the Committee’s activities.<br />

AIMS AND OBJECTIVES<br />

The overall aim of the Committee is to<br />

monitor the integrity of the Group’s<br />

financial statements and announcements,<br />

its accounting processes, and the<br />

effectiveness of internal controls and risk<br />

management. The Committee assists the<br />

Board in fulfilling its responsibility to ensure<br />

that the Group’s financial systems provide<br />

accurate and up-to-date information on its<br />

financial position, and supports the Board<br />

in its consideration as to whether the<br />

Group’s published financial statements are<br />

fair, balanced and understandable.<br />

COMPOSITION<br />

The Board nominated Mike Buzzacott as<br />

Chairman of the Audit and Risk Committee<br />

in January 2015. Mike is a qualified<br />

accountant and an experienced Non-<br />

Executive Director and Audit and Risk<br />

Committee chair, having held Non-Executive<br />

Directorships at Croda International Plc and<br />

Rexam PLC and is a current Non-Executive<br />

Director at Genus PLC.<br />

James Wallace, Richard Perry and Martin<br />

Sawkins, make up the Audit and Risk<br />

Committee’s membership. Both James<br />

Wallace and Richard Perry are qualified<br />

accountants and each has substantial<br />

experience of risk management,<br />

governance and internal control in<br />

manufacturing organisations, in their<br />

Executive and Non-Executive directorships<br />

in manufacturing organisations.<br />

Martin Sawkins has completed his first full<br />

year as member of the Audit and Risk<br />

Committee at <strong>Scapa</strong> and has substantial<br />

experience in both HR and business<br />

operations across the manufacturing and<br />

services industries, including The AA<br />

Limited, British Aerospace and United<br />

Biscuits. Martin also holds a Non-Executive<br />

directorship at Wincanton plc, where he is<br />

also a member of their Audit Committee.<br />

This relevant experience allows the<br />

members to:<br />

> > understand the risks facing a global<br />

manufacturing company and<br />

approaches to managing its risks<br />

> > maintain an oversight of the Group’s<br />

internal control environment through<br />

the internal audit plan and risk<br />

management framework<br />

> > undertake strategic financial management<br />

in a global manufacturing company<br />

> > provide constructive challenge to the<br />

reports and assurances given by<br />

management, and guide the design<br />

and implementation of a suitable<br />

assurance framework<br />

> > ensure overall external audit efficiency,<br />

including capturing control<br />

improvement and minimising<br />

duplication of assurance work<br />

> > provide practical insights on the Group’s<br />

approach to corporate governance<br />

The Company Secretary acts as the<br />

secretary to the Audit and Risk Committee.<br />

The Audit and Risk Committee is required to<br />

meet formally at least three times per year.<br />

The Committee’s Terms of Reference are<br />

reviewed annually. This year’s review was<br />

conducted in line with the Institute of<br />

Chartered Secretaries and Administrators<br />

(ICSA) guidance to reflect the UK<br />

Governance Code.<br />

In summary, the Audit and Risk Committee<br />

is required to:<br />

> > oversee and advise the Board on the<br />

current risk exposures of the Company<br />

and related future risk strategies<br />

> > oversee the activities of internal audit<br />

> > review internal control policies and<br />

procedures for the identification,<br />

assessment and reporting of material<br />

financial and non-financial risks<br />

> > review reports on any material breaches<br />

of risk limits and the adequacy of<br />

proposed actions<br />
