Corporate Governance practices and strict<br />

governs all actions and decisions made by<br />

the officers <strong>in</strong> the Company. We believe<br />

that these practices m<strong>in</strong>imize ‘Reputation<br />

risks’.<br />

2.5 Operational Risks<br />

2.5.1 Bus<strong>in</strong>ess Model Redundancy Risks<br />

� Increased competition could result <strong>in</strong><br />

pressure on pric<strong>in</strong>g and commoditisation<br />

of some services<br />

� TCS is focus<strong>in</strong>g on address<strong>in</strong>g the risk of<br />

commoditization of its bus<strong>in</strong>ess model by<br />

focus<strong>in</strong>g on <strong>in</strong>novations <strong>in</strong> resourc<strong>in</strong>g<br />

models as well as develop<strong>in</strong>g and<br />

propos<strong>in</strong>g new bus<strong>in</strong>ess models and value<br />

propositions to our clients.<br />

2.5.2 Innovation related risks<br />

� The Company is focused on <strong>in</strong>novation.<br />

Innovation <strong>in</strong>itiatives are <strong>in</strong> multiple<br />

forms, but all of these are focused on<br />

better productivity through cont<strong>in</strong>uous<br />

improvement <strong>in</strong> processes, systems,<br />

methodologies and capabilities. Emphasis<br />

on <strong>in</strong>novation also helps the Company <strong>in</strong><br />

mov<strong>in</strong>g up the value cha<strong>in</strong><br />

� Innovation <strong>in</strong> the Company is practiced by<br />

adopt<strong>in</strong>g ‘derived’ <strong>in</strong>novation that seeks<br />

cont<strong>in</strong>uous improvement <strong>in</strong> every area<br />

and by ‘platform’ <strong>in</strong>novation, whereby<br />

multiple capability and skill teams engage<br />

to develop <strong>in</strong>novative ideas<br />

� The risks associated with translat<strong>in</strong>g all<br />

the <strong>in</strong>vestments that the Company is<br />

mak<strong>in</strong>g <strong>in</strong> Innovation <strong>in</strong>to successful<br />

bus<strong>in</strong>ess opportunities for its future<br />

growth are high. These risks of<br />

<strong>in</strong>vestments <strong>in</strong> <strong>in</strong>novation projects are<br />

addressed by structured periodic reviews<br />

of all programs and <strong>in</strong>vestments by senior<br />

management.<br />

2.5.3 Resource risks<br />

� The movement of people between<br />

nations for provid<strong>in</strong>g the high-end<br />

technical and bus<strong>in</strong>ess services skills<br />

required by the global customer<br />

organizations <strong>in</strong> the developed markets<br />

<strong>in</strong>clud<strong>in</strong>g USA, UK, Europe, Australia,<br />

Japan are governed by procedures and<br />

legislation <strong>in</strong> each country and may result<br />

<strong>in</strong> delays <strong>in</strong> procur<strong>in</strong>g visas and work<br />

permit on occasions.<br />

In order to address this risk TCS has adopted a<br />

number of strategies:<br />

� It has strengthened its efforts to identify<br />

and tra<strong>in</strong> local recruits <strong>in</strong> all these markets<br />

� It has strengthened its Global Compliance<br />

Process for ensur<strong>in</strong>g strict compliance<br />

with Visa and work permit requirements<br />

and regulations.<br />

The Company is also work<strong>in</strong>g closely with all its<br />

global customers and monitor<strong>in</strong>g and plann<strong>in</strong>g<br />

<strong>in</strong> advance the need for such resources, to<br />

ensure smooth conduct of bus<strong>in</strong>ess.<br />

2.5.4 Security Risks<br />

� The terrorist attacks <strong>in</strong> Mumbai dur<strong>in</strong>g<br />

Nov 2008 highlighted the need for<br />

companies to adopt systems and process<br />

to safeguard its people and assets as well<br />

as ensure bus<strong>in</strong>ess cont<strong>in</strong>uity<br />

� To mitigate these risks surround<strong>in</strong>g<br />

security, TCS has a comprehensive security<br />

plan <strong>in</strong> place which is preventive <strong>in</strong> nature<br />

and aims at protect<strong>in</strong>g its facilities from<br />

the various risks observed from time to<br />

time. The plan uses a blend of people,<br />

process and technology to ensure that the<br />

security levels are ma<strong>in</strong>ta<strong>in</strong>ed at all times<br />

<strong>in</strong> l<strong>in</strong>e with the risk landscape. Follow<strong>in</strong>g<br />

last year’s attacks, additional security<br />

measures have been put <strong>in</strong> place,<br />

especially to enhance the perimeter<br />

security<br />

� The overall security deployment is<br />

governed by a Corporate Committee<br />

which looks at the <strong>in</strong>tegrated security<br />

requirements across the organization<br />

globally. Periodic audits are conducted by<br />

a group of experts, which helps validate<br />

the deployment strategy and the need<br />

to re<strong>in</strong>force any of the exist<strong>in</strong>g controls,<br />

etc. Concerted efforts have been made<br />

to create greater awareness amongst the<br />

associates.<br />

2.5.5 Execut<strong>in</strong>g M&A Transaction’s risk<br />

� Ensur<strong>in</strong>g successful <strong>in</strong>tegration of the<br />

<strong>in</strong>organic growth opportunities that the<br />

Company undertakes <strong>in</strong> l<strong>in</strong>e with the<br />

goals and the underly<strong>in</strong>g premise for<br />

these transactions is a risk<br />

� Risk mitigation action <strong>in</strong>cludes well-laid<br />

out <strong>in</strong>tegration plans and close<br />

monitor<strong>in</strong>g and review of these<br />

transactions to ensure that the goals and<br />

milestones related to the transactions are<br />

achieved.<br />
