Board of Directors Meeting Minutes: Oct. 1, <strong>2011</strong><br />

Following are the unapproved<br />

minutes from the Oct. 1, <strong>2011</strong>,<br />

Board of Directors meeting.<br />

1. President Nancy Peterson<br />

called the meeting to order at<br />

9:02 a.m. at the Owners’ Club in<br />

<strong>The</strong> <strong>Galena</strong> <strong>Territory</strong>.<br />

Present: Nancy Peterson,<br />

president; Tom Rivera, vice<br />

president; Jack Fisher, treasurer;<br />

Dennis Scully, secretary; Bill<br />

Dexter; Cary Kalant (arrived at<br />

9:12 a.m.); Bill Kimball; Fran<br />

Peterson; Joe Mattingley, general<br />

manager; Dave Oldenburg, executive<br />

director of Architectural<br />

Compliance; Susan Miller, executive<br />

director of Corporate<br />

Services, and Tony Quinn, legal<br />

counsel,<br />

Absent: Sue Hinrichsen.<br />

It was noted that a quorum was<br />

present.<br />

It was moved and seconded<br />

(Kimball, Rivera) to approve<br />

the agenda as amended: to<br />

add an action item to consider<br />

the Architectural Review<br />

Committee’s proposed changes<br />

to Exterior Lights Guideline.<br />

Motion approved: unanimously.<br />

2. Owner Comments<br />

Claire Bersbach, 2 West<br />

Council Trail, stated that she<br />

had attended the “Getting to<br />

Yes” program sponsored by the<br />

<strong>Galena</strong> Chamber of Commerce<br />

and it was an excellent program<br />

that will be repeated in January<br />

2012. She encouraged everyone<br />

to consider attending the program.<br />

3. President’s Report<br />

a. President Peterson welcomed<br />

Velocity Advisors, the<br />

Association’s strategic planning<br />

consultants. <strong>The</strong>re will be a<br />

workshop today after the board<br />

meeting and another workshop<br />

on Oct. 13 at 10 a.m.<br />

b. Today is the last day to<br />

submit board candidate nomina-<br />

tion applications. Currently there<br />

are six applications on file.<br />

c. Next weekend is the<br />

Firemen’s Pork Chop Dinner.<br />

Everyone was asked to support<br />

this great event. Fran Peterson<br />

noted that the money earned<br />

from the dinner and raffle tickets<br />

is used within <strong>The</strong> <strong>Territory</strong> and<br />

this year the emphasis is on swift<br />

water rescue, which requires special<br />

training and equipment. <strong>The</strong><br />

July storm rescues proved the<br />

need to have that equipment on<br />

hand in <strong>The</strong> <strong>Territory</strong>.<br />

4. Treasurer Jack Fisher<br />

provided a verbal and written<br />

financial report to the board.<br />

He reviewed the combined financial<br />

statement for August<br />

<strong>2011</strong>, including variances and<br />

overall performance. He noted<br />

that the impact of weather on<br />

the Association’s operations is<br />

significant and that the net surplus<br />

was down 10 percent from<br />

FIVE CANDIDATES<br />

COMPETE FOR THREE<br />

BOARD POSITIONS<br />

Five board candidates are continuing with the<br />

board nomination process. All five were invited<br />

to a Board Candidate Orientation session on Oct.<br />

8. Following this meeting, the candidates prepared<br />

written answers to six questions developed by the<br />

Nominating Committee. <strong>The</strong> candidates will be<br />

introduced in the December issue of the <strong>Territory</strong><br />

Times, and their answers to the first three questions<br />

will appear in December. <strong>The</strong>ir answers to<br />

the final three questions will appear in the January<br />

issue of the <strong>Territory</strong> Times. All members are encouraged<br />

to take the time necessary to learn more<br />

about each candidate. Only three board positions<br />

will be filled; results will be announced at the Feb.<br />

25, 2012 Annual Meeting.<br />
