The foregoing amounts were applied from the second half of 2009 in cases where no changes had<br />

arisen between 2005 and 2008. After a detailed analysis of the remuneration received at<br />

international companies and companies on the Spanish Stock Exchange's IBEX 35 index, the<br />

Nomination and Remuneration Committee considered that the remuneration was in accordance<br />

with that paid in the market at companies of a similar size engaging in similar activities, that the<br />

remuneration paid was similar to that for comparable duties and dedication and that, without<br />

compromising the directors' independence, it provided sufficient motivation to ensure their closer<br />

involvement, if possible, on the various committees.<br />

The total remuneration earned in the year by the directors at the Parent was as follows (in<br />

The directors who discharged executive duties in 2011 received as part of their variable<br />

remuneration a total of 3,113 shares and 4,874 options on Acciona, S.A. shares under the terms<br />

established in the regulations governing Acciona’s 2009-2012 Share and Option Plan for its senior<br />

executives. The options granted entitle the beneficiary to acquire the same number of shares at a<br />

price per share of EUR 53.<br />

In 2011 and 2010 the directors of the Parent received no remuneration whatsoever for their<br />

membership of other boards and/or for discharging senior executive functions at <strong>Group</strong><br />

companies.<br />

The total remuneration paid by the Acciona <strong>Group</strong>, by type of director, was as follows (in<br />
