B.10. Not earlier than the 1st March nor later than the 31st March following the giving<br />

of a notice under Rule B.8, the Club giving such notice shall notify the Company<br />

Secretary in writing whether such notice is confirmed or withdrawn. If no such<br />

notice is given the notice under Rule B.8 shall be deemed to have been withdrawn.<br />

B.11. Without prejudice to the powers contained in Section W of these Rules (Disciplinary),<br />

any Club purporting to resign otherwise than in accordance with Rules B.8 and<br />

B.10 shall on demand indemnify the League on behalf of itself and the Clubs<br />

remaining in membership of the League against all losses, damages, liabilities, costs<br />

or expenses whatsoever suffered or incurred by the League or such Clubs resulting<br />

directly or indirectly from such purported resignation including without limitation<br />

loss of income or profits from any Commercial Contract, UK Broadcasting Contract,<br />

Overseas Broadcasting Contract, Radio Contract or Title Sponsorship Contract.<br />

Board Powers Old Rule<br />

B.12. Where a discretion, right or power is expressed in these Rules to be exercisable by<br />

the Board, such discretion, right or power shall unless otherwise provided in these<br />

Rules or the Articles be exercisable by the Board in its sole and absolute discretion<br />

or as a sole right or power of the Board and shall when exercised be final and<br />

binding and not subject to appeal.<br />

B.13. The Board may appoint any person who is not an Official to deputise for either the<br />

Chairman or the Chief Executive when the Board is required to exercise its function<br />

under either Rule T.28 or Rule T.29 or Rule T.30 or Rule W.1 or Youth Development<br />

Rules 256 and 258-259.<br />

Procedure at General Meetings Old Rule<br />

B.14. Subject to the provisions of the Articles and the Acts, the Chairman may regulate the<br />

procedure for General Meetings as he thinks fit. Unless otherwise determined by<br />

the Chairman:<br />

B.14.1. Clubs must give to the Secretary not less than 28 clear days’ notice of<br />

any item for inclusion on the agenda of a forthcoming General Meeting;<br />

B.14.2. two representatives from each Club may attend General Meetings, each<br />

of whom may speak but only one of whom shall be entitled to vote.<br />

Relationship between Clubs and the League Old Rule<br />

B.15. Membership of the League shall constitute an agreement between the League<br />

and Clubs and between each Club to be bound by and comply with:<br />

B.15.1. the Laws of the Game;<br />

B.15.2. the Football Association Rules;<br />

B.15.3. the Articles;<br />

B.15.4. these Rules;<br />

B.15.5. the statutes and regulations of FIFA;<br />

B.15.6. the statutes and regulations of UEFA; and<br />

B.15.7. the Regulations of the Professional Football Compensation Committee,<br />

each as amended from time to time.<br />
