APPENDIX 6<br />

9. In all discussions, negotiations, transactions and arrangements relating to the employment of Players<br />

by his Club (“Player Transactions”) including, without limitation, the renewal or renegotiation of<br />

existing contracts or any related contracts or arrangements involving his Club and a Player and/or<br />

third party (for example, involving his Club’s or a Player’s intellectual property rights, including the<br />

exploitation of name or image), a Manager shall, in addition to his duty to act in accordance with<br />

the club’s written transfer policy, act with the utmost good faith and in accordance with his primary<br />

duty to act in the best interests of his Club.<br />

10. A Manager shall at all times observe the principles of honesty, transparency, accountability and<br />

personal impartiality (whether financial or otherwise) in his dealings involving Player Transactions.<br />

11. A Manager shall forthwith disclose to his Club the nature and extent of any direct or indirect<br />

interest or any conflict or potential conflict of interest he may have in any transaction or<br />

arrangement involving his Club (including, without limitation, any Player Transaction), he shall not<br />

be involved in the same without the written consent of his Club, and, if such consent is granted, he<br />

shall account to his Club for any benefit which either directly or indirectly he derives therefrom.<br />

12. If a Manager is in any doubt as to whether there exists any interest or conflict (actual or potential)<br />

to be disclosed as required by paragraph 10 above, he may consult with the League Managers<br />

Association for guidance and advice.<br />

13. Upon becoming aware of any breach of the Rules, including by way of example only, any financial<br />

or other benefit or inducement offered in connection with a Player Transaction in breach of the<br />

Rules, a Manager shall immediately report such breach in writing to the League.<br />

14. A Manager shall conduct himself at all times in an ethical and professional manner and shall observe<br />

the highest standards of integrity and fair dealing.<br />

15. A Manager shall take all possible steps to promote the reputation of the game of Association Football<br />

and to prevent it being brought into disrepute.<br />
