“Franchisee” means the party who have been granted a right to participate in the National
Basketball League and have entered into a Participation Agreement with NBLL being

“Franchisees” means all the parties, including the Franchisee, who have the right to
participate in the National Basketball League.
“Franchise Delegate” means the individual appointed by the Franchise to be its delegate to
represent it at meetings of the Franchise Council.
“Franchise Council” means the body which is made up of all the Franchise Delegates;
and “Franchise Council Meeting” means a meeting of Franchise Delegates.
“FIBA” means International Basketball Federation.
“GST” means goods and services tax pursuant to the Goods and Services Tax Act 1985.
“League Playing Season” means the period in a calendar year in which any NBLL sanctioned
pre-season tournament; and the official competition games are played between Teams.
“Material” means any event which occurs that materially and prejudicially affects the financial
position of a Franchisee, or which materially and prejudicially affects the ability of a
Franchisee to duly and promptly perform or observe any of the covenants and agreements
of the Franchisee under this agreement and further includes without limitation
a breach of the provisions of clauses 4.1(c), 4.1(f), 4.3, 9.2, 9.3, 12.3, 13.1, 13.2 and 14.3 of
this Participation Agreement.
“National Basketball League” and “League” means the New Zealand Men’s National Basketball
League competition.
“Offence” has the same meaning as in clause 6 of the BBNZ Board Procedures and Operations
Manual Part IV Judicial Regulations.
“Operations Manual” means the operations manual issued by NBLL from time to time specifying
the procedures for the operation and participation in the League; the present form
of which is Schedule 3 to this Agreement.
“Participation Agreement” means this agreement; or where the content requires an agreement
between NBLL and a Franchisee containing the right of the Franchisee to participate
in the National Basketball League.
“Rules” means the rules and regulations for the playing of National Basketball League games
for participation of a Team in the National Basketball League as issued by NBLL from
time to time; the present form of which is Schedule 4 to this Agreement.
“Standard Player Contract Provisions” means standard player contract provisions that must
be incorporated in each player contract which the Franchisee and its players enter into
for participation in the League Playing Season and bind them to obligations of the
League, attached as Schedule 6 to this Agreement.
“Tall Blacks” means any New Zealand National Basketball Team or Squad as established by
BBNZ.
“Team” means the Franchisee’s team entered in the National Basketball League, and “Teams”
means together all the teams participating in the then current National Basketball
League.
“Term” means the term of this agreement as specified in Schedule 1.
“Venue” means the Primary and Alternative stadiums specified as such in Schedule 1; or such
other stadium(s) as specified by NBLL in terms of clause 11.3, in which scheduled home
games for the Team are to be played.
