<strong>RFP</strong> for Selection of System Integrator of <strong>CCTNS</strong>suffered or are reasonably likely to be suffered and the cost incurred to mitigate theimplication of such disclosure or usage, from the SI.(b)“Confidential Information” means any and all information that is or has been receivedby either Party (the “Receiving Party”) from the other Party (the “Disclosing Party”) andthat: (a) relates to the Disclosing Party; and (b) is designated by the Disclosing Party asbeing confidential or is disclosed in circumstances where the Receiving Party wouldreasonably understand that the disclosed information would be confidential or (c) isprepared or performed by or on behalf of the Disclosing Party by its employees, officers,directors, agents, representatives or consultants.(c) Without limiting the generality of the foregoing, Confidential Information shall mean andinclude any information, data, analysis, compilations, notes, extracts, materials, reports,designs, specifications, graphs, plans, charts, studies, memoranda or other documents,or materials relating to the Software, the modules, the Program Documentation, theSource Codes, the object codes and all Enhancements and Updates, services, systemsprocesses, ideas, concepts, formulas, methods, know how, trade secrets, designs,research, inventions, techniques, processes, algorithms, schematics, testing procedures,software design and architecture, computer code, internal Documentation, design andfunction specifications, product requirements, problem reports, analysis andperformance information, business affairs, Projects, technology, finances (includingrevenue projections, cost summaries, pricing formulae), clientele, markets, marketingand sales programs, client and customer data, appraisal mechanisms, planning processesetc. or any existing or future plans, forecasts or strategies in respect thereof.(d) “Confidential Materials” shall mean all tangible materials containing ConfidentialInformation, including, without limitation, written or printed documents and computerdisks or tapes, whether machine or user readable.17.3. Managing Confidential Information(a) The Receiving Party agrees to regard, preserve and keep as secret and confidential allconfidential information and materials of the Disclosing Party howsoever obtained andagrees that it shall not, without obtaining the written consent of the Disclosing Party :-(b) Disclose, transmit, reproduce or make available any such Confidential Information andmaterials to any person, firm, Company or any other entity other than its directors,partners, advisers, agents or employees, who need to know the same for the purposes ofthe Project. The Receiving Party agrees to be responsible for ensuring that the usage andconfidentiality by its directors, partners, advisers, agents or employees is in accordancewith the terms and conditions of this Contract; or(i) Unless otherwise agreed herein, use any such Confidential Information and materialsfor its own benefit or the benefit of others or do anything prejudicial to the interestsof the Disclosing Party or its customers or their projects.(c) In maintaining confidentiality hereunder the Receiving Party on receiving theConfidential Information and materials agrees and warrants that it shall:Volume IIIContractual and Legal Specifications55
