<strong>RFP</strong> for Selection of System Integrator for <strong>CCTNS</strong>E-Governance Mission Mode Project: <strong>Crime</strong> & Criminals Tracking Network and Systems31. SCHEDULE XI: AUDIT, ACCESS, AND REPORTING31.1. PurposeThis Schedule details the audit, access and reporting rights of the BUYER andrespective obligations of SI under the Contract.31.2. Audit Notice and Timinga) As soon as reasonably practicable after the Effective Date, the Parties shall usetheir best endeavours to agree to a timetable for routine audits during theProject. Such time table may be reviewed every 3 months. During the Term, theBUYER or its nominated agencies shall conduct routine audits in accordance withsuch agreed timetable and shall not be required to give SI any further notice ofcarrying out such audits.b) The BUYER, may conduct non-timetabled (adhoc) audits at its own discretion if itreasonably believes that such non-timetabled audits are necessary as a result ofan act of fraud by the SI, a security violation, or breach of confidentialityobligations by SI, provided that the requirement for such an audit is notified inwriting to SI a reasonable period time prior to the audit (taking into account thecircumstances giving rise to the reasonable belief) stating in a reasonable level ofdetail the reasons for the requirement and the alleged facts on which therequirement is based. If SI considers that the non-timetabled audit was notappropriate, the matter shall be referred to the escalation procedure as set out inthe Schedule IX.c) The frequency of audits which shall be six (6) monthly provided always that theBUYER or SCRB shall endeavour to conduct such audits with the lowest levels ofinconvenience and disturbance as practicable being caused to SI.d) The audit and access rights contained shall survive the termination or expirationof the Contract for a period of twenty-four (24) months.31.3. AccessSI shall, provide to the BUYER or its nominated agencies, or its or their authorisedrepresentatives, reasonable access to employees, subcontractors, suppliers, thirdparty facilities, including leased premises, Data Recovery Centres, documents, recordsand systems reasonably required for audit and shall provide all such persons withroutine assistance in connection with the audits and inspections. The BUYER or itsnominated agencies during the Project shall have the right to copy and retain copiesof any relevant records. SI shall make every reasonable effort to co-operate with themin effecting the Audit.31.4. Audit Rightsa) The BUYER shall have the right to audit and inspect suppliers, agents, third partyfacilities, including leased premises, Data recovery centres, documents, records,Volume IIIContractual & Legal Specification94
