Missions and attributions of the boardof directorsThe Board of Directors determines the policy for theCompany’s business and supervises its implementation.Subject to the powers expressly granted byshareholders at General Meetings and within thelimits of the Company’s corporate purpose, it willaddress any question concerning the satisfactoryrunning of the Company and decide by its deliberationson any matters which relate to it.Its strategy and actions are within the scope of sustainabledevelopment of the Company. The Board ofDirectors has in particular the role of examining andapproving all decisions relating to the Company’sand the Group’s major strategic, economic, social,financial or technological policies and the supervisionof their implementation.16.1.2. Board meetingsThe Board of Directors shall meet when convened byits President as often as required by the interest ofthe Company, at the registered office or in any otherplace indicated in the convening letter. However, directorsconstituting at least one third of the membersof the Board of Directors may convene the board if ithas not met for more than two months.The deliberations of the Board of Directors areminuted, signed and preserved in accordance withregulations.2010 registration document VICAT 107
