Depending on merits of the case the supplier/ selected bidder may be appropriatelycompensated on mutually agreed terms for the loss incurred by the contract if anydue to such termination.iii. If and when scanning of the document is mandated by UIDAI and a successful bidderdoes not accept the rate for scanning of documents, the purchaser may terminate thecontract for convenience, provided the rate for scanning of document was notoriginally offered by the successful bidder.iv. The goods/services that are complete within notice period of termination shall beaccepted by the Purchaser at the Contract terms and prices. For the remaininggoods/services, the Purchaser may elect:a. To have any portion completed and delivered at the Contract terms and prices;and/orb. To cancel the remainder and pay to the supplier/ selected bidder an agreedamount for partially completed Goods and Related Services and for materials andparts previously procured by the supplier/ selected bidder.v. It is clarified that in the case of termination for convenience, the PSD shall bereturned, subject to deduction of any due payments, penalties, LD etc.Page 56 of 74

SPECIAL TERMS AND CONDITIONS OF TENDER & CONTRACT1) Payment Terms and Schedulea) Payments shall be made to the Enrolment Agency by the District Registrar/State Registrar onmonthly basis based on number of successful generation of aadhaar at agreed rates, as maybe applicable (i.e. agreed unit rate including or excluding the agreed unit rate for scanning ofdocuments).b) The supplier‟s/ selected bidder‟s request for payment shall be made to the purchaser inwriting, accompanied by invoices describing, as appropriate, the goods delivered and relatedservices performed, and by the required documents submitted pursuant to general conditionsof the contract and upon fulfilment of all the obligations stipulated in the Contract.c) Due payments shall be made promptly by the purchaser, generally within sixty (60) days aftersubmission of an invoice or request for payment by the supplier/ selected bidder, and thepurchaser has accepted it.d) Payments are subject to release of funds by UIDAI.e) The currency or currencies in which payments shall be made to the supplier/ selected bidderunder this Contract shall be Indian Rupees (INR) only.f) All remittance charges will be borne by the supplier/ selected bidder.g) In case of disputed items, the disputed amount shall be withheld and will be paid only aftersettlement of the dispute.h) Any penalties/ liquidated damages, as applicable, for delay and non-performance, asmentioned in this bidding document, will be deducted from the payments for the respectivemilestones.i) Taxes, as applicable, will be deducted at source, from due payments, as per the prevalentrules and regulations.2) Special Conditions of the bida) In case of default by any of the selected bidder for any reason, the remaining work to beperformed by that bidder may be given to remaining selected bidder, subject to theiracceptance.b) Selected bidder is expected to deploy the following minimum number of enrolment stations(which include Permanent ES, Stationary ES and Mobile ES) -Minimum No. of Machines to be deployed[timeline starts after date of issue of work order]Time In 1 month In 1.5 month In 2 monthNo. of Machines 25% 50% 100%Page 57 of 74
