C. Complex Structured F<strong>in</strong>ance Transactions<br />
1. The use <strong>of</strong> derivatives and o<strong>the</strong>r complex structured f<strong>in</strong>ance<br />
transactions, and <strong>the</strong> role <strong>of</strong> banks and o<strong>the</strong>r f<strong>in</strong>ancial <strong>in</strong>stitutions <strong>in</strong><br />
structur<strong>in</strong>g <strong>the</strong>se transactions for customers, have come under scrut<strong>in</strong>y<br />
<strong>in</strong> <strong>the</strong> wake <strong>of</strong> <strong>the</strong> Enron bankruptcy and related regulatory actions<br />
and litigation. These actions and proceed<strong>in</strong>gs show an <strong>in</strong>creased<br />
will<strong>in</strong>gness on <strong>the</strong> part <strong>of</strong> courts and regulators to hold f<strong>in</strong>ancial<br />
<strong>in</strong>stitutions responsible for participat<strong>in</strong>g <strong>in</strong> transactions that may be<br />
deceptive or improperly reported. 22<br />
2. The proposed Interagency Statement on Sound Practices Concern<strong>in</strong>g<br />
Complex Structured F<strong>in</strong>ance <strong>Activities</strong>, 69 Fed. Reg. 28980 (May 19,<br />
2004) (solicitation <strong>of</strong> public comments) (<strong>the</strong> “Proposed Interagency<br />
Statement”) reflects <strong>in</strong> certa<strong>in</strong> respects <strong>the</strong> requirements imposed<br />
under <strong>the</strong> regulatory actions aga<strong>in</strong>st <strong>in</strong>dividual f<strong>in</strong>ancial <strong>in</strong>stitutions <strong>in</strong><br />
<strong>the</strong> wake <strong>of</strong> <strong>the</strong> Enron bankruptcy.<br />
a. Under <strong>the</strong> Proposed Interagency Statement each f<strong>in</strong>ancial<br />
<strong>in</strong>stitution would be expected to develop:<br />
(i) Policies that:<br />

product approval process and appropriately<br />
managed.<br />
(C) Ensure appropriate review and documentation<br />
<strong>of</strong> a customer’s proposed account<strong>in</strong>g treatment<br />
<strong>of</strong> such a transaction, f<strong>in</strong>ancial disclosures<br />
relat<strong>in</strong>g to such transaction, and bus<strong>in</strong>ess<br />
objectives.<br />
