Article 14: Appointment, dismissal and the<br />

definition <strong>of</strong> the responsibilities <strong>of</strong><br />

management<br />

It is the responsibility <strong>of</strong> the Board <strong>of</strong> Directors to<br />

define the duties <strong>of</strong> management and appoint those<br />

persons who are competent, qualified and<br />

experienced to administer the institution’s affairs<br />

effectively and soundly. It is also the responsibility<br />

<strong>of</strong> the Board to dispense with the services <strong>of</strong> staff<br />

considered undesirable.<br />

Article 15: Being informed about business<br />

condition <strong>of</strong> the banking institution<br />

Since the directors are jointly and solely<br />

responsible for the effective supervision <strong>of</strong> the<br />

affairs <strong>of</strong> the institution, they should be informed<br />

on a regular basis <strong>of</strong> the business condition <strong>of</strong> the<br />

institution. For the purpose <strong>of</strong> deliberating on this<br />

information and providing guidance to the<br />

management, the Board should meet regularly,<br />

preferably at least once in a quarter.<br />

In addition, the Board and each director should<br />

exercise independent judgment in evaluating the<br />

performance <strong>of</strong> the management. This could be<br />

enhanced by the provision <strong>of</strong> independent reviews<br />

<strong>of</strong> the operations by third parties such as external<br />

auditors, internal auditors, audit committees or<br />

regulator and other experts reporting directly to the<br />

Board.<br />

leurs attributions<br />

Il est du devoir du Conseil d’administration de<br />

définir les attributions de la direction et de nommer<br />

les personnes compétentes, qualifiées et<br />

expérimentées pour administrer efficacement et<br />

sainement les affaires de l’institution. Il est<br />

également de la responsabilité du Conseil<br />

d’administration de mettre un terme aux services<br />

du personnel jugé indésirable.<br />

Article 15 : Être informé de la situation de<br />

l’institution bancaire<br />

Les administrateurs étant personnellement et<br />

solidairement responsables de la bonne supervision<br />

des affaires de l’institution, ils doivent être<br />

informés régulièrement de la situation de<br />

l’institution. En vue de délibérer sur cette<br />

information et de fournir des orientations à la<br />

direction, le Conseil d’administration doit se réunir<br />

régulièrement, de préférence au moins une fois par<br />

trimestre.<br />

En outre, le Conseil d’administration et chaque<br />

administrateur en particulier doivent faire preuve<br />

d’un jugement indépendant dans l’évaluation des<br />

performances de la direction. Ce jugement pourrait<br />

être renforcé par la conduite d’examens<br />

indépendants des opérations par des tierces parties,<br />

telles que des auditeurs externes, des auditeurs<br />

internes, des comités d’audit ou le régulateur et
