Article 14: Appointment, dismissal and the
definition of the responsibilities of
management
It is the responsibility of the Board of Directors to
define the duties of management and appoint those
persons who are competent, qualified and
experienced to administer the institution’s affairs
effectively and soundly. It is also the responsibility
of the Board to dispense with the services of staff
considered undesirable.
Article 15: Being informed about business
condition of the banking institution
Since the directors are jointly and solely
responsible for the effective supervision of the
affairs of the institution, they should be informed
on a regular basis of the business condition of the
institution. For the purpose of deliberating on this
information and providing guidance to the
management, the Board should meet regularly,
preferably at least once in a quarter.
In addition, the Board and each director should
exercise independent judgment in evaluating the
performance of the management. This could be
enhanced by the provision of independent reviews
of the operations by third parties such as external
auditors, internal auditors, audit committees or
regulator and other experts reporting directly to the
Board.

Article 14 : Nomination, révocation des
membres du comité de direction et définition de
leurs attributions
Il est du devoir du Conseil d’administration de
définir les attributions de la direction et de nommer
les personnes compétentes, qualifiées et
expérimentées pour administrer efficacement et
sainement les affaires de l’institution. Il est
également de la responsabilité du Conseil
d’administration de mettre un terme aux services
du personnel jugé indésirable.
Article 15 : Être informé de la situation de
l’institution bancaire
Les administrateurs étant personnellement et
solidairement responsables de la bonne supervision
des affaires de l’institution, ils doivent être
informés régulièrement de la situation de
l’institution. En vue de délibérer sur cette
information et de fournir des orientations à la
direction, le Conseil d’administration doit se réunir
régulièrement, de préférence au moins une fois par
trimestre.
En outre, le Conseil d’administration et chaque
administrateur en particulier doivent faire preuve
d’un jugement indépendant dans l’évaluation des
performances de la direction. Ce jugement pourrait
être renforcé par la conduite d’examens
indépendants des opérations par des tierces parties,
telles que des auditeurs externes, des auditeurs
internes, des comités d’audit ou le régulateur et
