HISTORY AND CERTAIN CORPORATE MATTERS Brief history <strong>of</strong> the Company Kamdhenu Ispat Limited was incorporated vide Certificate <strong>of</strong> Incorporation No. 17-08767 dated 12th September, 1994 issued by the Registrar <strong>of</strong> Companies, Jaipur, Rajasthan. The Company obtained its certificate <strong>of</strong> Commencement <strong>of</strong> Business dated 29th December 1994 issued by the Registrar <strong>of</strong> Companies, Jaipur, Rajasthan. The Registered Office <strong>of</strong> the Company was shifted from the state <strong>of</strong> Rajasthan to NCT <strong>of</strong> Delhi & Haryana w.e.f. 2nd March 2005 vide CLB order No. CP No. 220/17/2004-CLB dated 2nd March 2005 stating the Company No. as 55- 134282. The Company at present has its Registered <strong>of</strong>fice situated at 5/2, Punjabi Bagh Extn, New Delhi – 110026. The Company has its Plant located at A-1114, RIICO Indl. Area, Bhiwadi-301019 (Raj.) Major Events in the history <strong>of</strong> the company 1. The Company got registered w.e.f. 12th September, 1994 2. The Company started commercial production in October 1995. 3. The Company has optioned IS 1786-1985 certification in the year 1995. 4. The Company has received ISO 9001:2000 for quality management system, in the year 1997 5. The Company has received Udyog Ratan Award, Udyog Patra Award, Rajat Jayanti Udyog Jayanti Award from the Government <strong>of</strong> <strong>India</strong>. 6. The Company started production <strong>of</strong> TMT Bars in 2004 7. The Company got certificate for using the trade mark “TEMCORE” from Centre De Rechercher Metallurgiques (CRM), LIEGE (Beligium) in 2005. To carry on business <strong>of</strong> electrical engineers, mechanical engineers, machinists, metal work-drawers, founders, enamellers, painters <strong>and</strong> packing case makers <strong>and</strong> also to carry on business <strong>of</strong> manufacturing, importing, exporting, distributing, buying <strong>and</strong> selling <strong>and</strong> otherwise dealing in all kinds <strong>of</strong> pipe fitting, h<strong>and</strong> tool, hardware goods, Refractories <strong>of</strong> all type alumina <strong>and</strong> magnesite bricks. 3(a) To carry on the business as iron founders, makers <strong>of</strong> scientific, industrial <strong>and</strong> surgical instruments, mechanical engineers <strong>and</strong> manufacturers <strong>of</strong> agricultural implements <strong>and</strong> other machinery, steel castings <strong>and</strong> forgings <strong>and</strong> malleable iron <strong>and</strong> steel castings, tool makers, brass founders, metal workers, boiler-makers, mill wrights, machinists, iron <strong>and</strong> steel converters <strong>and</strong> to buy, sell, manufacture, repair, convert, alter let on hire <strong>and</strong> deal in machinery, implements <strong>and</strong> rolling stock. 3(b) To carry on the business <strong>of</strong> manufacturing, trading, marketing, distributing, dealing importing & exporting <strong>of</strong> ferrous or non-ferrous metals, goods including iron <strong>and</strong> steel, Sponge Iron, aluminum, brass, tin, nickel, special steels <strong>and</strong> their products 3(c) To carry on business as manufacturers, stockiest, importers <strong>and</strong> exporters <strong>of</strong> <strong>and</strong> dealers in forgings, castings, stampings <strong>of</strong> all metals, machinery parts, moulds, press tools, jigs, fixtures <strong>and</strong> compression moulding steel products <strong>and</strong> automobile parts. 3(d) To carry on the business as importers, export agents, distributors, stockiest, contractors, suppliers, dealers <strong>of</strong> any kind <strong>and</strong> to act as manufacturers representatives, agents, brokers, commission agents <strong>and</strong> merchants <strong>of</strong> commodities, articles, products <strong>and</strong> merchants <strong>of</strong> any kind <strong>of</strong> nature <strong>and</strong> to carry on the business <strong>of</strong> real estate, including selling, purchase, letting, renting <strong>and</strong> deal on a contract basis. 3(e) To carry on the business <strong>of</strong> importers, exporters, dealers, traders, manufacturers <strong>of</strong> trailers, earthmoving equipments, canal equipments, fuel injection equipments <strong>and</strong> Machine tools <strong>and</strong> other allied products. 4. To carry on the business as consultants <strong>and</strong> advisors, to EPC contractors OEM’s <strong>and</strong> such other Multinational / <strong>India</strong>n Companies engaged in Generation <strong>of</strong> Power / Distribution <strong>of</strong> Power, supply erection <strong>and</strong> commissioning <strong>of</strong> Power plant equipments <strong>and</strong> ancillaries associated to Power station viz. Acoustics etc., Laying <strong>of</strong> new lines for transmission, supply erection <strong>and</strong> commissioning <strong>of</strong> HVAC systems / fire fighting systems / HSD storage systems <strong>and</strong> Services <strong>of</strong> critical components <strong>of</strong> Gas / Hydal Turbines, Boiler Feed Pumps either directly or acting or acting as agent / liaison agent or as canvassing representative for reputed manufacturer, agents <strong>and</strong> distributors, for own generation, use <strong>of</strong> power. Subsidiaries <strong>of</strong> Kamdhenu Ispat Limited As per the audited balance sheet dated 31st March 2005, the Company doesn’t have any subsidiaries. Shareholders Agreement There are no Shareholders Agreements between the Company <strong>and</strong> any other person. 59
