2.200 REPORTING TO BOARD OF GOVERNORS<br />

AND MEMBERSHIP<br />

(A) The Professional Liability Fund will report<br />

on its financial position at least quarterly to the<br />

Board of Governors. Such £nancial reporting will<br />

include budget reports, balance sheets, and<br />

statements of operations. Where applicable,<br />

such fnancial reports will include comparative<br />

statements for the corresponding previous period<br />

of time.<br />

(B) The Professional Liability Fund will<br />

furnish to the Board of Governors all audited or<br />

unaudited statements as may be prepared by its<br />

auditors and any comments furnished to the<br />

Professional Liability Fund by its auditors.<br />

(C) Investment reports will be submitted to<br />

such memhers of the Board of Governors as are<br />

designated by the Board of Governors<br />

immediately after submission to the Board of<br />

Directors.<br />

(D) Status reports of activities of the Fund<br />

will be made to the Board of Governors by the<br />

Chairperson or Chief Executive Officer upon<br />

request.<br />

2.250 TRAVEL. EXPENSE. AND<br />

REIMBURSEMENT POLICY<br />

(A) Board members and the Chief Executive<br />

ONcer are encouraged to promote the aims of<br />

the Professional Liability Fund, whether by<br />

meeting with interested individuals (whether or<br />

not they are members of the <strong>Oregon</strong> <strong>State</strong> <strong>Bar</strong>)<br />

or by attending national meetings on the subject<br />

of professional errors and omissions coverage so<br />

long as attendance at the meetings does not<br />

involve undue time or expense or hinder the<br />

Chief Executive Officers ability to manage the<br />

Fund. If Board members or the Chief Executive<br />

Officer attend a meeting at the request of<br />

another bar association or other group,<br />

reimbursement from the meeting sponsor should<br />

be obtained if possible.<br />

(B) Board members (as designated by the<br />

Chairperson of the Board of the Professional<br />

Liability Fund) may attend meetings of the<br />

National Association of <strong>Bar</strong> Related Insurance<br />

Companies (NABRICO) or relevant American <strong>Bar</strong><br />

Association committees on legal malpractice.<br />

Generally, Board members attend the NABRICO<br />

meeting in the second and fourth years of their<br />

terms.<br />

(C) Board and committee members (as<br />

designated by the Chairperson) may be<br />

requested to accompany the Chief Executive<br />

Officer to meet with representatives of the<br />

national insurance market to arrange excess<br />

coverage in following form to <strong>Oregon</strong>'s plan or to<br />

assist in negotiations with any reinsurance carrier<br />

for the Professional Liability Fund.<br />

(D) Board members are required to attend<br />

Board meetings in various locations throughout<br />

the state of <strong>Oregon</strong> and to attend <strong>Oregon</strong> <strong>State</strong><br />

ear Board of Governors meetings when acting as<br />

liaisons between the two Boards (see PLF Bylaws<br />

6.3). The Chief Executive O~cer will attend all<br />

such meetings.<br />

(E) Current policies provide for<br />

reimbursement for travel, meals, lodging, and<br />

business connected miscellaneous expenses<br />

when they are on approved travel or business.<br />

Spousal/Domestic Partner expenses are included<br />

for Board members. Reimbursement for the<br />

spouse/domestic partner of the Chief Executive<br />

Officer is not included. Supporting<br />

documentation is required for air, bus, train and<br />

rental car transportation, lodging, and certain<br />

miscellaneous expenditures. Personal expense<br />
