Ana Teresa has advised international finance institutions in<br />

reviewing the security structures and drafting the agreements. She<br />

also has advised foreign investors in their corporate organisation to<br />

be used in Nicaragua as well as regulatory issues.<br />

She has participated in complex transactions, including the due<br />

diligence and structuring the transaction to acquire companies in<br />

different areas such as retail, distribution, telecommunication,<br />

financial institutions, among others. She also acts as legal counsel<br />

to different local companies dealing with the day-to-day operations<br />

likewise taxes, labour and contracts.<br />

Ana Teresa has also been involved in drafting and reviewing the “Ley<br />

de Garantías Mobiliarias” and “Ley de Leasing” to be approved by<br />

the National Congress as well as in the discussions of the “Ley de<br />

Promoción de la Competencia”.<br />

She obtained a bachelor’s degree in law at the Universidad Central<br />

de Nicaragua (1996) and is authorised to practice as a lawyer and<br />

notary public by the Supreme Court of Nicaragua. She has a Master<br />

of Economic Law at the University of Chile (2000) and Master of<br />

Laws (LL.M.) from Cornell University (2004).<br />

She is fluent in Spanish and English.<br />

Ramón Castro’s main areas of practice are <strong>Corporate</strong> Law,<br />

Commercial Law, Labour Law and <strong>Tax</strong> Law.<br />

He provides counseling to national and international clients in<br />

contracts, corporate affairs and investments. Ramón has also<br />

developed experience in matters related with the establishment of<br />

Free Trade Zones in Nicaragua, starting with their incorporation as<br />

legal entities and their approval before government authorities as<br />

well as varied legal counseling.<br />

Ramón has a Law Degree from Universidad Americana in Managua,<br />

Nicaragua (2006) and is authorised as a Practicing Attorney before<br />

the Nicaraguan Supreme Court of Justice.<br />

He is fluent in Spanish and English.<br />
