Bate C. Toms is the Managing Partner of B.C. Toms & Co. For over<br />
18 years, he has handled many of the largest transactions in<br />
Ukraine, including many of the most significant Ukrainian<br />
investments and acquisitions. Mr. Toms has advised on most IPO’s<br />
for Ukrainian companies, including the first and several of the<br />
largest, a significant portion of all loans for Ukraine and the first<br />
successful foreign bank led Ukrainian project financing as well as<br />
many of the largest real estate acquisitions and oil and gas projects.<br />
Mr. Toms has written numerous articles on Ukrainian law, including<br />
as the principal author of the ICC book “Doing Business with<br />
Ukraine” (3rd Edition, 2005). He also serves as the Chairman of<br />
the British-Ukrainian Chamber of Commerce.<br />
Mr. Toms studied law at Washington and Lee University (B.A.,<br />
magna cum laude, 1971) Phi Beta Kappa, Cambridge University<br />
(Magdalene College - Law Tripos I, 1972) and Yale Law School<br />
(J.D., 1975, edition of the Yale Law Journal). As an undergraduate,<br />
he studied Soviet Studies at Institut d’Etudes Politiques de Paris<br />
(1969-1970).<br />

Mrs. Kvederis is an associate lawyer with B.C. Toms & Co. Mrs.<br />
Kvederis received her law degree from the Taras Shevchenko Kyiv<br />
National University of Ukraine. Her main areas of expertise include<br />
taxation, financial law, corporate law and secured transactions.<br />
Mrs. Kvederis regularly advises clients on the tax structuring of their<br />
inbound investments and cross-border business transactions.<br />
